How should a buyer walk a plant without leaking the sale?
Buying a manufacturing business puts the tour last on purpose. Evaluation is paper. How it works is the sequence. This page is the walk.
Script the visit before you park
Agree in writing: date, who attends, PPE, whether photos are allowed, which bays you will enter, and the cover story if the floor asks. A "vendor walk" that fools no one is worse than a tight script. Small plants leak. Census CBP 2023 counted 284,452 manufacturing establishments, 68.4% under 20 employees (Source: Census CBP). In a 14-person shop, a stranger in a polo is news.
Bring the machine list and the inventory report. If you cannot match serials and cages, the tour is theater. Leave extra people in the car. Lenders and QoE field staff come on later, controlled walks — not as a parade.
| Physical check | What "pass" looks like | What you write down |
|---|---|---|
| Money cells | Serials match the list; controls match the work | Missing serials; crash scars |
| Crane / pit / foundation | Coverage and condition match the quoting story | Bay the crane cannot reach |
| Inspection | CMM calibration current; gages in a system | Dead certs; dusty CMM |
| WIP cage | Matches the report class and age | Rust, holds, customer-owned unmarked |
| Utilities | Compressors, chillers, power match T12 bills | A jet-sound compressor, no spend |
| Safety | Housekeeping, guards, obvious OSHA issues | Repeat-citation evidence |
| People (scripted) | Named leads you were allowed to meet | Empty chairs on a "full" roster |
| Outside | Tanks, drums, staining, outdoor storage vs SWPPP | Unlabeled totes |
Fed G.17 utilization was 76.0% in July 2026 (Source: Fed G.17). Your target's bay is not the Fed. A Sunday-only walk hides whether the second shift exists. Push for a production day. If the seller refuses, discount what you cannot see.
What you do not do on the floor
Do not photograph fixtures, programs, or traveler packets unless the NDA and the seller allow it. Do not collect business cards from operators. Do not promise jobs. Do not critique the owner in front of the lead. Do not live-stream a "cool 5-axis" to your group chat.
BLS OEWS May 2025 put machinists at a $58,750 national median (Source: BLS OEWS). You are not there to recruit. You are there to see whether the roster on paper exists in the bay.
ISM PMI 54.6 and Prices 71.1 in August 2026 (Source: ISM) do not change etiquette. They might change what you ask about surcharge boards and steel racks.

After you leave, the model changes or it does not
Write the deferred capex you saw. Write the inventory that did not match. Write the empty chair. Then decide whether the quality of earnings scope needs a field day, whether the working-capital peg needs a tighter E&O, and whether the LOI still makes sense.
SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). A pretty tour does not raise the cap. A dirty tour can kill the credit file. BizBuySell 2025 put manufacturing at a 223-day median close (Source: BizBuySell). Use visits sparingly. Camping in the lobby is how employees learn.
Stanford's $16 million / 6.2x / ~25% margin median (Source: Stanford GSB) is a search-fund profile. Searchers still owe the same confidentiality. The median is never a job-shop multiple and never a license to treat the floor like a campus tour.
Specialists on a second walk — still not a parade
The first visit is you and, if needed, one quiet operator who can read a cell. The second walk is scoped: M&E appraiser with the serial list, Environmental Professional if Phase I reconnaissance is due, QoE field staff who want to see whether job travelers exist, sometimes a lender. Each visit gets its own script and its own day if the shop is small. Census CBP 2023: 68.4% of manufacturing establishments have fewer than 20 employees (Source: Census CBP). Three strangers in one afternoon is an announcement.
The appraiser should not be left alone in a tool crib photographing fixtures the NDA forbids. Walk with them. The EP should see tanks, drains, staining, and outdoor storage — not a conference-room slideshow. QoE staff should see the cage and the travelers, not only the conference-room projector. If the seller confines everyone to the break room, write that down. It is a diligence fact.
Night-shift walks are useful when the roster claims a second shift. Arrive for shift change. Count heads against the list. BLS OEWS May 2025 put CNC operators at a $50,690 national median (Source: BLS OEWS). Empty chairs on a "full" night roster are a labor finding, not a scheduling quirk.
Food, medical, and ITAR floors have extra rules. Hairnets and gowning are not optional theater. Phones may be banned. Foreign-person visitors on an ITAR floor are an export issue, not an etiquette issue. Ask before you bring a consultant who is not a U.S. person.
What the notes must contain when you get to the car
Write serials you verified and serials you could not. Write deferred capex with a crude cost band only if you are qualified to guess — otherwise write the condition and hire the appraiser. Write inventory that did not match class or age. Write housekeeping that predicts OSHA attention. Write the cover story that leaked. Then update the model the same day. A tour that does not change the model was tourism.
SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). A pretty bay does not raise the cap. A dirty bay can kill the credit file if the appraisal or Phase I follows you. Combined 7(a)+504 can reach $10 million for fitting borrowers (Source: SBA). Occupancy and eligibility still want a plant that exists as described.
Main Street files near 2.75x SDE (Source: BizBuySell via Iconic) deserve the same confidentiality as a $16 million search-fund median file. The Stanford 6.2x / ~25% margin cell remains a study median, never a job-shop multiple (Source: Stanford GSB). Searchers who treat the floor like a campus visit still leak deals.
IBBA's 83% three-offer statistic on deals over $5 million (Source: IBBA) means sellers will compare how you behaved on the walk. Buyers who photograph fixtures and corner the programmer do not get the second look. Buyers who match the list, thank the escort, and leave on time do.
If you need a third visit, say why in one sentence: count protocol rehearsal, appraiser follow-up, or lender condition. "I want another feel" is not a reason. BizBuySell's 223-day manufacturing median (Source: BizBuySell) is already long. Do not lengthen it with tourism.
A one-page walk card to print, not a brochure
Front: serials to verify, cages to match, crane coverage, CMM cert date, outdoor drums, empty chairs versus roster. Back: what you will not do — photos, operator interviews, promises, live streams. Put the cover story in one line. Put the NDA reminder in one line. Hand it to everyone in the car.
SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). The walk card does not change the cap. A dirty card can change the credit file. Combined 7(a)+504 can reach $10 million (Source: SBA). Occupancy still wants a plant that matches the story.
Main Street 2.75x SDE shops (Source: BizBuySell via Iconic) need the card more, because one rumor fills the building. Census CBP 68.4% under 20 employees (Source: Census CBP) is that building. Stanford $16 million / 6.2x / ~25% margin (Source: Stanford GSB) is a different animal and never a job-shop multiple. Searchers still owe the card.
IBBA's 83% three-offer statistic (Source: IBBA) is how sellers compare walk behavior. BLS OEWS machinist $58,750 (Source: BLS OEWS) is not a reason to recruit on the bay. ISM Prices 71.1 (Source: ISM) is a reason to look at the steel rack. Fed utilization 76.0% (Source: Fed G.17) is a reason to ask which shift you are seeing.

Questions everyone in the car should answer before you park
What is the cover story. Are photos allowed. Who may speak. Which serials must be verified. Which cages must match. What you will do if the seller confines you to the break room. Write the last one down. It is a finding, not an inconvenience.
Print a walk card. Front: serials, cages, crane, CMM, drums, empty chairs. Back: what you will not do. Night-shift walks count heads against the roster. Food, medical, and ITAR floors have extra rules. Foreign-person consultants on an ITAR floor are an export issue. Ask before you bring them.
A third visit needs a one-sentence why: count rehearsal, appraiser follow-up, or lender condition. "I want another feel" is tourism.
HedgeStone will script the walk and will cancel it if the buyer shows up as a circus. Print the card. Leave extra people in the car. A Sunday-only visit hides utilization. Push for a production day or discount what you cannot see.
Write the 24-hour trip note before memory edits it
The night of the walk, write what you verified and what you were not allowed to see. Serials matched or not. Cages matched or not. Empty chairs versus the roster. Outdoor drums. Crane coverage. CMM cert date. If the seller kept you in the office, that confinement is the finding. It is not an inconvenience you shrug off because the cell looked pretty from the doorway. A Sunday-only visit hides utilization the same way a break-room tour hides the bay. I want another feel is tourism. Leave extra people in the car.
