What does a nationwide manufacturing broker actually do on a file?
Who this site is for
Owners who want to sell a manufacturing business usually already know the failure modes: a key customer hears a rumor, a programmer updates a résumé, a competitor starts quoting the book. Buyers who want to buy a manufacturing business already know the other failure mode: they underwrite a multiple that belongs to a different size band or a different certificate.
The U.S. manufacturing base is not a handful of Fortune plants. County Business Patterns 2023 counts 284,452 employer establishments in NAICS 31–33. 194,583 of them (68.4%) have fewer than 20 employees. Establishments with 500 or more people are 1.19% of locations and about 31% of employment (Source: Census CBP, 2023). A broker who prices every file like a $10 million-EBITDA platform will mis-price the file that actually walks in.
What “manufacturing” means on these pages
Every page names a sub-sector because diligence and buyers change with the process:
The sub-sector index lists every hub. Each hub has sell, buy, and valuation subpages. Due-diligence and buyers-and-multiples subpages can wait.
How manufacturers are priced (without blending shops)
Manufacturing business valuation on this site always carries two labels: size band and sub-sector.
| Size band | Earnings basis | Published range (see research) | Typical buyer set |
|---|---|---|---|
| SDE under $1M | SDE | 2.0x–3.6x manufacturing quartile band; median 2.75x | Individual / SBA |
| EBITDA $1–3M | Adjusted EBITDA | 4.0x–8.0x depending on certs and concentration | Search, sponsor, small add-on, SBA |
| EBITDA $3–10M | Adjusted EBITDA | 5.0x–9.0x | PE add-on, strategics |
| EBITDA $10M+ | Adjusted EBITDA | 6.0x–11.0x | Platforms, strategics |
Main Street manufacturing in BizBuySell’s 2021–2025 sold set cleared at a 2.75x median SDE multiple on about $268k of discretionary earnings and $1.13M of revenue (Source: BizBuySell via Iconic recap, retrieved 2026-09-10). That is a different market than GF Data-style manufacturing averages near 7x EBITDA on much larger enterprise values (Source: GF Data Q1 2026 Manufacturing Drilldown recap). Publishing one “manufacturing multiple” is how generalist decks over-promise.
When orderly liquidation value of the iron plus net working capital exceeds earnings value, the file is an asset-floor conversation. That shows up in older job shops and distressed plants. It is not a rounding error.
Who buys, and why a parallel process matters
The buyer-type index has all twelve pages, including rollover, independent sponsors, and how each type prices a manufacturer.
IBBA and M&A Source Market Pulse Q1 2026 (300 advisors, 203 in-quarter closings) found 83% of deals over $5 million drew three or more offers (Source: IBBA/M&A Source, 2026). That is an argument for a competitive process, not for a guaranteed price.
Confidential process, not a listing flyer
The process is intro call → recast and broker opinion of value → blind teaser → NDA and staged data room → qualified buyer competition → LOI → diligence and, when the earnings base warrants it, quality of earnings → close.
Plant-visit protocol is part of confidentiality. Buyers do not wander the floor on a Tuesday afternoon in branded fleece. Visits are scheduled, scripted, and usually after financials and the machine list have already survived a first screen. Customer names stay last.
This is also why a manufacturing specialist broker exists. A generalist who has never argued a working-capital peg against WIP and job-cost inventory will give the buyer the peg.
Macro context (dated, not a multiple)
Data current as of September 2026. ISM’s Manufacturing PMI was 54.6 in August 2026 (July 55.6), with Production 58.3 and Prices 71.1 (Source: ISM, Aug 2026). Federal Reserve G.17 put manufacturing capacity utilization at 76.0% in July 2026 (Source: Fed G.17, 2026-08-18). BLS reported manufacturing payroll employment up 16,000 in August 2026 (Source: BLS CES). Those series describe the operating climate. They do not authorize a made-up “2026 manufacturing multiple.” The manufacturing M&A outlook dates those climate prints for September 2026 without turning them into a multiple.
Deloitte and The Manufacturing Institute projected a net need of as many as 3.8 million manufacturing employees from 2024–2033, with up to 1.9 million unfilled if the skills gap holds (Source: Deloitte/MI, 2024). That is a diligence item on every skilled shop: who programs the 5-axis cell when the owner stops estimating.

About the broker
Jason Taken is a business broker with HedgeStone Business Advisors. The practice is nationwide and covers dozens of verticals, with a finance and lending background. There is no invented deal count, license number, phone number, or office address on this site. Contact is email plus the calendar link.
What the first twenty minutes should decide
The intro call is not a pitch deck. It is a sort:
- Seller with a going concern and a concentration problem — market it with structure, not hope.
- Seller whose OLV exceeds earnings — stop writing a growth CIM.
- Buyer with a real buybox and a capital path — start sourcing.
- Buyer who wants “any manufacturer under $10 million” — rewrite the buybox first.
HedgeStone will say no to a process that would leak the book or that a lender cannot finance. That is the service.
What this site will not do
It will not publish invented listings, owner quotes, or named PE firms. It will not put a form in front of the calendar. It will not describe Jason Taken as an engineer, appraiser, or attorney. It will not promise a multiple, a close date, or an SBA approval.
State sell and buy pages sit in the state directory. Metro overlays sit in the city directory. Definitional questions sit in the FAQ and the glossary. Start with the closing state, then the metro if the teaser named one. Nationwide rules still apply: cite the federal statute, and treat state transfer, tax, and licensing cells as counsel questions. The 50-state briefing table lives in research, not as folklore in a hero banner.
How a working-capital peg fails on a plant
A retailer peg is AR plus inventory minus AP. A manufacturer’s inventory includes raw, WIP, finished goods, consigned metal or resin, and customer-owned tooling that never belonged on the balance sheet. If the LOI copies a restaurant definition, the true-up will invent a six-figure argument after the wire.
The specialist habit is to write the method into the letter of intent: classes, aged-reserve rules, how unbilled WIP is measured, who counts the physical, and what happens if the count misses the CIM by more than a stated band. Buyers who refuse a physical are telling you the earnings story is the only story they want. Sellers who inflate WIP to hit a number are telling you the same thing from the other side.
This is also why public “average working capital” percentages are mostly useless. A job shop with progress-billed aerospace parts and a food co-packer with palletized finished goods do not share a peg. The plant’s trailing twelve months, cleaned of E&O, is the dataset.
Financing in one paragraph, without folklore
SBA 7(a) still publishes a $5 million maximum loan, 85/75 guaranty split, and $3.75 million of standard exposure (Source: SBA). SOP 50 10 8 put a 10% equity injection on change-of-ownership files and will not treat a seller note as equity unless it is full standby for the life of the loan and no more than half the injection. 504 still exists for the plant and the heavy iron — $5 million standard debenture, $5.5 million for a qualifying small-manufacturer project (Source: SBA / 13 CFR). ABL is a borrowing base, not a vibe. Mezzanine is a cost of stretch leverage. None of those products will save a file whose job-cost system cannot produce a concentration schedule.
What “nationwide” changes, and what it does not
Nationwide means the intake is not limited to one state. It does not mean a New Jersey ISRA clock, a California successor sales-tax clearance, or a New York mini-WARN analysis can be ignored because the broker lives elsewhere. The 50-state briefing table in research is a flag list, not an opinion of counsel. Real property in the deal still requires a properly licensed real-estate broker for that piece.
It also means the buyer set is national: an add-on platform in another region, a searcher who will relocate, an SBA operator who will not. Geography still matters for wages, unions, and industrial rents. BLS OEWS May 2025 put national machinist median pay at $58,750 and welder median pay at $53,750 (Source: BLS OEWS). Those are national medians. Your metro will differ. The CIM should use the plant’s actual burdened labor, not a national blog.
Image slots and what they are not
This site uses placeholder paths for plant photography — a 5-axis cell, a press-brake line, a molding floor. They are not stock-photo testimonials and they are not pictures of a client. When real images ship, the alt text will stay descriptive and operational.
