Manufacturing buyer types do not share an earnings base. A PE add-on, an SBA operator, a searcher, an ESOP trustee, and a family successor price the same plant differently. HedgeStone Business Advisors works those files nationwide. Jason Taken is a business broker. Read process first, then come back here for who actually clears the file. Size band still sits under every buyer class on this index. Exclusive LOI is a prize, not a starting point.
That is a process fact. It is not a promised bid count.
The twelve pages
Start with how each buyer type prices a manufacturer if you want the comparison table. Start with the sale-to-X pages if you already know the counterparty class. A three-column PE vs strategic vs individual manufacturing buyer scorecard lives on the compare page.
Size band still wins
A $400k-SDE job shop is usually an SBA or individual file even if the owner likes the phrase “private equity.” A $4 million-EBITDA ISO 13485 plant is usually not a 2.75x SDE story.
What we will not name
Private-equity firms, strategics, and lenders do not appear on these pages unless a sourced press release is attached. That rule is in the research file. It is how this site stays honest.
How to read this cluster
The sale-to-X pages are written for owners. The comparison page is written for both sides. Independent sponsors, rollover, and CFIUS are the mechanics pages people skip and then regret. Start with the page that matches the counterparty you think you have, then read the comparison so you do not exclusive too early.
A parallel process is the habit: PE add-ons, strategics, search funds, and SBA individuals see the same blind teaser when the file can support more than one of them. ESOP, MBO, and family succession are the inside paths. They still need a price.
Diligence expectations, compressed
SBA and individuals: tax returns, add-backs, machine or process list, Phase I if the dirt is wet, concentration. Search and independent sponsors: the above plus a second-chair plan and often a QoE. PE add-ons: QoE, quality-system, environmental, IT/ERP, a peg written for a plant. Strategics: commercial overlap and consents; still tax returns. Foreign buyers: CFIUS and ITAR calendars. ESOP: trustee valuation, not a broker opinion.
What the research file already settled
Stanford Search Fund Study 2026 (data through 2025-12-31): 2024–25 median purchase $16 million, about 6.2x EBITDA, ~$2.5 million EBITDA, ~25% margin, ~30 employees, median search about 20 months (Source: Stanford GSB). Study-wide IRR and ROI are historical aggregates, not manufacturing-specific forecasts, and not your outcome.
SBA 7(a) $5 million cap; SOP 50 10 8 10% injection; seller note as equity only on full standby for the loan life and ≤50% of the injection; SOP 50 10 8.1 for loan numbers on or after 2026-10-01 (Source: SBA). 504 $5 million / $5.5 million small manufacturer; combined 7(a)+504 $10 million from 2026-07-04 (Source: SBA).
Use those as process facts. Do not invent an AI premium or a guaranteed bid count.
Census CBP 2023: 284,452 U.S. manufacturing establishments; 68.4% have fewer than 20 employees (Source: Census CBP). Most files that type these keywords are in that majority. Their buyer is often an individual. That is allowed.
What the intro call should decide on buyer type
Whether the file can support more than one class. Whether OLV exceeds earnings. Whether a certificate is the product. Whether a foreign person in the cap table creates a clock. Whether the owner needs all cash or can hold paper. Whether “PE” is a real add-on thesis or a vocabulary preference. HedgeStone will say no to a process that would leak the book or that a lender cannot finance.
The only next step is a confidential intro call. There is no form. Jason Taken is a business broker, not an attorney, appraiser, or export officer.
Climate citations that do not become a buyer multiple
ISM Manufacturing PMI was 54.6 in August 2026 with a Prices Index of 71.1 (Source: ISM). Fed G.17 manufacturing capacity utilization was 76.0% in July 2026 (Source: Fed G.17). Use them in a CIM as operating context. Do not use them to invent a 2026 PE premium or an SBA discount.

How should a seller pick a buyer-type door?
| Buyer door | Open it when | Misuse |
|---|---|---|
| A sale-to-X page | You already know the counterparty class | Exclusive in week one |
| Comparison page | You are choosing among classes | Borrow a PE cell for an SDE shop |
| Capital companion | The stack is the question (ESOP, SBA, note) | Treat paper as cash |
Census CBP 2023 still counts 284,452 manufacturing establishments (Source: Census CBP, 2023). Most files that arrive here are small. That is allowed. It is not a reason to borrow a lower-middle-market cell.
Markdown door for the niche add-on underwriting page: what PE looks for in niche manufacturers.
ESOP financing is the capital-stack companion to selling to an ESOP.
A buyer class is not a multiple. Read the process hub first, then return to this index to see who actually writes a check. Exclusive LOI is a prize, not a starting point.
