Why hire a manufacturing specialist broker instead of a generalist?

What generalists get wrong on the multiple

Census CBP 2023 counted 284,452 manufacturing establishments; most are small (Source: Census). BizBuySell’s manufacturing median of 2.75x SDE and GF Data-style averages near 7x EBITDA can sit in the same Google result (Sources: BizBuySell recap; GF Data recap). A generalist who quotes “manufacturing is 5x” has already failed one of those owners.

Valuation on this site forces two labels: size band and sub-sector. That is the first specialist habit. The second is asking whether OLV of the iron is the real number. A flyer that ignores the appraisal is a gift to the buyer’s equipment lender.

What generalists get wrong on the peg

Retail net working capital is AR plus inventory minus AP. Manufacturing inventory includes job-cost WIP, percentage-of-completion, customer-owned tooling, and consigned resin or steel. If the peg definition is copied from a restaurant deal, the true-up will move mid-six figures on a mid-sized shop and nobody will be able to explain why.

A specialist writes the peg method into the LOI: classes, E&O rules, how unbilled WIP is measured, and who counts the physical. How it works puts that fight at the right step.

What generalists get wrong on the buyer set

Sellers are often told “we have a buyer” — one strategic from a prior file. Buyers are often told every shop is available. Both lies waste time.

PE add-on, strategic, search fund, ESOP, and SBA individual buyers price the same plant differently. SBA still lives under a $5 million 7(a) cap and SOP 50 10 8 standby-note rules (Source: SBA). Searchers, per Stanford’s 2026 study, often underwrite a ~25% margin profile that many job shops do not have. Strategics pay for a customer they cannot hire. Running those conversations in parallel is how you discover the clearing price.

IBBA Market Pulse Q1 2026: 83% of deals over $5 million attracted three or more offers (Source: IBBA/M&A Source). A single-track process donates that.

Regulatory and labor items a flyer treats as fine print

Phase I (ASTM E1527-21), RCRA generator status, air permits, ITAR registration, CFIUS for a foreign buyer, FAR 42.12 novation, set-aside death on sale, union successorship, and WARN clocks are not “legal will handle it later” if they change who can close. A specialist puts them on the teaser-to-LOI calendar. Counsel still owns the opinion.

Labor is a value driver, not a human-resources slide. Deloitte and The Manufacturing Institute projected as many as 3.8 million manufacturing roles needed from 2024–2033, with 1.9 million at risk of going unfilled (Source: Deloitte/MI, 2024). If the programmer is the company, the CIM should say so.

Confidentiality is an operating procedure

Customers, estimators, and competitors are the leak surface. Blind teaser, NDA, staged disclosure, customer names last, scripted plant visits — that is the product. A marketplace listing can still be a tactic. It is not the default for a manufacturer whose book is one conversation away from a rebid.

What a specialist does not claim

Jason Taken will not claim to be your environmental professional, your M&E appraiser, or your tax lawyer. He will not invent a deal count. He will not guarantee a multiple. The contact path is email and a calendar slot.

Investment bank versus broker versus FSBO

An investment bank is the right tool when the file is large enough to support a formal auction, a CIM that costs as much as a small shop’s pickup, and a buyer set of funds that will not take a Main Street teaser seriously. A brokered process is the right tool for most of the CBP file: owner-operated and lower-middle-market plants where confidentiality and a peg matter more than a roadshow.

FSBO is the right tool when the buyer is already known, the books are clean, and you are willing to be the person who tells the estimator. It is the wrong tool when you need a competitive tension you cannot create from a golf book. IBBA’s 83% figure on multi-offer deals over $5 million is about marketed processes (Source: IBBA, Q1 2026). It is not a FSBO statistic.

A specialist broker sits in the middle of that choice and will tell you when the file has outgrown the channel.

Parallel process, written as a calendar

Week 1–2: recast and teaser. Week 2–4: NDA-gated CIM to more than one buyer type. Week 4–6: indications. Week 6–8: LOI. Then diligence. SBA credit, PE QoE, and a strategic’s customer-consent path do not share a clock. The broker’s job is to keep those clocks visible so a seller does not grant exclusivity to a path that cannot finish.

A generalist who “has a guy” collapses that calendar into one conversation. That is cheaper. It is also how you discover, in week ten, that the guy cannot finance goodwill.

Asset-heavy files are a different sport

When OLV matters, the CIM has to carry a machine list a lender can underwrite. When concentration matters, the earn-out has to be measurable on named accounts, not on “EBITDA after buyer allocations.” When certificates matter, the audit calendar belongs in the teaser, not in a footnote. When environmental matters, the Phase I is scheduled before the plant tour, not after the announcement.

Those are specialist habits because they are expensive to learn on someone else’s exclusivity period.

Worked contrast (illustrative)

Two files, both “manufacturing,” both $2.1 million of something that got called EBITDA.

File A is a medical component shop, ISO 13485 current, top customer 17%, replacement GM already paid, 2019+ CNC mix. A specialist puts it in the medical $1–3M EBITDA cell and runs add-on, strategic, and a searcher in the same two weeks.

File B is a job shop, owner-estimator, 36% customer, 2006 manuals, SDE of $2.1 million if you forget to subtract a GM. A generalist quotes “manufacturing is 5x.” A specialist subtracts the GM, puts it in an SDE band, and checks whether OLV of the iron is the real conversation.

The specialist is not smarter. The specialist refused to blend the files. That refusal is the product.

Confidentiality as a reason to hire, not a slogan

A generalist marketplace listing can still close a shop. It can also rebid the book. Manufacturing sellers fear customers, key employees, competitors, and, where they exist, unions learning of a sale. The specialist product is the sequence that keeps those four groups from learning too early: blind teaser, NDA, staged disclosure, customer names last, scripted visits. If you do not want that sequence, you do not need this firm. If you want it, do not hire someone whose first move is a public listing and a branded yard sign for a plant that has no yard.

Hire a specialist when the file has iron, a certificate, a concentration problem, or a peg that will be argued. Hire someone else when the file is a simple asset sale of a truck and a customer list. Manufacturing is usually the first case. That is why this site exists.

What you are not hiring

You are not hiring a miracle. Skilled labor is scarce; Deloitte/MI’s 1.9 million unfilled projection is the backdrop (Source: Deloitte/MI, 2024). You are not hiring a guarantee. You are not hiring an appraiser. You are hiring a process that prices the plant as a plant.

Where a generalist process usually breaks on a plant

IBBA / M&A Source Market Pulse Q1 2026 found 83% of deals over $5 million drew three or more offers (Source: IBBA, 2026). That is an argument for a process, not a promised bid count. A specialist broker exists to run that process without leaking the book to the estimator’s Friday lunch table.

A generalist can still close a simple file. The reason this site exists is the file that is not simple: a 32% customer, a lapsed AS9100, a 2009 CO2 laser listed as “late model,” a union withdrawal letter nobody opened, or a working-capital definition that treats unbilled first-article hours as inventory. Those are not personality problems. They are manufacturing problems.

Read sell my manufacturing business for the seller tree, buy a manufacturing business for the buybox, and manufacturing business valuation for the size-band table. The calendar remains the only conversion path. Score broker versus investment bank versus FSBO on the channel compare — Jason Taken is a business broker, not an IB.

When the specialist product is the peg, not the personality

A generalist can sell a shop. The specialist product is the definition of working capital on a plant: raw, WIP, finished, consigned, customer-owned tools, and unbilled first-article hours that are not inventory. It is the machine list a lender can underwrite — make, model, year, control, serial, lien, last rebuild. It is the certificate transfer path, not a logo. It is the buyer set that can actually finish: add-on, strategic, searcher, and SBA operator run in parallel when the file can support them.

SBA 7(a) still caps at $5 million with a 10% change-of-ownership injection under SOP 50 10 8 (Source: SBA). A generalist who has “a guy” often discovers that box in week ten. A specialist puts the box on the first call so a $12 million EV file does not spend two months on a product that cannot close it.

Census CBP 2023 counted 284,452 manufacturing establishments; 68.4% have fewer than 20 employees (Source: Census CBP). Most of those files need a specialist sequence more than they need a platform CIM. That is why this site exists as its own door.
