Which purchase-agreement clauses decide a manufacturing deal?

Buying a manufacturing business already told you APA versus SPA is counsel's structure. The LOI guide froze the commercial points. This page is what a buyer should recognize in the drafts — not a form you copy.

Structure, allocation, and the iron

Asset deals are common on plants because buyers want a step-up in the machinery. Stock deals keep contracts and registrations in the entity and can keep liabilities you did not price. Neither sentence is tax advice. Form 8594 under IRC § 1060 is where manufacturing deals fight: Class V (M&E) versus Class VI/VII (intangibles / goodwill). Buyers want depreciable iron. Sellers often want capital-gain intangibles. A CPA owns the numbers. Year-specific bonus depreciation changes; do not freeze an old 100% bonus as if it still applies.

Sales-tax treatment of a bulk M&E transfer is state-specific. Occasional-sale rules and successor liability still exist in several states. "We repealed bulk sales" is incomplete. Confirm in the closing state.

SBA 7(a) still caps at $5 million with a 10% injection under SOP 50 10 8 (Source: SBA). The agreement's debt and standby language must match the loan the lender will issue. A note that pays current interest cannot pretend to be SBA equity.

Calendars that are not footnotes

Novation. FAR 42.12. The government must recognize the successor. Anti-assignment is not a handshake. Set-aside status can die on sale.

ITAR. Mergers or acquisitions that result in a foreign person owning or controlling a registrant require 60-day advance notice under ITAR § 122.4(b). A CFIUS filing does not satisfy that notice (Source: DDTC). Domestic-to-domestic still needs registration amendments. Foreign buyers and CFIUS is the longer adjacent page.

Phase I. ASTM E1527-21 / AAI. Do not close industrial title on a stale report.

WARN. Federal statute generally 100+ full-time employees and 60 days. Mini-WARN is state-specific.

Closing mechanics. The close page is the checklist. The agreement is where those items become conditions.

Indemnity, escrow, and fatigue

IBBA Pulse Q1 2026 showed majority cash at close across bands, with notes and earn-outs still appearing above SBA capacity and in gated deals (Source: IBBA). Escrow of 5–15% for 12–24 months is a common Main Street / lower-LMM rule-of-thumb. R&W insurance shows up as EV and diligence cost rise. Do not assume it on an SDE shop.

A quality of earnings informs the earnings basis in the agreement. It does not replace reps about inventory, tax, and environmental. The buyer peg explainer should match the exhibits. If it does not, stop.

Stanford's $16 million / 6.2x / ~25% margin median (Source: Stanford GSB) is a search-fund profile, never a job-shop multiple, and not a reason to accept sloppy schedules because the EV feels "institutional."

Schedules that actually have to match the plant

The disclosure schedules are the deal. A machine schedule that does not match serials is a lie you will inherit. An inventory method that does not match the peg explainer is a fight you already lost in the LOI if you let it slide. A customer list that appears too early is a confidentiality breach. A contract schedule that omits change-of-control clauses is how novation surprises you after the wire.

Walk the schedules against the data room, not against memory. Composite example, not a listing: 41 CNCs on the list, 39 in the bay, two "spares" at a sister building the APA does not mention. Either add the building and the iron or chip the price. Do not initial "substantially all."

Employee schedules should flag who is on a work authorization that expires, who is in a multiemployer plan, and who is the only person who can run a special process. Federal WARN still sits at 100+ full-time employees and 60 days (29 U.S.C. § 2101) if you plan a reduction. Mini-WARN is state work. The agreement should not pretend you can "right-size on Monday" without counsel.

Environmental schedules should attach the Phase I, list tanks and permits, and state the escrow or walk right if a REC appears in a bring-down. ASTM E1527-21 / AAI clocks still run. A report that will be 180 days stale at the table needs a refresh written as a condition, not a hope.

Bring-down, knowledge qualifiers, and fatigue

Sellers will want knowledge qualifiers on reps about inventory, compliance, and customer relationships. Some knowledge qualifiers are fair. "To the seller's knowledge, there are no liens" is not fair when a UCC search exists. "To the seller's knowledge, inventory is saleable" is not fair when you just paid for a physical protocol. Push knowledge qualifiers off facts that are searchable or countable.

Bring-down certificates on close morning should restate that no MAC-style event — pick counsel's definition — has landed, that the certificate pack is still live, and that no new UCC appeared. Main Street files near 2.75x SDE (Source: BizBuySell via Iconic) still deserve a bring-down. Small is not informal.

IBBA Q1 2026: 83% of deals over $5 million had three or more offers (Source: IBBA). Fatigue is how buyers accept a new peg definition at 11 p.m. Do not. The LOI was the freeze. If the seller needs a change, reopen price in daylight.

SBA 7(a) remains $5 million with a 10% injection (Source: SBA). If the APA's seller note amortizes and the credit memo assumed standby equity, the loan can die after you spent counsel fees. Align the note exhibit with SOP 50 10 8 before you circulate signature pages. Combined 7(a)+504 can reach $10 million under the 2026 notice (Source: SBA). Two exhibits, two sets of conditions.

Stanford's $16 million / 6.2x / ~25% margin median (Source: Stanford GSB) does not justify copying a PE-style 80-page APA onto a 12-person shop, or copying a two-page bill of sale onto a certified aero cell. Fit the paper to the size band. The study median remains never a job-shop multiple.

Illinois broker registration (Illinois SOS) does not authorize anyone to give you a legal opinion on the APA. Hire counsel licensed in the closing state. If real estate is the dominant piece of the price, a licensed real-estate broker must handle that conveyance. Jason Taken is a business broker. He will not pretend otherwise.

Signature-page hygiene on a plant file

Signature pages should not circulate until schedules match the bay. Serials, leases, tank lists, certificate dates, and the peg exhibit should be frozen. A last-minute "we'll attach tomorrow" is how a lessor survives close. SBA 7(a) still caps at $5 million with a 10% injection (Source: SBA). A note exhibit that flipped from standby to amortizing overnight can kill the loan after you spent counsel. Combined 7(a)+504 can reach $10 million (Source: SBA). Two signature sets, two condition lists.

Main Street 2.75x SDE files (Source: BizBuySell via Iconic) still need this hygiene. Stanford $16 million / 6.2x / ~25% margin files (Source: Stanford GSB) still need it. The median is never a job-shop multiple. IBBA's 83% three-offer statistic (Source: IBBA) is not a reason to initial blanks. ISM Prices 71.1 (Source: ISM) does not belong on a signature page. Fed utilization 76.0% (Source: Fed G.17) does not either. FAR 42.12 and ITAR § 122.4(b) 60-day notice do, if they are in the file (Source: DDTC).

Questions the signature packet should not leave blank

Do schedules match the bay. Does the peg exhibit match the LOI. Does the note exhibit match the SOP. Is novation or DDTC owned. Is the Phase I still live. Are knowledge qualifiers off searchable facts. If any exhibit says "to come," you are not signing.

You are wishing. Walk schedules against the data room, not against memory. Employee schedules should flag work-authorization expiry, multiemployer plans, and person-specific approvals. Environmental schedules should attach the Phase I and state the REC walk right. Bring-down certificates belong on close morning.

Fatigue is how buyers accept a new peg at 11 p.m. Reopen price in daylight or walk.

HedgeStone is a broker, not your drafting attorney. If the APA invents a new peg, say it is a renegotiation. Do not initial blanks because you are tired. Signature pages should not circulate until serials, tanks, and the peg exhibit match the bay.

Walk the excluded-assets schedule against the bay

The excluded-assets schedule is where sellers keep the personal truck, the condo furniture, and sometimes the only CMM that still holds a calibration. Walk it against the data plates the same week you walk serials. If a money cell is excluded, you are not buying the process you toured. Push knowledge qualifiers off searchable facts such as liens. Leave knowledge on true judgment calls. If any exhibit still says to come, you are wishing, not closing.
