Summary

Most owners who say they will “sell in a few years” have a feeling, not a folder. County Business Patterns for 2023 still shows 284,452 manufacturing establishments, and 68.4% of that base employs fewer than twenty people (Source: Census CBP). Those shops usually live on the owner’s head. Three to five years is enough time to change the earnings base, the concentration schedule, and the machine list. It is not enough time if you start the year you are tired.

Sell my manufacturing business is the decision tree when you are ready to choose a process. The complete guide to selling a manufacturing business is the confidential sequence once the teaser exists. Documents needed to sell is the tab list. This long read is the years before those doors open. How it works still describes the later spine so you do not build the wrong packet.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use that number for the year you go to market. Do not confuse it with the years you prepare. A 223-day clock on a file that still needs a general manager is a fiction.

What belongs on a thirty-six to sixty month calendar?

Year minus five to minus four is habit. Map the tax return to the internal P&L every quarter. Manufacturing financial statements explained is the statement map. Start a nameless concentration schedule and keep it monthly. Serialize the machine list with liens and last rebuild dates. Write which rebuilds you already know you owe. Those rebuilds are cash, not future add-backs.

Year minus three is people. If you are still the only estimator, programmer, or quality release, you are the product. Deloitte and The Manufacturing Institute still flag as many as 3.8 million manufacturing hires this decade and 1.9 million at risk of going unfilled (Source: Deloitte/MI). A slide that says “we will hire” is not a second chair. BLS OEWS May 2025 put national machinist median pay at $58,750 and welder median pay at $53,750 (Source: BLS OEWS). Your metro will differ. Budget the burdened seat you actually need.

Year minus two is certificates, dirt, and real estate. Keep the CB audit current. If the process history is wet or the dirt will be in the deal, schedule environmental work on an All Appropriate Inquiries path before the rumor. Decide whether the company and the building sell together, lease back, or stay with a third-party landlord. Occupancy rules on a 504 path still apply when that product is the plan: $5 million standard, $5.5 million on a qualifying small-manufacturer project (Source: SBA).

Year minus one is the process design. Name the buyer-class hypothesis. Buyer types do not share an earnings base. Name the sub-sector. Recast on SDE or adjusted EBITDA honestly. Write a peg method on paper even if no letter exists yet. Working-capital peg and true-up should not be invented in exclusivity.

How should earnings be cleaned years before a teaser?

Stop mixing personal expenses into the shop without a paper trail you can later unwind. Replacement-manager pay is a line you can start paying now if the hire is real. One-time legal, flood, or move costs need invoices and dates. Recurring scrap is not unusual. A crashed spindle is not EBITDA.

Main Street manufacturing in the 2021–2025 BizBuySell set cleared at 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). If that is the room you will inhabit, practice living on discretionary earnings after a replacement wage. If you intend a larger-EV conversation, the general manager has to be in the number long enough that a quality-of-earnings team believes it. Manufacturing business valuation still wants a size band. This calendar only says: pick the earnings base before you pick a hoped-for headline.

Form 8594 and IRC § 1060 allocation will sit on applicable asset acquisitions later. Counsel and a CPA own the form. The years-out job is to keep the books from pretending iron, goodwill, and the building are one blob. Do not invent a split now. Do keep serials and a depreciation schedule that a CPA can use.

What people and concentration work cannot wait for the listing year?

The scarce seats are quoting, programming, quality release, and the customer hold. If two of those four are you, a buyer is buying a training period. Hire, cross-train, and write who covers vacation. If you intend a family path, that is a different page and still needs a written number. This calendar assumes an outside process is at least a live option.

Concentration is a monthly extract, not a memory. Many credit files still ask whether one customer sits near 25–30% of sales. That is an underwriting habit, not a statute. Years out, you can still widen the book, write a second program, or decide the structure you will accept. Waiting until the teaser to discover a 40% account is how letters die.

SBA 7(a) still caps at $5 million with a 10% change-of-ownership injection; a seller note counts toward that injection only on full standby and only up to half (Source: SBA). If an operator is the likely clearing class, do not grow enterprise value past the box by accident and then act surprised. If you will outgrow that box, say so in year minus three and plan a different stack.

IBBA Pulse Q1 2026 reported that 83% of deals over $5 million drew three or more offers (Source: IBBA). That is a process fact for the year you go to market. The years-out job is to build a file more than one class can finish.

How should iron, inventory, and the peg be treated as a multi-year project?

Equipment that should have been rebuilt is a cash chip the year you sell. Catch it up on a calendar. Serials, liens, and last rebuild dates belong in a living list, not a weekend scramble. Orderly liquidation value plus clean net working capital is the floor test. If that floor already exceeds earnings, you are in an asset conversation even if the CIM will later tell a growth story.

Inventory classes — raw, WIP, finished, consigned, customer-owned — should be a monthly habit. Unbilled first-article hours are not finished goods. Slow-moving alloy for a dead program should be written down when you know it is dead, not the week of the physical. A peg method written two years early is a gift to your future self.

Environmental work is not a year-of-sale surprise on a wet process. ASTM E1527-21 supports All Appropriate Inquiries when the dirt is in the deal. Schedule time. A recognized environmental condition found after the announcement is a rumor with a lab report.

If you intend a headcount change after you leave, WARN under 29 U.S.C. 2101 is a counsel item for the buyer, not a reason for you to hide the roster. Your job is a true org chart. Do not staff the CIM with people who already resigned in their heads.

How should confidentiality and the crew sit on a years-out calendar?

Do not tell the floor you will sell “in a few years.” That sentence is a résumé event. Script the stay conversation for the estimator when a process actually exists. Until then, the years-out work is quiet: books, iron, people, certificates. How it works is the later spine. A rumor years early is not a spine.

Public marketplaces create inbound and screenshots. For most manufacturers the default stays a controlled list when you finally go to market. A “test listing” in year minus three is how customers and the second-shift lead learn from a screenshot. Listing is a tactic in the sale year. It is not the preparation.

ITAR § 122.4(b) still puts a 60-day DDTC notice on many defense transfers involving foreign-person control of a registrant. FAR 42.12 still sits on government novation. If those clocks will apply, put “who owns the registration” and “who owns the novation packet” on the year-minus-two list. They are not year-of-sale surprises.

Worked contrast: two calendars that start the same year

Illustrative only. Owner T spends year minus four mapping tax to job cost, hires a plant manager in year minus three, rebuilds the tired cell in year minus two, and keeps a nameless concentration schedule the whole time. The year of the teaser is a process, not a reconstruction. How it works can start on time.

Illustrative only. Owner U spends those same years taking every job that fits the bay, skipping rebuilds, and remaining the only quote. The year they are tired, they want a listing and a number. The file is a reconstruction project. A 223-day median does not apply to a packet that does not exist (Source: BizBuySell). The honest move is to start the calendar anyway and stop calling the feeling a plan.

The specialist refused to treat Owner U’s fatigue as readiness.

A last calendar habit: pick one Friday each month for the three living extracts — tax-to-P&L map, nameless concentration, serialized iron. If those three files are current in year minus one, the teaser year is a process. If they are a weekend scramble, you are still in reconstruction. HedgeStone will ask for the folder, not for a feeling. Do not wait until you are tired to start the Friday habit. A tired owner with a current folder is ready to design a process. A tired owner with no folder is ready to start the calendar. Those are different calls. Documents needed to sell is the tab list when the folder exists. This page is the years that create the folder. IBBA’s three-or-more-offers print on larger files still rewards a packet more than one class can finish (Source: IBBA). The Friday habit is how that packet exists.

Common mistakes this exit-planning guide exists to stop

A test listing years early. Exclusive talks with a neighbor “to see.” Calling deferred iron an add-back in advance. Hiring a GM on paper the month of the CIM. Asking this page to be an estate plan or an appraisal. HedgeStone will help you name the calendar. Jason Taken is a business broker, not a tax lawyer.
