Does a stock sale keep the listing that an asset sale must rebuild?
Do not invent a universal transfer act. There is no single federal "manufacturing registration transfer statute" that moves every listing on closing day. FDA food registration, FDA device listing, and USDA inspection are separate programs with separate forms. HedgeStone will not write a CIM that says "registrations transfer automatically."
| Agency file | Stock sale of the same entity | Asset sale into a new LLC | Who confirms |
|---|---|---|---|
| FDA food-facility registration | Entity often remains the registrant; ownership-change updates can still be due | New operator typically files its own registration | Food-regulatory counsel |
| FDA device establishment / listing (21 C.F.R. 807) | FEI may stay; complaint and CAPA custody still move with equity | New registration and listing are common | Device-regulatory counsel |
| USDA FSIS Grant of Inspection | Still an establishment-and-applicant fact; confirm whether a new application is required | New ownership commonly applies | FSIS consultant + counsel |
| ISO 13485 / GFSI certificate | Registrar transfer process, not an agency listing | Often a new certificate or CB transfer | Quality consultant |
Census CBP 2023 put 284,452 manufacturing establishments on the map, and 68.4% of them employ fewer than twenty people (Source: Census CBP). A twelve-person co-packer still registers. A fourteen-person contract manufacturer that machines implant components still lists. Size does not create an exemption.
What should a food or co-pack buyer put in the first NDA dump?
Food and beverage files need the current food-facility registration confirmation, the responsible-person identity, the last biennial-renewal evidence, the recall and withdrawal log, the allergen program, and the last GFSI or customer audit. If the plant is under USDA inspection for meat, poultry, or egg products, add the Grant of Inspection package and any recent noncompliance records. Sanitation chemistry and floor drains still belong with RCRA, air, and stormwater. Registration is the product-side twin of those environmental permits.
A buyer who plans an asset purchase should ask counsel, in week one, whether the new entity can register before first production or only after keys. Shipping product on the seller's registration after the seller no longer owns the process is how a clean-looking close becomes an agency problem. Write the gap days in the transition memo.
Related-party co-pack for the seller's other brand is a second trap. If that volume leaves with the owner, the registration stays and the throughput does not. How do device listings and ISO 13485 share a close without becoming one document?
Medical device components live on two tracks. ISO 13485 is a registrar system. FDA establishment registration and device listing are agency status. An asset buyer can lose the listing while the certificate transfer is still in a CB's inbox. A stock buyer can keep both and still inherit an ugly complaint file. Ask for the FEI, the listed product codes, complaint and CAPA aging, and whether private-label customers sit on the seller's listing or their own.
Process validation packets do not travel as PDFs with a new logo. If the buyer is a new legal manufacturer, revalidation scope is a consultant question. If the buyer is purchasing equity and remaining the same manufacturer, custody of the design-history and device-history files is still a closing deliverable.
Foreign buyers add a third track. A change in control can raise CFIUS questions on some critical-technology files and can still require ordinary FDA updates. Do not collapse those into one adjective. See how it works for sequencing; this page is the registration slice.
What does a USDA grant of inspection refuse to do at closing?
A Grant of Inspection is not a vehicle title. FSIS inspects an establishment under a named applicant. New ownership commonly applies. The establishment number that customers print on labels is part of the commercial identity; losing the number or interrupting inspection is a revenue event, not a clerical delay. Counsel and an inspection consultant map the application against the close calendar. The broker maps whether the LOI assumed uninterrupted production.
Label claims, formula files, and incoming-species records belong in the same carton as the grant. A buyer who only asks "do you have USDA?" is asking a yes-no question that hides the application.

What does a 40-person co-packer plus a 22-person device shop look like side by side?
The co-packer is an asset sale into a new LLC. Food-facility registration must be filed for the new operator. If any USDA-inspected SKU sits on the line, the grant path starts before the last production week on the seller's number. The device shop is a stock sale of the same LLC that already holds the FEI. The listing may stay. The complaint file still moves with the equity. Two plants. Two structures. Two calendars. Same rule: do not assume the CIM verb "transfers."
An individual buyer using 7(a) inside the $5 million cap (Source: SBA) will meet a lender who asks whether the plant can legally ship in week one. A missing registration path is a credit issue, not only a quality issue.
Jason Taken is a business broker. He does not file FDA registrations, list devices, or apply for a USDA grant of inspection. Educational information only. Retain FDA or USDA counsel and a qualified consultant before anyone treats a stock-versus-asset sentence as a clearance, and before anyone ships on a registration that belongs to a seller who already cashed the wire. Data current as of September 2026.
A registration week that does not start a customer rumor
Monday. Pull registration confirmations, FEI or grant papers, recall logs, and the last agency or customer audit into the NDA room. The teaser stays silent on 483s and withdrawals.
Tuesday. Counsel writes the stock-versus-asset memo as it affects the named registrant, not as a tax slogan. Tax counsel is a different memo.
Wednesday. Quality and regulatory consultants split the folders: registrar certificate on one table, agency listing on the other. They are allowed to disagree.
Thursday. Map first-ship date against the filing clock. If the new entity cannot ship on Monday after close, the working-capital peg and the transition week must say so.
Friday. Decide whether the path is a condition, a price chip, or a walk. An interrupted USDA line is often a walk for a first-time operator.
The LOI. Name who files, who pays, and who owns leftover labeled inventory that still carries the seller's establishment number.
How should leftover finished goods and the seller's establishment number be treated?
Cases already labeled with the seller's FDA-registered name or USDA establishment number are not automatically the buyer's to sell on Monday. Some channels will accept a documented ownership change. Some will not. Count the cases. Read the labels. Ask counsel whether a relabel, a hold, or a seller-fulfillment tail is required. Inventory that cannot ship is not working capital. It is a write-down wearing a barcode.
Private-label customers who printed the seller as manufacturer of record need a written notice plan. The sell-side process keeps those names behind NDA until the notice week. Do not let a buyer call the retailer "to introduce myself" before counsel drafts the sentence.
What does a 483, a warning letter, or an open recall do to price?
An open FDA inspection observation or an open recall is a priced item. Closed history with completed CAPA is a diligence story. Pretending the file is empty because the lobby is white is how buyers overpay for access they do not yet have. Quote the remaining work. Do not argue adjectives.
A warning letter that names a process the buyer intends to keep is not cured by a new LLC. The process is still the process. Budget the consultant and the lost weeks.
Main Street manufacturing in the mixed BizBuySell 2021–2025 set printed a 2.75x median SDE (Source: BizBuySell / Iconic). That median is not a food-or-device law, and it does not include a fantasy in which agency status is free.
How should first-time operators budget the gap between close and first legal shipment?
Searchers and individual buyers sometimes schedule close on a Friday and first-ship on Monday. Food and device files often refuse that calendar. Registration, listing, grant, and customer-notification windows belong on the same Gantt chart as the quality-of-earnings report. If the book assumes uninterrupted revenue and the agency path assumes a dark week, the model is wrong.
Budget consultant retainers, possible idle labor, and spoilage on short-code product. Then look at the multiple again. HedgeStone will not let the CIM hide a dark week behind the word seamless.
How should a co-manufacturer who is not the brand owner treat customer-owned formulas?
Formulas, specifications, and artwork that belong to the brand owner are not the seller's to assign as if they were M&E. The registration conversation and the contract-assignment conversation have to finish in the same week. A new FDA registrant that cannot legally run the customer's formula is a dark plant with a new FEI. Ask for the co-pack agreements, the change-of-control clauses, and whether the brand owner must re-approve the facility after an ownership change. That re-approval is often longer than the agency filing.
