How big is Arizona manufacturing, really?

Census counted 4,406 Arizona manufacturing shops in 2023, averaging 39.4 people (Source: Census CBP). Those shops employed 173,706 people. Census put Arizona twenty-second among the states. About 71.3 percent have fewer than twenty employees, a bit above the national 68.4 percent on 284,452 U.S. plants. The 0.79 percent tail with 500 or more people is thin compared with a large-plant Southern state (Source: Census County Business Patterns).

Those numbers tell you the bench is real and mostly small-to-mid. They do not tell you what your company is worth. A Chandler electronics house and a Tucson food plant sit in the same statewide count. They do not share customers, certificates, or a buyer list.

Owners who sell a manufacturing business here usually sit in aerospace and electronics around Phoenix, fabricated metal, food, or desert-climate building products. Name the process. Do not paste a NAICS split into a teaser unless you can prove the count. Sub-sector hubs keep those packets apart.

If the plant is in Phoenix, use sell a manufacturing business in Phoenix. Tucson, Mesa, Chandler, and Flagstaff are regions we name in a confidential teaser. An aerospace customer can still hear about a Phoenix file before any listing appears.

Does selling an Arizona manufacturer require a real-estate broker?

Treat the going-concern sale as if it may sit under Arizona’s real-estate definition until counsel says it does not. That definition is commonly read to cover business opportunities (Midwest Brokers licensing reference). Business-broker licensing by state is the comparison. Jason Taken is a business broker. A Phoenix or Tucson building still needs a licensed real-estate broker on the deed.

A card is not a multiple. It also does not finish the company sale by itself.

Sales tax on machinery is often discussed as a manufacturing exemption or an occasional-sale question. Successor tax is fact-dependent. An Arizona CPA writes those sentences. HedgeStone will not.

Will employees hear before you are ready?

Start with how it works: a teaser that names no door, an NDA, a staged room, then a scripted tour. Aerospace files leak through a quality clerk. Electronics files leak through a buyer who already quotes the same account. Food files leak through a slotting manager. Name a region — Phoenix aerospace, Tucson food, Flagstaff metal — not a clean-room door. Skip a customer-audit week.

Screenshots travel faster than NDAs in Phoenix. Keep the file on a named list. The 0.79 percent tail does not make a public posting safer. Most Arizona shops still have fewer than twenty people, and those rooms hear a rumor in a day.

Tell the floor late, on a day you pick, with a written script. WARN is still the federal page. Arizona does not add its own mini-WARN clock in the layoff-notice lists we checked. The federal test can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 39.4-person shop often sits under it. Counsel still counts temps.

Arizona has no New Jersey-style transfer-act clock. All Appropriate Inquiries still apply when land or a wet process is in the deal (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I. Pieces generally go stale after 180 days. Coatings, food chemistry, and wet electronics still go to Phase I and, if needed, Phase II.

How is an Arizona plant priced?

Manufacturing business valuation stays national. Price stays on national bands: BizBuySell’s manufacturing median remains 2.75x SDE (Source: BizBuySell). BizBuySell still shows that 2.75x median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Mesa promise. An aerospace supplier with reportable EBITDA does not belong in that SDE room.

IBBA Q1 2026 found 83 percent of deals over $5 million drew three or more offers. On a mid-size map with a thin large-plant tail, that pattern is not automatic. It is still not a bid promise on a $250k-SDE Chandler shop. Buyer types recast differently: operators to SDE, aerospace add-ons to the certificate, food buyers to the slot. This page will not name firms.

Phoenix searchers still meet the SBA 7(a) wall: $5 million, and a 10 percent injection under SOP 50 10 8. A note with current pay is credit, not equity. Only a full-standby note, and only half the injection, counts. Tell a Flagstaff metal owner that before anyone drives to Phoenix.

What has to be in the room before a tour?

Unfinished jobs and certificate holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into an aerospace letter and the true-up will invent a fight after the wire.

The complete guide to selling a manufacturing business covers the national steps. Arizona adds the business-opportunity wording and the 39.4-person mix.

Real estate is a second price. Going concern plus plant, going concern plus leaseback, and a landlord already in the deal are three letters.

May 2025 BLS OEWS still lists $58,750 for machinists and $53,750 for welders nationwide. Do not treat those as Phoenix wages. If Tucson work has no named quote person, the file is not ready.

Aerospace hides quality systems. Electronics hide certificate clocks. Food hides code dates. Fabricated metal hides coatings. Building-product shops hide season and freight. Write those packets separately. The 173,706-employee count does not turn them into one Arizona story.

Related-party rent in Phoenix or Tucson that sits below market is a gift to the first offer. Put a market rent in the recast. Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. An Arizona CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA.

A Phoenix book that still depends on one owner to release every traveler is not “a 39.4-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. Twenty-second place in the Census count does not repair a thin buyer list.

An aerospace earn-out belongs on named-account gross profit, with a floor and a cap. A current-pay note is still credit. August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0 percent describe the year, not a Chandler premium.

When does the business-opportunity wording actually matter?

Counsel should read the engagement before the first teaser goes out, not after a Phoenix buyer asks who holds the card. Arizona’s real-estate definition is commonly treated as covering business opportunities. That is a timing fact. It is not a reason to skip a licensed real-estate broker when a Chandler building transfers.

Desert building-product files hide freight and season. A Tucson food file hides a slot. An electronics house hides a certificate clock. Write those packets as if they were different companies, because they are. The 4,406-shop count does not merge them.

A Phoenix aerospace book that still needs the owner to release every traveler is not a 39.4-person shop in the memo. Write who quotes Tucson work, who holds the certificate, and who talks to the Flagstaff metal customer. Those names wait for the NDA.

Desert building-product files hide freight and season. Electronics hide certificate clocks. Mesa and Chandler sit in the same Valley conversation and still do not share a buyer list. If the only offer wants “any Valley shop,” send it away. Twenty-second in the Census list does not fix that buyer. A 39.4-person average is a replacement-wage fact, not a Phoenix premium. Flagstaff metal still belongs in the second sentence of a teaser. The business-opportunity wording belongs on the engagement letter before anyone walks a Chandler floor. Tucson food still needs its own packet. Do not fold it into a Phoenix aerospace story.

The other door is buy a manufacturing business in Arizona. Book a confidential intro call when the recast and the business-opportunity question can travel. The Census placement does not become a Phoenix price.
