Illinois cells attach to the Chicago deed

The Illinois row in the CBP 2023 state file lists 12,465 manufacturing establishments, seventh in that ranked table, with 544,438 employees, a 43.7-person average, 64.9% of shops under 20 employees, and a 1.11% share at 500 or more (Source: Census CBP). The national file in the same vintage is 284,452 establishments. Those cells describe Illinois. They do not describe a Loop-adjacent bay, a south-suburban food plant, or a west-suburban job shop as if Census printed a metro extract here.

BLS Current Employment Statistics publishes manufacturing employment for metropolitan areas. This site does not print a CES cell for Chicago. If a later pass cites a sourced CES figure, it will name BLS. Until then the honest sentence is that Chicagoland is a sourcing label on an Illinois overlay.

The parent Illinois sell page owns the statute table. This city page sits under the cities directory and under sell my manufacturing business. Fabricated metal and food around Chicagoland, downstate machinery, and Rockford or Quad Cities metalworking stay qualitative. Confirm any NAICS split before it enters a teaser.

Statute follows the plant address. Chicago-Naperville-Elgin, IL-IN-WI is a commute map. A Hammond or northwest-Indiana deed uses Indiana. A Kenosha-side deed uses Wisconsin. Do not import those overlays onto a Cook County or DuPage address because the MSA nickname is long.

What a Chicagoland teaser may name

Name a region, not a cross-street. South-suburban bays, west-suburban job shops, and the Loop industrial fringe are allowed labels. A photo of the only press that a customer would recognize is a leak. How it works still runs blind teaser, NDA, staged room, customers last.

Valuation does not start with a skyline. Size band and sub-sector still decide the earnings basis. A food co-packer near the city and a west-suburban CNC house share Illinois cells. They do not share a diligence packet.

Climate prints stay weather. ISM’s August 2026 PMI printed 54.6. Fed manufacturing capacity utilization printed 76.0% in July 2026. Neither figure is a Chicago premium. Sub-sector hubs still matter more than the lake.

Successor tax and the Brokers Act on a Cook County close

Quote the cells. Confirm with counsel. Do not invent thresholds.

Business-broker licensing by state is the longer briefing. The Illinois primary sits at the Secretary of State Securities Division. Jason Taken is a business broker. Conveying the plant still needs a licensed real-estate broker for that piece.

All Appropriate Inquiries still governs when dirt is in the deal or the process history is wet (Source: EPA / 40 C.F.R. Part 312). Plating, solvents, tanks, foundry sand, and chlorinated degreasers still send a Chicago file to Phase I and, if needed, Phase II. ASTM E1527-21 is the current practice standard. Components generally stale after 180 days.

Federal WARN tests 100 or more full-time employees and a 60-day window (29 U.S.C. § 2101). Illinois is listed as a mini-WARN state. WARN is the federal page. Counsel reads the site and the calendar. This page will not invent a Cook County headcount.

How should a Chicago owner keep the sale quiet?

Script the visits. Do not tour during a customer audit or a second-shift changeover on a south-suburban line. The estimator who hears a rumor updates a résumé. The buyer who already slots product in the same channel hears faster than a flyer would.

Employees and customers hear on a planned day, usually late. Unions, where they exist, have their own clocks. A stock sale is not a holiday from notice. Public marketplaces create inbound and screenshots. For most Chicagoland manufacturers the default is a controlled list. Listing is a tactic, not the process.

The complete guide to selling a manufacturing business is the long sequence. This page is the Chicago overlay on Illinois cells. Write the working-capital peg before anyone gets exclusivity. A manufacturing peg has to class raw, WIP, finished, consigned, and customer-owned tools. If the letter copies a retailer definition, the true-up will invent a six-figure argument after the wire.

Main Street manufacturing in BizBuySell’s 2021–2025 sold set cleared at a 2.75x median SDE, and the 2025 manufacturing median close was 223 days (Source: BizBuySell). Those prints travel. They are not a west-suburban quote. Larger-EV files live on adjusted EBITDA in different bands. Do not average those rooms and call the blend “what Chicago trades at.”

IBBA / M&A Source Market Pulse Q1 2026 reported that 83% of deals over $5 million drew three or more offers (Source: IBBA). That is an argument for a parallel process when the file can support it. It is not a promised bid count on a $400k-SDE job shop off the Eisenhower.

Preparing the Chicago sale file without a city count

The first tabs do not change because the plant sits west of the lake. The closing extras do. Recast three years of tax returns and YTD with documented add-backs. List make, model, year, control, serial, and lien on every cell. Keep concentration nameless until NDA. Mark E&O in inventory. Put current CB audits and open NCRs in the certificate tab. Budget Phase I if dirt or wet process is in the deal. Put successor clearance on the CPA calendar the same week you name a close date.

Quality certificates — ISO 9001, AS9100, ISO 13485, IATF 16949, SQF — are access gates. A lapsed card is a customer problem before it is a marketing problem. Asset value can exceed earnings value. If orderly liquidation value of the iron plus cleaned net working capital sits above the earnings story, stop writing a growth CIM. Price the floor.

SBA operators still live inside a $5 million 7(a) box with a 10% change-of-ownership injection under SOP 50 10 8 (Source: SBA). A seller note counts toward that injection only on full standby for the life of the loan and only up to half the injection. If the file cannot live in that box, say so before two months disappear on a buyer who needed it.

Form 8594 and IRC § 1060 allocation split iron, goodwill, and — if it is in the deal — the building. Buyers want Class V machinery. Sellers often want Class VI/VII intangibles. That fight is federal. Illinois successor clearance is a state certificate on the same checklist. Do not let one conversation hide the other. Bonus depreciation and § 179 are year-specific. HedgeStone will not give tax advice.

A Cook County food co-packer and a west-suburban CNC house share the successor-tax cell and the Brokers Act. They do not share a visitor script. The food file needs a slotting-aware list and a GFSI week that does not collide with tours. The job shop needs a machine list that survives an orderly-liquidation check and an estimator who will stay through the handoff. Put both facts in the CIM without naming the street.

Owner dependence does not become a Loop premium. If the owner still quotes every job and still closes every account, write a real replacement wage into the recast. Deloitte and The Manufacturing Institute still flag a large national hiring need this decade. Your file’s version is four names: who programs, who quotes, who can run the second shift, and who the customer actually calls. A south-suburban shop that only the owner can finish-quote is a stay conversation, not a turnkey adjective.

Buyer types do not share an earnings base on a Chicagoland file. An SBA operator starts at SDE after a replacement wage and whether the check fits the box. A searcher starts at margin after a real general manager. A strategic starts at the certificate and the customer they already know — which is also how rumors start on food books. An add-on starts at reportable EBITDA. This page will not name private-equity firms.

Dirt is a second price on the same Illinois overlay. Selling the company with the plant, selling the company and leasing the building back, or leaving a third-party landlord in place are three structures. If real estate is the dominant element, Illinois can pull that piece under the Real Estate License Act. A large building attached to a thin operating company is not “mostly spindles” because the teaser opened with a Haas photo.

Public listing remains optional. Most Chicagoland manufacturers should default to a blind teaser, NDA, and a controlled list so the estimator does not learn from a screenshot. Rockford and the Quad Cities stay sourcing labels on the Illinois overlay.
