Defense and electronics files leak through the buyer
A quality clerk on a defense or electronics account can hear about a sale before your own floor does. The same is true of a print buyer who already quotes the job and a life-science auditor who already walks the lab. Name the process. Leave the clean-room door out of the teaser.
People who sell a manufacturing business in Maryland usually sit in defense and electronics, food, printing, or life-science suppliers. Sub-sector hubs keep those packets from mixing. A defense book and a food plant share the statewide map. They do not share certificates or a buyer list.
If the plant sits in Baltimore, use sell a manufacturing business in Baltimore. Montgomery County, Prince George’s, Frederick, and Hagerstown are regions we name in a confidential teaser. A Frederick electronics file can still leak through the same customer who already audits you.
| Book | Who hears first | Packet that must exist |
|---|---|---|
| Defense and electronics | Customer quality clerk | Certificates, unnamed until the NDA |
| Food | Slotting manager | Holds and code dates |
| Printing | Ink or print buyer | Chemistry and press list |
| Life-science suppliers | Audit clerk | Quality system, not a hallway |
How many Maryland shops are we talking about?
The Census County Business Patterns, 2023 file ranked Maryland thirty-first with 2,838 manufacturing shops and 109,929 people on the payroll. That is about 38.7 employees per location. 71.0% of the shops have fewer than twenty employees, a bit above the national 68.4% on 284,452 U.S. plants. About 1.02% have 500 or more employees.
A 38.7-person average is a mid-size shop with enough people for a rumor and usually not enough to trip federal WARN on its own. Thirty-first place is a sourcing fact. It is not a Baltimore quote. Most files here still price on seller discretionary earnings once a replacement wage is named.
The 2,838-shop base is large enough to look busy and small enough that defense buyers already know the short list. That is the leak. It is not a premium.
Does Maryland add a layoff-notice rule on top of federal WARN?
Yes. Layoff-notice lists we checked include a Maryland mini-WARN rule. This page will not invent a headcount. Counsel reads the statute against the people you actually employ. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). WARN is the federal page. Stack the two calendars before anyone tours Hagerstown.
A shop near the 38.7-person average often sits under the federal test. That is why the state rule is the one owners forget. Plan the stay talk and the notice question together.
Is a business-broker license required in Maryland?
Maryland is not listed with a dedicated business-broker license rule in the compilations we checked. Ask counsel before you sign an engagement. The state-by-state page is business-broker licensing by state. Jason Taken is a business broker. The plant deed still needs a licensed real-estate broker.
A missing dedicated rule does not raise a Baltimore price. It also does not retire the real-estate card when the plant moves.
Maryland does not copy New Jersey’s transfer-act calendar. All Appropriate Inquiries still apply (Source: EPA / 40 C.F.R. Part 312). A Phase I under ASTM E1527-21 is the usual start. Those pieces generally go stale after 180 days. Coatings, print chemistry, and food still go to Phase I and, if needed, Phase II.
Sales tax on machinery is often a manufacturing-equipment exemption or an occasional-sale question. Successor tax is fact-dependent. A Maryland CPA writes those sentences. HedgeStone will not.
How do you sell without the quality clerk finding out first?
How it works keeps the plant unnamed until the NDA, then opens a staged room, then scripts the visit. Defense and electronics leak through the customer. Food leaks through slotting. Printing leaks through ink. Life-science suppliers leak through an audit clerk. Call the region Baltimore metro, Montgomery County, Frederick, or Hagerstown. Do not put a clean-room street in the first sentence.
A public marketplace makes screenshots. On a map where 71 percent of shops have fewer than twenty people, the default is a controlled list. The 1.02% large-plant tail does not make a listing safer.
The floor hears late, on a planned day, with a script. Counsel also reads the Maryland layoff-notice rule before that day is set. A quality lead who already talks to the customer may need a stay conversation before a tour.
Manufacturing business valuation stays national. BizBuySell still prints a 2.75x manufacturing SDE median on about $268k discretionary earnings and a 223-day median close. Use 223 days to plan. Do not promise Baltimore. A defense supplier with reportable EBITDA does not belong in the SDE room.
| File shape | How buyers recast | National band | Baltimore myth that does not pay |
|---|---|---|---|
| Owner still quotes every Frederick job | SDE after a named replacement wage | 2.75x median in the BizBuySell manufacturing set | “Harbor plant” in the teaser |
| A real number two already runs the lab | Adjusted EBITDA in national bands | Size band, not the county | 2,838 shops in the Census file |
| Tired iron plus cleaned working capital beats earnings | Orderly liquidation | Floor, not a growth story | Hagerstown print with tired cylinders |
A Maryland food book that needs SBA 7(a) still has to fit a $5 million cap. SOP 50 10 8 still asks for a 10% injection. Standby paper can fill only half of that, and only for the life of the loan. Say so before anyone drives to Columbia.
IBBA’s Q1 2026 Market Pulse said 83% of deals over $5 million drew three or more offers. That pattern can appear on a larger defense file. It does not promise bids on a $250k-SDE Frederick shop. Buyer types recast differently: operators to SDE, defense add-ons to EBITDA, food buyers to the slot. No firm names here.
What belongs in a Baltimore-area packet?
Write unfinished jobs, certificate holds, and food holds as their own classes in the working-capital peg before exclusivity. A retailer peg dropped into a defense letter will invent a fight after the wire.
The complete guide to selling a manufacturing business is the national sequence. Maryland only adds shop size, the layoff-notice question, and Baltimore as a live city page.
| Packet | Ready looks like | Maryland catch |
|---|---|---|
| Recast | Three years, current stub, add-backs proven | Wage for whoever actually runs the 38-person lab |
| Concentration | Twelve-month and three-year views; names later | Program names wait until the NDA |
| Quality | Defense, ISO, FDA, or food papers in date | Pass, not a logo |
| Equipment | Serials and liens listed | Lab test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Unfinished Baltimore jobs are not a surprise |
| License | Counsel reads the engagement | No dedicated broker-license rule widely cited |
| Notice | Temps counted; counsel reads the Maryland rule | State mini-WARN plus federal 100 / 60 if facts fit |
BLS OEWS May 2025 still prints a national machinist median of $58,750 and a welder median of $53,750. Those figures are not a Baltimore wage series. If nobody can quote Frederick work after the owner leaves, the file is not tour-ready.
Keep defense quality systems, food code dates, print chemistry, and life-science certificates in separate rooms. The 109,929 people on Maryland manufacturing payrolls do not collapse those books into one story.
Below-market rent on a Baltimore or Montgomery County related-party lease is a gift to the first offer. Reset the recast. Confirm the engagement. Hire a real-estate broker if a Hagerstown building actually transfers.
ISM at 54.6 in August 2026 and Fed G.17 utilization at 76.0% in July 2026 describe the year, not a harbor add-on. Put Frederick or Hagerstown in the second sentence. A clean-room street is how the customer hears.
Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Maryland CPA writes the machinery-tax and successor-tax lines. Jason Taken is a business broker. Counsel reads the license question, the Phase I, and the Maryland layoff-notice rule. Nobody here promises a close week.
If one owner still releases every traveler on a defense book, stop calling the memo a 38-person plant. Name the second chair before anyone talks discretionary earnings. A tourist who wants “any Beltway shop” is not a buyer list. Thirty-first in the Census file does not fix that.
Set-aside status on a government book is not a freely transferable asset. Say that early. Floor and cap a food earn-out on named-account gross profit or it comes back after the letter. A note with current pay is credit, not SBA equity.
A Montgomery County electronics file and a Baltimore food plant can share the same 2,838-shop map and still need two teasers. The defense customer who already audits you is a leak path that a public marketplace cannot control. Name the county after the NDA. Leave the lab door out. Set-aside status on a government book is not a freely transferable asset, so say that before anyone tours.
The matching door is buy a manufacturing business in Maryland. Book a confidential intro call when the recast, the notice question, and the customer-leak plan can travel without naming the lab. Census rank maps the state. It does not price a Baltimore shop.
