Does Michigan pull a plant sale under a real-estate license?
Often, treat it that way until counsel says otherwise. The business-opportunity wording is commonly treated as pulling the sale under a real-estate broker definition (Source: Midwest Brokers 2026). Business-broker licensing by state is the longer comparison. Jason Taken is a business broker. Counsel confirms the engagement you actually have.
If the building transfers, a licensed real-estate broker still handles the deed. That is true even when the going-concern piece already sits under the business-opportunity wording. The license question and the deed are two different cards. Neither one is a Detroit multiple.
| Question | Michigan answer | What does not follow |
|---|---|---|
| Broker license | Express-coverage for business opportunities; counsel confirms | A Detroit selling price |
| Building | Licensed real-estate broker on the deed | The same card finishes the company sale |
| Part 201 | Disclosure and cleanup on some files; confirm | A New Jersey-style transfer clock |
| Mini-WARN | No extra state clock in the lists we checked | No federal WARN ever |
Auto in Detroit, furniture in Grand Rapids — two buyer lists
A program buyer on an auto book can hear about a sale before your own floor does. A West Michigan furniture dealer can do the same on a wood file. Tooling and food leak through the estimator or the slot. Name the process. Leave the press door out of the teaser.
People who sell a manufacturing business in Michigan usually sit in automotive and mobility suppliers, furniture and wood in West Michigan, food, or tooling. Sub-sector hubs keep those packets from mixing. A Detroit auto book and a Grand Rapids furniture plant share the statewide map. They do not share customers.
If the plant sits in Detroit, use sell a manufacturing business in Detroit. If it sits in Grand Rapids, use sell a manufacturing business in Grand Rapids. Kalamazoo, Lansing, Flint, and Ann Arbor are regions we name after the NDA. A Flint tooling file can still leak through the same buyer who already quotes you.
How big is Michigan manufacturing?
The Census County Business Patterns, 2023 file ranked Michigan eighth with 12,192 manufacturing shops and 604,978 people on the payroll. That is about 49.6 employees per location. 64.4% of the shops have fewer than twenty employees, below the national 68.4% on 284,452 U.S. plants. About 1.34% have 500 or more employees.
Eighth place is a sourcing fact. It is not a Motor City quote. A 49.6-person average is a mid-to-heavy shop with a second chair and a program manager who talks. Most files still price on seller discretionary earnings once a replacement wage is named. The large-plant tail can sit closer to federal WARN.
Twelve thousand shops look like a crowded map. They still leak through one buyer. Do not write the teaser as if every file is a Detroit assembly plant, and do not write it as if West Michigan furniture is the same book.
What does Part 201 change on a Michigan close?
Michigan uses disclosure and cleanup rules under Part 201 on some files. Counsel confirms whether your plant trips that. It is not a New Jersey-style transfer-act clock. It also does not waive All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Use ASTM E1527-21 for the Phase I. Refresh pieces of that study after 180 days.
Coatings, plating, furniture finishing, and food chemistry still go to Phase I and, if needed, Phase II. Skipping the study because “Michigan is disclosure, not ISRA” is how a buyer’s counsel stops a downriver close.
Michigan does not add a state layoff-notice clock in the lists we checked. Federal WARN can still attach at 100 full-time people and 60 days (29 U.S.C. § 2101). WARN is the federal page. A shop near 49 people often sits under that line. A plant in the 1.34 percent tail may not.
Sales tax on machinery is often a manufacturing-equipment exemption or an occasional-sale question. Successor tax is fact-dependent. A Michigan CPA writes those sentences. HedgeStone will not.
How do you sell without the program buyer finding out first?
How it works keeps the supplier unnamed until the NDA, then opens a staged room, then scripts the visit. Auto leaks through the program buyer. Furniture leaks through a West Michigan dealer. Food leaks through slotting. Tooling leaks through the estimator. Call the region Detroit metro, Grand Rapids, Kalamazoo, Lansing, Flint, or Ann Arbor. Do not put a press-line street in the first sentence.
A public marketplace on a 12,192-shop map still makes screenshots. The default is a controlled list. The 1.34% large-plant tail does not make a listing safer.
The floor hears late, on a planned day, with a script. A program manager on a 49-person shift may need a stay conversation before a tour. Gossip from the release meeting is not a communication plan.
Manufacturing business valuation does not get a Michigan edition. BizBuySell still prints a 2.75x manufacturing SDE median on about $268k discretionary earnings and a 223-day median close. Use 223 days to plan. Do not promise Flint. An auto supplier with reportable EBITDA does not belong in the SDE room.
| Supplier shape | Recast | What buyers pay on | Motor City myth that does not pay |
|---|---|---|---|
| Owner still quotes every Warren job | SDE after a named replacement wage | 2.75x median in the BizBuySell manufacturing set | “Detroit plant” in the teaser |
| A real number two already runs the cell | Adjusted EBITDA in national bands | Size band, not the metro | 12,192 shops in the Census file |
| Tired iron plus cleaned working capital beats earnings | Orderly liquidation | Floor, not a growth story | Lansing tooling with tired grinders |
West Michigan furniture that needs SBA 7(a) still has to fit a $5 million cap and a 10% injection under SOP 50 10 8. Seller paper helps only if it sits on full standby for the life of the loan, and only up to half the injection. Say that before anyone drives to Holland.
IBBA’s Q1 2026 Market Pulse said 83% of deals over $5 million drew three or more offers. On an eighth-place map with a real large-plant tail, that pattern can show up earlier than it does on a tiny-shop state. It still does not promise bids on a $250k-SDE Kalamazoo shop. Buyer types recast differently: operators to SDE, auto add-ons to EBITDA, furniture buyers to the dealer book. No firm names here.
What has to be ready before anyone tours Detroit or Grand Rapids?
Write unfinished jobs, program holds, and food holds as their own classes in the working-capital peg before exclusivity. A retailer peg dropped into an auto-supplier letter will invent a fight after the wire.
The complete guide to selling a manufacturing business is the national sequence. Michigan only adds the license posture, Part 201, shop size, and two live city pages.
| Packet | Ready looks like | Michigan catch |
|---|---|---|
| Recast | Three years, current stub, add-backs proven | Wage for whoever actually runs the 49-person cell |
| Concentration | Twelve-month and three-year views; names later | Program names wait until the NDA |
| Quality | IATF or food papers still valid | Pass, not a logo |
| Equipment | Serials and liens listed | Cell test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Unfinished downriver jobs are not a surprise |
| License | Counsel reads the engagement | Express-coverage for business opportunities |
| Environment | Phase I on land or a wet process | Part 201 disclosure if counsel says it attaches |
| Notice | Temps counted in the headcount | Federal 100 / 60; no extra Michigan mini-WARN in the lists we checked |
BLS OEWS May 2025 still prints a national machinist median of $58,750 and a welder median of $53,750. Those figures are not a Detroit wage series. If nobody can quote Warren work after the owner leaves, the file is not tour-ready.
Keep auto program clocks, West Michigan wood finishes, food code dates, and tooling backlog in separate rooms. The 604,978 people on Michigan manufacturing payrolls do not collapse those books into one story.
Below-market rent on a Detroit or Grand Rapids related-party lease is a gift to the first offer. Reset the recast. Confirm the engagement. Hire a real-estate broker if a Flint building actually transfers.
ISM at 54.6 in August 2026 and Fed G.17 utilization at 76.0% in July 2026 describe the year, not a Motor City add-on. Put Kalamazoo or Ann Arbor in the second sentence. A press-line street is how the program buyer hears.
Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Michigan CPA writes the machinery-tax and successor-tax lines. Jason Taken is a business broker. Counsel reads the license question, Part 201, and the Phase I. Nobody here promises a close week.
If one owner still releases every traveler on an auto book, stop calling the memo a 49-person plant. Name the second chair before anyone talks discretionary earnings. A tourist who wants “any supplier inside I-96” is not a buyer list. Eighth in the Census file does not fix that.
The matching door is buy a manufacturing business in Michigan. Book a confidential intro call when the recast, the license question, and the program-leak plan can travel without naming the cell. Census rank maps the state. It does not price a Detroit shop.
