Why does a 15-person Montana shop leak first?

The latest Census County Business Patterns file — 2023, released in 2025 — counted 1,393 Montana manufacturing establishments. That ranked fortieth among the states. Those shops employed 21,825 people, about 15.7 per location. 83.6% have fewer than twenty employees, well above the national 68.4% on 284,452 U.S. plants. The file shows 0% of establishments with 500 or more employees (Source: Census CBP).

Those numbers describe a map of owner-run shops. They do not tell you what your company is worth. A Missoula wood shop and a Great Falls metal shop sit in the same statewide count. They do not share customers, certificates, or a buyer list.

Owners who sell a manufacturing business here usually sit in wood products, food, fabricated metal, or small shops that serve resource and tourism work. Name the process. Leave a NAICS count out of a teaser unless you have confirmed it. Sub-sector hubs keep those diligence packets apart.

Billings, Missoula, Great Falls, Bozeman, and Helena are regions we name in a confidential teaser. They do not get their own pages here. A mill customer can still hear about a Missoula file before any listing appears. A neighbor with a different license posture is sell a manufacturing business in Wyoming. Do not copy that state’s rule onto a Helena engagement.

A 15.7-person shop also changes how you talk to buyers. Operators who want a second chair already in place will walk if the owner still quotes every Billings job. Searchers who want a campus will bounce when they see the empty 500-employee cell. Food buyers want the slot. Wood buyers want the mill account. Metal buyers want the ranch or mine. Write those teasers as four different rooms. The 21,825-employee statewide count does not merge them.

Does Montana require a dedicated broker license?

Lists we reviewed do not print a dedicated Montana business-broker license. Ask counsel before you sign an engagement. The comparison page is business-broker licensing by state. Jason Taken is a business broker. A Helena building still needs a licensed real-estate broker when the deed moves. A missing dedicated rule is not a selling price.

This state does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 15.7-person average shop usually sits under that federal test. Employment counsel still reads the actual headcount, including temps. WARN is the federal notice page.

Montana has no transfer-act clock. Buyers still ask for All Appropriate Inquiries when land or a wet process is in the deal (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I. Wood finishing, food chemistry, and metal coatings belong in Phase I and, if needed, Phase II. A 180-day stale date is common. A file with no 500-employee campus does not retire that study.

Sales tax on machinery and successor tax are fact-dependent here. A Montana CPA writes those sentences. HedgeStone will not.

How do you sell without the town finding out first?

How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Wood files leak through a mill. Food files leak through a slotting manager. Metal files leak through a buyer who already quotes the same ranch or mine account. Name a region — western Montana wood, north-central metal, Gallatin food — not a shop door. Skip a customer-audit week.

Public marketplaces create inbound and screenshots. On a map where most shops have fewer than twenty people, and where Census counted no 500-employee campus, the default is a controlled list. A Billings street is a leak, not a marketing advantage.

Employees hear on a planned day, usually late, with a script. There is no extra Montana headcount trigger in the lists we checked. The 15.7-person average is why the script matters more here than it does in a large-plant state.

Searchers who want SBA 7(a) financing still face a $5 million cap and a 10% buyer injection under SOP 50 10 8. A seller note counts toward that injection only if it is on full standby for the life of the loan, and only up to half the injection. Most Montana files will live in seller discretionary earnings rooms, not in that $5 million box. If a Bozeman food company cannot live in either room honestly, say so before anyone tours Great Falls.

What is a Montana plant worth — and what is it not?

Manufacturing business valuation stays national. After the license question is honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Missoula promise. A shop that still depends on one owner to quote every job does not become “a 15-person plant” in the offering memo just because Census printed 15.7.

IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a state with a 0% 500-employee share, that pattern is rare. It is not a bid promise on a $250k-SDE Bozeman shop. Buyer types recast differently: operators to SDE, food buyers to the slot, metal buyers to the mill account. This page will not name firms.

What has to be packed before anyone tours?

Unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Missoula wood letter and the true-up will invent a fight after the wire.

The complete guide to selling a manufacturing business is the national sequence. This page only adds Montana shop-size, leak, and license facts.

The building is a second price. Company plus plant, company plus leaseback, and a landlord already in place are three different letters. The broker-license question and the real-estate card are two different questions.

National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Billings wage series. A Bozeman labor premium is not in the research file. If the file cannot name who quotes Missoula work when the owner is gone, it is not ready for a tour.

Wood hides finishing chemistry. Food hides code dates. Fabricated metal hides coatings. Resource-adjacent shops hide one mine or ranch account. Write those packets separately. The 21,825-employee count does not turn them into one “Montana manufacturing” story.

Related-party rent in Billings or Bozeman that sits below market is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Helena building transfers.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Gallatin food premium. Most of the 1,393 shops still have fewer than twenty people. Great Falls and Helena belong in the second sentence of a teaser, never in the first. On a 15.7-person average, a shop-door street address is a leak.

Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Montana CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the license question and the environmental inquiry. No Billings close date is promised.

A Missoula wood book that still depends on one owner to release every traveler is not “a 15-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any Montana shop,” send them away. Fortieth place in the Census file does not repair that buyer list.

A Montana food earn-out that is not tied to named-account gross profit gets re-cut after the wire. Put a floor and a cap in the letter. A seller note that pays currently is credit, not the SBA injection. One customer at 38% still has to be named in the purchase agreement.

The empty 500-employee cell also changes the buyer list. Searchers who want a campus will bounce. Operators who can run a 15-person wood or metal shop are the real room. Tell that story in the teaser. Hide the shop door. A Missoula mill account does not become safer because the statewide file is small.

The other door is buy a manufacturing business in Montana. Book a confidential intro call when the recast and the leak plan can travel. Fortieth place in the Census file describes the map. It is not a Billings multiple.
