How large is a typical North Carolina plant?
The latest Census County Business Patterns file — 2023, released in 2025 — counted 8,664 North Carolina manufacturing establishments. That ranked ninth among the states. Those shops employed 472,162 people, about 54.5 per location. 63.8% have fewer than twenty employees, below the national 68.4% on 284,452 U.S. plants. About 1.78% have 500 or more employees (Source: Census CBP).
Those numbers tell you the map is large and a little more mid-size than a small-shop Western state. They do not tell you what your company is worth. A Charlotte auto supplier and an Asheville furniture shop sit in the same statewide count. They do not share customers, certificates, or a buyer list.
Owners who sell a manufacturing business here usually sit in furniture, textile remnants, food, auto and aviation suppliers, or pharmaceuticals. Name the process. Sub-sector hubs keep those diligence packets apart.
If the plant is in Charlotte, use sell a manufacturing business in Charlotte. If the plant is in Raleigh, use sell a manufacturing business in Raleigh. If the plant is in Greensboro, use sell a manufacturing business in Greensboro. Winston-Salem and Asheville are regions we name in a confidential teaser. A furniture buyer can still hear about an Asheville file before any listing appears.
| Metro | Use this page | What the address is not |
|---|---|---|
| Charlotte | The Charlotte sell page | A higher selling price |
| Raleigh | The Raleigh sell page | A Research Triangle multiple |
| Greensboro | The Greensboro sell page | A reason to skip federal notice |
| Winston-Salem or Asheville | Named in the teaser only | A selling price by itself |
License without a dedicated rule
North Carolina compilations we checked skip a dedicated business-broker license. Counsel still confirms the engagement. Jason Taken is a business broker. A Greensboro building still needs a licensed real-estate broker. The longer list lives at business-broker licensing by state.
A neighbor with a different map is sell a manufacturing business in South Carolina. Do not copy that state’s wording onto a Greensboro engagement. Confirm North Carolina on the file you actually have.
What notice and environmental work still apply?
This state does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 54.5-person average shop often sits under that federal test. A plant in the 1.78% large-employer tail may not. Employment counsel reads the actual headcount. WARN is the federal notice page.
North Carolina has no ISRA analogue. Furniture finishing, food chemistry, auto coatings, and pharma processes still go to Phase I and, if needed, Phase II when land or a wet process is in the deal. All Appropriate Inquiries under 40 C.F.R. Part 312 is the EPA rule (Source: eCFR). ASTM E1527-21 is the usual practice. A 180-day stale date is common.
Sales tax on machinery is often discussed as a manufacturing exemption or an occasional-sale question. Successor tax is fact-dependent. A North Carolina CPA writes those sentences. HedgeStone will not.
Searchers who want SBA 7(a) financing still face a $5 million cap and a 10% buyer injection under SOP 50 10 8. If a Greensboro furniture company cannot live in that box, say so before anyone tours Winston-Salem.
How do you sell without the furniture buyer hearing?
How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Furniture files leak through a dealer. Food files leak through a slot. Auto-supplier files leak through a quality clerk. Name a region — Piedmont furniture, Triangle pharma, western North Carolina food — not a finishing-line door. Skip a customer-audit week.
Public marketplaces create inbound and screenshots. On a map with a real large-plant tail, a public listing is still not the default. Employees hear on a planned day, usually late, with a script.
Charlotte, Raleigh, and Greensboro are three different leak paths on the same 54.5-person average. An auto supplier leaks through a quality clerk. A Triangle pharma file leaks through a certificate clock. A Greensboro furniture file leaks through a dealer. Use the matching city page when the plant sits there. Winston-Salem and Asheville stay in the teaser as regions. A South Carolina neighbor is a different map. Confirm North Carolina on the file you have.
What is a 54-person plant worth?
Manufacturing business valuation stays national. After the size question is honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not an Asheville promise. A pharma supplier with reportable EBITDA does not belong in that SDE room.
| Process cluster | Packet that stays apart | What a Charlotte teaser must not say |
|---|---|---|
| Furniture | Finishing chemistry and dealer backlog | A street door or a “Piedmont premium” |
| Textile remnants | Customer concentration and code dates | That remnants are a growth story |
| Food | Holds, slots, working-capital classes | A city name as the first sentence |
| Auto and aviation | Quality system and program honesty | That a program survives close without counsel |
| Pharmaceuticals | Certificates current, access gated | A Triangle address as a multiple |
Market Pulse Q1 2026 (IBBA / M&A Source) reported that 83% of transactions above $5 million drew three or more offers. A 500-employee Piedmont plant can attract that kind of process. A 54-person Asheville furniture shop should not treat it as a forecast. Buyer types split operators, auto add-ons, and food buyers. No firm names here.
Unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Charlotte auto letter and the true-up will invent a fight after the wire.
The complete guide to selling a manufacturing business is the national sequence. This page only adds North Carolina shop-size, city-page, and license facts.
| Packet | Ready looks like | North Carolina wrinkle |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually runs the 54-person chair |
| Concentration | Trailing twelve and thirty-six months, names later | Dealer and program names wait for the NDA |
| Quality | Furniture, food, auto, or pharma certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Greensboro unfinished jobs are not a surprise |
| License | Counsel reads the engagement | No dedicated rule widely cited; building still needs a real-estate broker |
| Notice | Temps counted in the headcount | Federal 100 / 60; no extra North Carolina mini-WARN in the lists we checked |
National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Charlotte wage series. If the file cannot name who quotes Raleigh work when the owner is gone, it is not ready for a tour.
Furniture hides finishing chemistry. Textile remnants hide one customer. Food hides code dates. Auto and aviation hide program clocks. Pharmaceuticals hide certificates. Write those packets separately. The 472,162-employee count does not turn them into one “North Carolina manufacturing” story.
Below-market related-party rent in Charlotte or Raleigh is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Greensboro building transfers.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Triangle pharma premium. Most of the 8,664 shops still have fewer than twenty people. Winston-Salem and Asheville belong in the second sentence of a teaser, never in the first.
Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A North Carolina CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the license question. No Charlotte close date is promised.
A Greensboro furniture book that still depends on one owner to release every traveler is not “a 54-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any Piedmont shop,” send them away. Ninth place in the Census file does not repair that buyer list.
The 54.5-person average and the 1.78% large-shop tail are two different files. A Charlotte auto supplier in the tail can trip federal WARN at 100 full-time employees and 60 days. A Raleigh pharma shop near the average often does not. Count the site. The state adds no extra mini-WARN clock in the lists we checked. Winston-Salem and Asheville stay regions in the teaser unless you are naming them as the plant’s home.
Furniture, textile remnants, food, auto and aviation, and pharmaceuticals do not share a buyer list just because they share ninth place in the Census file. Write five packets. Use the Charlotte, Raleigh, or Greensboro page only when the plant actually sits there.
The other door is buy a manufacturing business in North Carolina. Book a confidential intro call when the recast and the size question can travel. Ninth place in the Census file describes the map. It is not a Charlotte multiple.
