How quiet can a Rhode Island sale stay?

Rhode Island is a short map. A jewelry buyer, a boatbuilder’s resin supplier, and a food slotting manager can share a name before your second shift. A public marketplace creates inbound and screenshots. On 1,188 shops, that screenshot is statewide news.

How it works keeps the sale quiet: an unnamed teaser, an NDA, a staged data room, then a scripted visit. If the plant sits in Providence, use that city page. Warwick, Cranston, Pawtucket, and Newport are regions we name in a confidential teaser. They do not get their own pages here. Name a cluster — jewelry and precision metal, boatbuilding, electronics, food — not a bench door.

Employees hear on a planned day, usually late, with a script. Owners who sell a manufacturing business here still start with a controlled list. A small-state shop count does not make a public board safer. It makes a leak louder.

What does 1,188 shops mean on a small map?

The latest Census County Business Patterns file — 2023, released in 2025 — counted 1,188 Rhode Island manufacturing establishments. That ranked forty-second among the states. Those shops employed 40,210 people, about 33.8 per location. 70.5% of the shops have fewer than twenty employees, a bit above the national 68.4% on 284,452 U.S. plants. About 0.59% have 500 or more employees (Source: Census CBP).

Those numbers tell you the map is thin and small-shop. They do not tell you what your company is worth. A Providence jewelry remnant and a Newport boat shop sit in the same statewide count. They do not share customers, certificates, or a buyer list. Forty-second place is a sourcing fact. It is not a Providence multiple.

Name the process. Leave NAICS splits out of a teaser unless counsel has counted them. Sub-sector hubs keep jewelry, boat, electronics, and food packets apart.

Who needs a license when the building transfers?

Reviewed lists do not list a dedicated Rhode Island business-broker license. Counsel still has to read the engagement before a Providence teaser goes out. Business-broker licensing by state is the comparison page. Jason Taken is a business broker. A deed on the building still requires a licensed real-estate broker. The absence of a dedicated rule is not a selling price, and it is not permission for anyone to list a jewelry shop.

Treat the building as a second ticket. Company with plant, company with a leaseback, and company with a landlord already on the lease are three different Rhode Island letters. Asking whether a broker license exists is not the same as asking who can sign the deed.

Rhode Island does not follow New Jersey’s transfer-act model. When land or a wet process is in the deal, All Appropriate Inquiries still apply (Source: EPA / 40 C.F.R. Part 312). Counsel typically specifies ASTM E1527-21 for the Phase I. After 180 days, stale sections of that study usually get refreshed. Precision-metal chemistry, boat resins, electronics, and food still go to Phase I and, if needed, Phase II.

We have not found a Rhode Island mini-WARN statute on the layoff-notice lists we reviewed. Federal WARN can still bind a plant at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 33.8-person average shop often sits under that test. A plant in the 0.59% large-employer tail may not. WARN covers the federal clock. Employment counsel still counts the people on the floor. Those lists show no extra Rhode Island trigger.

Sales tax on machinery and successor tax are fact-dependent. A Rhode Island CPA writes those sentences. HedgeStone will not.

A Providence searcher chasing SBA 7(a) still lives under a $5 million cap. SOP 50 10 8 still requires a 10% buyer injection. Seller paper can fill that injection only on full standby for the entire loan, and only up to half of it. If a Pawtucket metal shop cannot live in that box, say so before anyone tours Providence.

How do you price a Providence-area plant?

Manufacturing business valuation stays national. After the quiet-list question and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Warwick promise. An electronics shop with reportable EBITDA does not belong in that SDE room.

IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a 1,188-shop map, that pattern is rarer than it is in a large industrial state. It is still not a bid promise on a $250k-SDE Newport shop. Buyer types recast differently: operators to SDE, electronics add-ons to EBITDA, food buyers to the slot. This page will not name firms.

What belongs in the Rhode Island readiness packet?

Jewelry unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Providence letter and the true-up will invent a fight after the wire.

The complete guide to selling a manufacturing business is the national sequence. This page only adds Rhode Island quiet-sale, license, notice, and shop-size facts.

National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Providence wage series. Leave a Warwick jewelry labor premium out of the teaser unless a wage series is in the file. If the file cannot name who quotes Cranston work when the owner is gone, it is not ready for a tour.

On 1,188 shops, a Providence rumor is a statewide rumor. Jewelry remnant books leak through a bench buyer. Boatbuilding leaks through a resin vendor. Electronics leak through a certificate clerk. Food leaks through a slot. Write four teasers. Warwick, Cranston, Pawtucket, and Newport stay in the second sentence. A 33.8-person average does not hide a street address.

A buyer who wants “any Rhode Island shop” is shopping a map the size of a metro. Send that buyer away before the NDA. The quiet-list question is the first question on this page, not a cleanup after a public card.

Jewelry and precision metal hide chemistry and remnant books. Boatbuilding hides resins. Electronics hide certificate clocks. Food hides code dates. Write those packets separately. The 40,210-employee count does not turn them into one “Rhode Island manufacturing” story.

Related-party rent in Providence or Warwick that sits below market is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Pawtucket building transfers.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Newport boat premium. Most of the 1,188 shops still have fewer than twenty people. Cranston and Warwick belong in the second sentence of a teaser, never in the first. On a 33.8-person average, a street address is a leak.

Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Rhode Island CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the license question and the environmental inquiry. No Providence close date is promised.

A Providence jewelry book that still depends on one owner to release every traveler is not “a 33.8-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any jewelry shop,” send them away. Forty-second place in the Census file does not repair that buyer list.

Leave named-account gross profit off a Rhode Island food earn-out and the buyer will reopen it. Floor the payout and cap it. A seller note that pays currently is a credit term, not SBA equity. A 38% customer buried in the recast still lands in the purchase agreement.

A Pawtucket precision-metal file that still needs the owner at every bench is not ready for a Providence tour. Name the second chair. Name who quotes Newport boat work when you are out. On a 1,188-shop map, those names stay behind the NDA or the whole state hears them.

The buy-side door is buy a manufacturing business in Rhode Island. Book a confidential intro call once the recast and the quiet-list question can leave Providence. Forty-second place in the Census file is a shop count. It is not a Providence multiple.
