Federal WARN (29 U.S.C. § 2101) is a statute with headcount and event tests, not a vibe. Jason Taken is a business broker. He will not give labor-law advice. HedgeStone will help you sequence the commercial process so the announcement day is a plan, not a panic.

Who needs to know in month one, and who does not?

Month one is a recast circle. The outside accountant. The bookkeeper if they must pull job-cost. Counsel. The broker. Sometimes a plant manager if the file cannot be rebuilt without them. That is the list.

The estimator does not need to know a sponsor associate might visit in quarter two. The shipping lead does not need to know you are comparing SBA buyers. The largest customer does not need a courtesy call because you are nervous.

Selling confidentially covers leak vectors. This page is timing. Owner-dependent shops often have a smaller recast circle because the owner is the estimator, the closer, and the quality signature. That is a transition problem. It is not a reason to announce early so you can “be transparent.”

Deloitte and The Manufacturing Institute estimated as many as 3.8 million manufacturing employees needed from 2024 to 2033, with up to 1.9 million roles unfilled if the skills gap holds (Source: Deloitte/MI, 2024). A premature announcement is how you donate programmers to a shop that is not for sale. BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 — describe a market that already calls your people (Source: BLS OEWS).

When do key-person conversations happen?

Before the all-hands, after the buyer is more than a teaser reply. The people who quote, program, hold ISO or AS9100, and run the second shift are the company on many files. Retention bonuses, stay agreements, and role letters are counsel’s documents. The broker’s job is to keep those conversations off the lunch table.

A management buyout flips this table. Management already knows. The rest of the floor still deserves a planned day, not a drip. Family members on the payroll are not a separate legal class. They leak like everyone else.

SBA buyers who will stand on the floor after close often want to meet key people earlier than a distant strategic. That meeting still happens under NDA, off-shift or off-site, with a script. SOP 50 10 8’s 10% injection and the $5 million 7(a) cap (Source: SBA) do not create a right to wander the break room.

When do customers get the call?

Read the contracts. Assignment, change-of-control, and notification clauses set the earliest required call. Courtesy is not a clause. A 35% customer may still need a managed introduction because concentration is a priced issue. That introduction is not a fishing expedition during week two of teaser traffic.

If the buyer’s quality-of-earnings team wants customer calls, agree on a list, a script, and who dials. Blind calls from an associate who misstates the deal are how accounts start dual-sourcing.

Government accounts add FAR 42.12 novation. That is not a customer-courtesy call. It is an agency process. Set-asides can die on a sale. Map that before anyone promises continuity to a contracting officer.

How do WARN, mini-WARN, and unions change the day?

Federal WARN generally applies to employers with 100 or more full-time employees and requires 60 days’ notice before a covered plant closing or mass layoff (29 U.S.C. § 2101). A stock sale that keeps the plant running may not be a closing. A buyer who will shut a cell might trigger notice. Labor counsel decides. This page will not diagnose your headcount from a blog.

Several states publish their own notice laws with different headcounts and day counts. New York’s compilation is often cited at 50 full-time employees and 90 days. California compilations often cite 75 employees. New Jersey compilations cite a longer clock plus statutory severance. Confirm current statutes. Do not treat a 2026 blog table as the order.

Selling a union shop covers successorship, bargaining, and multiemployer withdrawal liability. Those conversations have their own notice culture. Promising the floor that “the union will not be an issue” is how announcements become grievances.

What should the announcement script contain?

One page. Who is buying, in plain language, without inventing a culture story. Whether jobs are expected to continue, if that statement is true and cleared. Who the new contact is for questions. When benefits information will arrive. Where to take rumors — one person, not the group chat.

Do not discuss the multiple. Do not discuss the seller note. Do not discuss the working-capital peg or the inventory true-up. Those are deal mechanics. They sound like “they are counting everything because jobs are leaving” when they leak.

Do not promise raises. Do not promise that the buyer will keep every cell. Do not promise that the owner will stay two years if the transition letter says ninety days.

BizBuySell’s 2025 manufacturing median time to close was 223 days (Source: BizBuySell). If you announce on day 30 of a process that later dies, you have told the floor a story with no buyer. That is why “late” is the default.

What does an illustrative calendar look like?

Illustrative only.

A 90-person non-union plastics plant. Recast circle in January. CIM in March. Two serious parties in April. LOI in May. Key-person stay letters in late May. Customer consent letter to the 22% account in June because the contract requires it. All-hands the week of signing in August. Federal WARN analysis by counsel in May because headcount is near the line and the buyer might consolidate a warehouse. Nothing in that calendar is a promise. It is a shape.

A 14-person job shop has no federal WARN math and still needs a script. Those fourteen people will hear a rumor if a buyer walks the floor in matching polos. Escort the visit. Announce when the wire is real enough that the story has an ending.

IBBA Pulse Q1 2026: 83% of deals over $5 million had three or more offers (Source: IBBA). Competition is good. It is also more visitors. Sequence the visits so the floor sees one serious party, not a parade.

The intro call with Jason Taken can include announcement timing as a commercial question. Counsel still owns the statute. Sell my manufacturing business is the pillar.

What do you do when the rumor starts before the planned day?

Do not hold an improvised all-hands in the aisle. Gather the recast circle. Call counsel. Use the one-sentence holding line: we look at opportunities; we are not discussing rumors. Then accelerate the planned day only if a real buyer exists. Accelerating into a void is how you announce a process that later dies.

If a customer heard it from a competitor, call that customer with counsel’s script, not with a panic story about multiples. If a key person heard it and is taking interviews, have the retention conversation you were going to have later. Do it now. Do not do it as a group text.

How should suppliers be timed relative to employees and customers?

Critical sole-source suppliers sometimes need a call when the buyer must know the relationship will continue. That is still not a blast to every vendor. A blast is how the industrial park hears the news before the floor does. Stage suppliers after the floor script exists, unless a consent clause forces an earlier letter.

Freight companies and staffing agencies leak. Assume they will. Do not give them extra color.

Illustrative only: 55-person non-union plant, rumor on a Tuesday from a visitor badge. Holding line Tuesday. Key-person meetings Wednesday. All-hands Friday because an LOI is already signed. That compression is allowed. The same compression without an LOI is a mistake.

Who should not speak at the announcement besides the owner and the buyer?

The estimator with a theory. The spouse with a joke. The broker with a multiple. The buyer’s associate with a culture slide nobody cleared. One extra microphone is how “nothing changes” becomes a grievance.

How should you handle benefits questions you cannot yet answer?

Say when the packet will arrive. Do not invent COBRA, 401(k), or vacation-payout rules at the microphone. Those rules are plan documents and purchase-agreement sentences. A wrong answer at the all-hands becomes a grievance or a walk-out of a key person.

If the buyer is not ready to speak to benefits, do not hold the all-hands yet — unless a rumor already forced your hand, in which case the holding line includes a date for the packet.

Educational information only. WARN, mini-WARN, NLRA successorship, and contract-consent questions belong to labor and deal counsel. No announcement plan guarantees retention or a close.
