What buybox fits California manufacturing?

Write the California process first — aerospace, food, devices, or metal. Name the process — aerospace and electronics, food, fabricated metal, medical devices — not “manufacturing.” Write SDE or EBITDA, the day-one certificate, a whale ceiling, and whether Inland Empire dirt is in the deal. Buy a manufacturing business is the nationwide pillar. This page is the California overlay on a 35,300-shop Census CBP file.

HedgeStone will not send you every employer establishment in the 35,300-count file. Sub-sector hubs keep the search from becoming a radius dump from Los Angeles to the Central Valley. A food plant and a job shop do not share a diligence packet because they share a state. Average headcount in the California cell is 32.8. The under-20 share is 74.3%. The 500-plus share is 0.77%. Those cells describe the map. They do not describe your letter.

Los Angeles, San Diego, the Bay Area, the Inland Empire, and the Central Valley name where California teasers originate. This site has no live city slugs for any of them. A Bay Area label is not a 2.75x overlay. Write whether you will live in the Inland Empire or commute, and name who opens the bay if you stay elsewhere.

Labor cost without a California wage invention

The research file does not publish California manufacturing wages. Use national figures and then open the plant’s burdened payroll. Do not invent a Bay Area machinist print and paste it onto an Inland Empire fabricator.

Do not invent a Bay Area wage. OEWS May 2025 national medians stay $58,750 (machinist) and $53,750 (welder) (Source: BLS OEWS). Open the plant register after that. They do not decide whether the second-shift lead in a 32.8-person California shop will stay. A 32.8-person California shop still lives or dies on four seats: programmer, estimator, second-shift lead, customer holder.

I-9s and OSHA 300s still get opened. If you later cut or move a California plant, Cal-WARN is the first counsel question; federal WARN is the 100-full-time test. California is listed as a mini-WARN state with a Cal-WARN, 75 cell. Do not invent a second headcount. Do not copy a New Jersey 90-day severance cell onto California. Buyers who want that overlay can read New Jersey separately.

Financing a California acquisition

SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short. A 32.8-person California shop still has to fit the national product.

California successor tax and Cal-WARN do not enlarge 7(a). Published terms still cap the loan at $5 million with a 10% SOP 50 10 8 injection (SBA). Seller paper counts as that injection only on full standby for the loan’s life, and only up to half. Monthly pay to the seller is credit. A note that pays the seller every month is credit, not equity.

504 can buy Inland Empire or Central Valley dirt when occupancy is real. It is not a $15 million cash-out stacked on a thin SDE shop on a thin check against a Central Valley food plant.

Diligence after Cal-WARN and successor clearance

A Tuesday walk in Los Angeles or the Inland Empire does not replace a kill sheet. How it works is the process view. The sell page is the owner’s voice. This section is the buyer overlay on a 35,300-shop Census CBP file that employs 1,157,201 people at a 32.8 average.

Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA is the long form. California’s briefing cell is disclosure plus cleanup, not a New Jersey ISRA clock. Skipping the study because “it has always been a job shop in San Diego” is how a buyer inherits a tank. Components generally stale after 180 days. Lease the Central Valley bay and you still want process history. Buy the dirt and you want a current study.

Successor sales-tax clearance is a listed California cell. Ask for the plan in the LOI. Occasional-sale treatment of a bulk machinery transfer is a different question from a purchase exemption on new iron. The California CPA owns both. The 0.77% 500-plus share does not erase clearance on a 32.8-person shop.

Business-broker licensing is not only the seller’s problem. California is listed as a Bus. & Prof. Code business-opportunity license state. If the engagement required that license and lacked it, counsel should say so before you rely on the CIM. Conveying the plant is a separate deed card. Jason Taken is a business broker.

Strategic bidders versus a 7(a) operator on 35,300 shops

Buyer types on the other side of your letter use different earnings bases. An aerospace add-on will not pay a certified-supplier multiple for an owner-estimator fabricator in the Inland Empire. A searcher who borrowed a services-heavy study median will mis-price a thin-margin food plant in the Central Valley. An individual who needs the 7(a) box will walk when enterprise value plus fees plus the peg will not fit the published $5 million maximum (Source: SBA).

Valuation on this site is labeled by size band. BizBuySell’s manufacturing median 2.75x SDE is a Main Street print (Source: BizBuySell). It is not a sponsor print. Do not apply a 7x EBITDA headline to a $400k-SDE California job shop because the state ranked first. IBBA’s Q1 2026 print that 83% of deals over $5 million drew three or more offers explains why you should expect company on a larger file. It does not stretch the 7(a) box.

Quality certificates are access. If the book needs AS9100, IATF, or SQF on Monday, a lapsed card is a customer-access hole. Apparel remnants and medical devices do not share a packet because they share a 35,300-count map.

What HedgeStone will not do on a California file

Jason Taken will take a written buybox, cut Los Angeles-to-Bay-Area radius language, and source quietly against seller-side files. HedgeStone will not invent listings against the 35,300-shop file. We will not walk a floor before numbers. We will not hide a Cal-WARN, successor-tax, or Bus. & Prof. Code license question because the teaser photographed well.

The first call sorts capital path, process, concentration ceiling, and whether you can run the plant if the owner is the only estimator. If you cannot, the model needs a hiring plan on a 32.8-person average shop, not a synergy slide. A CIM that leads with bay square footage in San Diego is a brochure. A scorecard that shows late launches is the book.

How should a California buyer write the peg before exclusivity?

A Bay Area device plant and an Inland Empire metal shop do not share a peg. Write classes: raw, WIP, finished, consigned, and customer-owned tools. Unbilled first-article hours are not finished goods. The close count should be physical. Put the method in the LOI. The peg page is the exhibit language.

The first 90 days after the wire are operations, not a second negotiation. Keep the people who quote. Lock the accounts you underwrote. Count inventory again. If you bought with 7(a), the $5 million cap and the 10% injection are already behind you (Source: SBA). What is in front of you is the certificate transfer, the successor-clearance file, and whether the owner’s quoting rules vanish on a 32.8-person floor. Cal-WARN stays on counsel’s calendar if you later cut or move work against the 75 cell.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use it as a planning number for exclusivity and QoE on a 35,300-shop map. It is not a promise and not an employee announcement. Stanford search-fund medians describe a different margin animal than most job shops. Fed G.17 July 2026 manufacturing capacity utilization of 76.0% and ISM’s August 2026 PMI of 54.6 describe the year. They do not underwrite your top customer in Los Angeles or the Central Valley.

Ask for make, model, year, control, serial, and the UCC search before you tour. If OLV plus cleaned net working capital is close to asking enterprise value, you are buying iron with a payroll attached. Concentration above about 25–30% of sales is structure. The successor-tax cell does not erase a whale. 504 still needs occupancy on Inland Empire dirt: $5 million standard, $5.5 million small-manufacturer (Source: SBA).

California’s CBP 2023 file counted 35,300 shops, 1,157,201 employees, a 32.8 average, 74.3% under 20, and 0.77% at 500-plus. Cal-WARN, successor clearance, and the Bus. & Prof. Code license cell are counsel lines, not teaser adjectives.
