What published 7(a) rules actually bind a 2026 file?

The SBA 7(a) terms page still prints a standard maximum of $5,000,000. Guaranty is 85% on loans of $150,000 or less and 75% above that. Maximum standard SBA exposure is $3.75 million. Express and Export Express max at $500,000. International Trade and EWCP stories can carry up to 90% guaranty / $4.5 million in stated cases — they are not the default path for a domestic job shop (Source: SBA 7(a) terms).

Maturity is generally up to 10 years unless real estate or equipment life supports longer; real estate can run up to 25 years (Source: SBA lenders matrix). Those are published structures. This site will not invent a prime-plus quote. See manufacturing loan terms and rates for what is published versus what is folklore.

Buying a manufacturing business with 7(a) still requires a personal guarantee and global cash flow the committee believes. Affiliation rules can treat related companies as one borrower. A sponsor wearing an individual hat can trip them. Eligibility is the lender's lane, not a broker slogan.

Which SOP governs the loan number, not the term sheet?

SOP 50 10 8 is in force for most 2026 applications (effective 2026-06-01 on the research clock this site uses). SOP 50 10 8.1 applies to SBA loan numbers issued on or after 2026-10-01. The later text keeps the $5 million cap and tightens some change-of-ownership and cash-flow adjustment documentation. Write the file to the SOP that will govern the number, not the date someone emailed a term sheet.

Sellers who grant exclusivity in September 2026 to a buyer whose number will print in October should ask the lender which text controls. Buyers who copy an older training deck that let a seller note cover the entire injection are copying a dead practice. SOP 50 10 8 ended that folklore.

What injection math replaces the no-cash folklore?

Change-of-ownership files need a 10% equity injection of total project cost. Total project cost is not teaser enterprise value. It includes fees and the working-capital need the CIM hoped someone else would fund. SOP 50 10 8 treats seller paper as part of that 10% only when the note is on complete standby — neither principal nor interest may be paid — for the full 7(a) term, and only for at most half of the injection. Five points of cash and five points of standby is the split most files use. Ask the lender to confirm the live SOP text.

An amortizing note can still exist. It does not count as the equity injection. It also hits debt-service coverage. Choose the job of the paper before you draft it. Seller notes and standby is the companion.

HedgeStone will not tell an owner that the buyer "does not need cash." That sentence is how exclusivity dies in week eleven.

How does manufacturing goodwill meet the supported valuation?

7(a) can finance change of ownership including intangible value. The supported business valuation still caps total transaction debt that is not on full standby. An aggressive multiple with a thin appraisal is how the loan shrinks after you spent the 223-day median manufacturing close clock (Source: BizBuySell 2025). Pay for the valuation the lender will use.

Main Street manufacturing in the BizBuySell 2021–2025 set cleared at a 2.75x median SDE on about $268k SDE and about $1.13 million revenue (Source: BizBuySell via Iconic). Many of those files fit 7(a). A certified supplier that needs more senior debt than $5 million does not become a 7(a) story because the buyer likes the certificate. Move the plant conversation to 504 or rebuild above the cap.

owner-operated shop that may fit a 7(a) change of ownership
the box is $5 million and a 10% injection.

Which shop-floor facts kill an otherwise eligible 7(a)?

Concentration the committee will not swallow. A machine list that does not match serials or UCCs. Inventory that is mostly WIP with no job-cost religion. A working-capital peg written as "customary." A Phase I that is stale when the building is in the project. A replacement wage the recast deleted. A safety coordinator recast as non-recurring on a file with open citations.

Individual buyers should read the seller-facing twin, selling to an individual SBA buyer, so both sides use the same box. How it works is the sequence. The loan is a product inside that sequence, not a substitute for it.

How should an individual buyer sequence the credit file?

Bring injection source, three years of tax returns, YTD versus prior, AR/AP aging, classed inventory, the machine list, concentration 12/36, certificate dates, and a written uses-of-funds table before anyone debates a close date. Order the M&E appraisal the lender will accept. If dirt or historical industrial use sits in the deal, put the Environmental Professional on the same calendar.

SOP 50 10 8.1 will matter for numbers issued on or after 2026-10-01. If your close sits on that side of the calendar, ask the lender what extra change-of-ownership documentation they will want. Do not learn it from a blog the week the number is requested.

What does a 5% cash / 5% standby structure look like on a $3.0 million project?

Project cost $3.0 million. Ten percent injection is $300,000. At most $150,000 of that can be a seller note on full standby for the life of the 7(a). The buyer still needs $150,000 of cash equity. The remaining ~$2.7 million must fit inside 7(a) and a supported valuation. If fees were omitted from the $3.0 million, the injection was calculated on the wrong denominator. Rebuild uses of funds before the letter.

How should 7(a) and 504 share a calendar without becoming one product?

If the buyer will occupy the plant, ask early whether peeling real estate and heavy equipment onto a 504 produces a cleaner 7(a) for goodwill and working capital. From 2026-07-04, outstanding 7(a) does not reduce 504 capacity (Source: NAGGL summary of Policy Notice 5000-879058). Combined SBA-backed financing can reach $10 million in the 2026-05-18 announcement (Source: SBA). Occupancy 51/60 still applies. Two applications. Two eligibility tests. One close calendar if someone actually builds one.

Do not use 504 as a second 7(a) for a thin-margin shop that fails cash-flow tests. Do not use 7(a) to buy a special-use building the buyer will not occupy. Product discipline is how the 223-day median stays a median instead of a year.

How should a replacement wage and owner hours enter a 7(a) model?

SDE shops live on owner hours. A lender will put a replacement wage into the model even if the recast treated the owner as free. BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 — are labor context, not the owner's wage (Source: BLS). The owner's job may be quoting, customer management, and signing checks. Price that job. If the buyer cannot do it, price a hire. If the buyer can do it, still price a wage the committee will believe.

Files that recast the owner's truck, the owner's travel, and the owner's salary to zero while the floor still needs those functions will fail coverage after the first honest model. Market-practice DSCR of 1.20–1.30x is a habit, not a published rate. Habits still require a wage line.

Write owner hours in the CIM as hours, not as a personality. Monday estimating, Tuesday customer calls, Wednesday purchasing. A 60-hour owner is not a 7(a) bargain. It is a staffing plan the loan has to carry. How owner dependence affects value is the pricing sibling. This page is the coverage sibling.

What documentation should sit behind every add-back before the preferred-lender pack goes out?

Every add-back needs a document: payroll register, invoice, closing statement, lawsuit docket, or a signed explanation that the item will not recur. "One-time" for three consecutive years is not one-time. Tooling that repeats every program is not a disaster. A boat is a boat. Send the pack with the documents, not with a spreadsheet of adjectives.

Preferred lenders still work inside the published $5 million box and the 10% injection (Source: SBA). They will not invent eligibility because the add-back tab is colorful. They will ask for the supported valuation. They will ask whether a seller note that is supposed to be equity is actually full standby for the life of the 7(a). They will ask which SOP governs the number.

Build a one-page eligibility memo for yourself: affiliation chart, personal-guarantee capacity, injection source, project-cost total, occupancy if 504 is in the mix, and whether any partial-ownership facts exist. Then call the lender. How it works is the public sequence. The memo is the private sequence that keeps the public one from stalling.

How should government-contract and export-control files change a 7(a) calendar?

If the book includes prime or subcontract work that needs novation, the loan calendar is not the only calendar. FAR 42.12 is counsel's lane. If the company is an ITAR registrant and a foreign person will control it, DDTC's 60-day notice is a clock (Source: DDTC). A domestic individual buyer still needs to know whether the registration exists, because the credit file will ask.

Do not hide those schedules to "keep SBA simple." Hiding them makes the simple file a restart. Put the contract list and the registration status in the first dump. Then let counsel and the lender decide whether the product is still 7(a), still 504-plus-7(a), or a walk.
