Name process and capital before anyone drives Cuyahoga
Buy a manufacturing business still wants a written box. Mobility supplier, polymer, fabrication, food, and aerospace components are the qualitative clusters the Ohio research allows. Sub-sectors exist so you do not type “any manufacturer inside Cuyahoga.” Name size band. Name certificates that must be current on Monday. Name a concentration ceiling by legal entity and, on release books, by platform. Name tooling ownership. Name real estate. Name capital.
The Ohio buy page is the statute overlay. This page is the Cleveland map under the cities directory. Ohio’s CBP 2023 state file lists 13,307 manufacturing establishments, 689,133 employees, a 51.8-person average, 60.9% under 20, and 1.50% at 500-plus (Source: Census CBP). That depth means competition for clean books and a lot of teasers that will not survive job-cost. It is not a Cleveland shop count. BLS CES publishes metro employment. This site does not print a CES cell.
If you will not move, say the radius. If you will, say who quotes when you are on a plane. A metro preference is not a multiple.
Lorain County as a sourcing label, not a turn
Lorain County, east-side metal, and Flats-adjacent plants are places a teaser may name. They are not three price theories. Dirt, mix, and the buyer bench can differ. The Ohio cells do not. Statute follows the address. Cleveland-Elyria, OH is an Ohio nickname. If a later deed sits in another state, close on that overlay.
How it works puts paper first. Ask for the street on the deed before QoE. Ask who owns the tool and who pays when it is out of steel. A 32% customer can be a 55% platform. Structure that or walk.
National OEWS May 2025 medians — machinist $58,750, welder $53,750 — sit in the model as backdrop (Source: BLS OEWS). The underwrite is the plant’s burdened payroll and whether the programmer is the owner. Ohio wages are not in the research file. Do not invent them.
Underwriting metal without a metro print
| Underwrite question | Ohio fact you may quote | Metro print you may not invent |
|---|---|---|
| How many shops exist? | 13,307 on the Ohio CBP 2023 state file | A fabricated Cleveland establishment count |
| What is the average roster? | 51.8 employees on that same Ohio row | A Cuyahoga “typical plant” headcount |
| Does notice attach? | Mini-WARN Y; federal WARN if facts fit | A copied California or New York threshold |
| What is the wage? | National OEWS machinist / welder medians | A Cleveland CES or local wage invention |
| What is the turn? | National size-band cells on the valuation pillar | A “lake industrial” multiple |
Valuation still starts with size band. A polymer file is pass-through, tool ownership, and whether the compound or the conversion is the moat. A beautiful press photo without a current quality card is a tour. I-9 files and OSHA 300 logs are diligence. Repeat citations are priced.
Federal WARN tests 100 or more full-time employees (29 U.S.C. § 2101). If the thesis includes a consolidation after close, open WARN the week you say it. Do not discover the speech in week ten.
Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II is the long form. Skipping the study because a Flats-adjacent bay “has always stamped steel” is how buyers inherit a tank.
How should a Cleveland buyer treat Ohio mini-WARN?
Treat it as a listed cell, not as folklore. Ohio is Y in the 2026 table. Counsel applies the statute. Do not paste another state’s headcount onto a Lorain County letter. Do not treat “Y” as a reason to skip federal WARN if the roster is large enough.
SBA 7(a) for manufacturing acquisitions still caps at $5 million with a 10% injection on change-of-ownership files (Source: SBA). A current-pay note is not equity. 504 still exists for the plant and qualifying heavy M&E. Occupancy is a fact. Combined capacity is not a stretch story on a thin check.
BizBuySell’s 2021–2025 manufacturing median was 2.75x SDE (Source: BizBuySell). That is a Main Street room. It is not a certified-supplier print. IBBA’s 83% three-or-more-offers statistic on files over $5 million is why you should expect company on larger books. It is not a reason to stretch a 7(a) past the box.
Buyer types on the other side of your letter will not pay your thesis if the scorecard is late. An add-on pays for certified EBITDA. A searcher wants a general manager already in the number. A strategic pays for a process or a customer they already know.
Write the peg into the letter. Launch WIP and customer-owned fixtures are where mobility files donate cash. Unbilled PPAP hours stay out of finished goods unless the exhibit says otherwise.
Financing a Cleveland acquisition on Ohio cells
The 2025 manufacturing median close ran 223 days (Source: BizBuySell). Put Phase I, a scorecard pull, and QoE on that calendar. Mini-WARN belongs on the same calendar if you already said you will consolidate. The first 90 days after the wire are operations: keep the launch people, lock the programs you underwrote, and count the physical again.
Serials, liens, crashes, and rebuilds belong in the first pass. Pay for an appraisal that states FMV, OLV, and FLV. If OLV plus cleaned working capital is near asking EV, you are not buying a growth story. Tooling the customer owns is not collateral. Molds that are out of steel are capex.
Counsel picks asset versus stock. An asset deal can reset employment and can force new certificates. A stock deal can keep contracts and the liabilities attached to them. Mini-WARN does not take a holiday because you chose stock. Releases and tooling ownership still decide whether the book is real.
The sibling Cleveland sell page is the owner’s sequence. Jason Taken is a business broker. He will pressure-test the buybox and keep you from sending a letter a lender cannot finance. We will not invent listings. Confirm cells with counsel. No outcome is guaranteed.
A polymer book and an east-side metal book do not share a Monday roster. Write who holds the window, who quotes mix, and who the program manager actually calls. If two of those names are the seller, the model needs a hiring plan, not a synergy slide. I-9 files and OSHA 300 logs stay diligence. Repeat citations are priced.
Quality of earnings on a Cuyahoga mobility file tests whether launch years were treated as run-rate and whether tooling amortization was honest. On a polymer file it tests resin pass-through and whether scrap was called “one-time.” Add-backs that survive have invoices. Tell the seller in the LOI who pays for the report and how long exclusivity lasts if the report slips. Use the report to test the recast, not to invent a lake multiple.
Stanford study medians assume a margin profile most job shops do not have. Do not force a 9% fabricator into that template because a Flats-adjacent press photographed well. Write the Monday roster before you tour. Climate prints stay weather. They do not become a Cuyahoga thesis.
If you will not live in the plant, say who the general manager is before anyone drives Lorain County. Most operators will not relocate for a lease they have not underwritten. Buy a manufacturing business in Columbus and Dayton are the other Ohio metro overlays. They are not a reason to stretch a 7(a) past the box.
Counsel should see customer consents, tool-ownership language, and the notice calendar before you pick asset versus stock. An asset deal can reset employment and can force new certificates. A stock deal can keep contracts and the liabilities attached to them. Ohio mini-WARN does not take a holiday because you chose stock. Federal WARN does not either.
Occupancy still matters if 504 is in the stack. A Flats-adjacent photo does not prove the share. Combined 7(a) and 504 capacity is not a stretch story on a thin check. Rates are lender-specific. This page will not invent a prime-plus quote.
The 51.8-person Ohio average is a state cell on a 13,307-shop file. It is not a Cuyahoga typical roster. Underwrite the actual burdened payroll and whether the second-shift lead is the seller. A polymer tech who can hold a window and a metals estimator who can quote mix are different scarce names. Write which one you are buying before you drive Lorain County. East-side metal and Flats-adjacent dirt can share a Cuyahoga label and still need different Phase I budgets. Price the study in the letter, not as a surprise after exclusivity.
