What buybox fits Illinois manufacturing?

A usable buybox is boring on purpose. Name the process — CNC, fabrication, food, plastics, machinery — not “manufacturing.” Name SDE or EBITDA and the number. Name certificates you must have on day one. Name the highest top-customer share you will live with. Name whether you will lease the plant, buy it, or accept either. Name the capital path. Buy a manufacturing business is the nationwide pillar. This page is the Illinois overlay.

HedgeStone will not send you every employer establishment in the 12,465-count file. Sub-sector hubs keep the search from becoming a radius dump. A food plant and a job shop do not share a diligence packet because they share a state.

Geography inside Illinois is a preference, not a valuation theory. Buy a manufacturing business in Chicago is the live metro overlay. Rockford, Peoria, the Quad Cities, and Springfield stay sourcing labels. A metro name is not a multiple. If you will not relocate, say so. If you will, say how far and who runs the floor on Monday.

Labor cost without a state wage invention

The research file does not publish Illinois manufacturing wages. Use national figures and then open the plant’s burdened payroll.

National OEWS May 2025 medians — machinist $58,750, welder $53,750 — are the only wage prints this page may use (Source: BLS OEWS). Recast the actual Cook County or downstate burden. Four names still matter: programmer, estimator, second-shift lead, customer holder.

I-9 files and OSHA 300 logs are diligence, not culture. Repeat citations are a priced item. If you plan a consolidation or a relocation after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees. Illinois is listed as a mini-WARN state in 2026 compilations. Do not invent a headcount. Do not copy New Jersey severance onto Illinois.

Financing an Illinois acquisition

SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short.

Published 7(a) terms still show a $5 million maximum loan, an 85/75 guaranty split, and $3.75 million of standard exposure (Source: SBA). SOP 50 10 8 put a 10% equity injection on change-of-ownership files. A seller note counts toward that injection only if it is full standby — no current principal, no current interest — for the life of the 7(a), and only up to half the injection. A note that pays the seller every month is credit, not equity.

504 still exists for the plant and heavy iron: $5 million standard debenture, $5.5 million for a qualifying small-manufacturer project. Occupancy rules apply. This is not real-estate advice. Combined 7(a) and 504 capacity is still not a $15 million cash-out on a thin check.

Capital pathWhat it can carryWhat kills it on an Illinois file
7(a)Operating company inside the $5M boxA current-pay note labeled as equity
504Plant and qualifying heavy M&EOccupancy that is a story, not a fact
ABLEligible AR and haircut inventoryWIP the field exam will kick
Equipment paperSerialized cellsUndisclosed UCC filings
Seller paperStretch, not pretend equityA standby fantasy the lender will not count

Above the cap you need more equity, a larger bank, ABL, or a seller who will hold paper that is not pretending to be SBA equity. Rates are lender-specific. This page will not invent a prime-plus quote.

Diligence that follows Illinois statute cells

Tour last. Paper first. How it works is the process view. The Illinois kill sheet adds statute cells the sibling sell page explains from the owner’s side.

Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA is the long form. Skipping the study because “it has always been a machine shop” is how buyers inherit a tank they did not price.

Successor sales-tax liability is a known Illinois closing item in the 2026 briefing table. Ask for the clearance plan in the LOI, not in week ten of exclusivity. Occasional-sale treatment of a bulk machinery transfer is a different question from a purchase exemption on new equipment. The Illinois CPA owns both.

Business-broker licensing is not only the seller’s problem. If the engagement required SOS registration and did not have it, counsel should say so before you rely on the CIM. Conveying the plant still needs a licensed real-estate broker for the deed. Jason Taken is a business broker.

Who else is bidding, and what they will not pay

Buyer types on the other side of your letter use different earnings bases. An add-on will not pay a certified-supplier multiple for an owner-estimator shop. A searcher using a services-heavy study median will mis-price a 9% margin fabricator. An individual who needs the 7(a) box will walk when enterprise value plus fees plus the peg will not fit.

Valuation on this site is labeled by size band. BizBuySell’s manufacturing median 2.75x SDE is a Main Street print (Source: BizBuySell). It is not a sponsor print. Do not apply a 7x EBITDA headline to a $400k-SDE Illinois job shop.

Quality certificates are access. If the book needs IATF, AS9100, or SQF on Monday, a lapsed card is not a “quick fix after close.” It is a customer-access hole in your model.

How HedgeStone helps Illinois buyers

Jason Taken will take a written buybox, say which parts of it are fantasy, and source quietly against seller-side files. We will not invent listings. We will not walk a floor before numbers. We will not hide an Illinois successor-tax or registration question because the teaser photographed well.

The first call sorts capital path, process, concentration ceiling, and whether you can run the plant if the owner is the only estimator. If you cannot, the model needs a hiring plan and a retention conversation, not a synergy slide.

How should an Illinois buyer write the peg and the 90-day clock?

A Chicagoland food plant and a Rockford metalworking shop do not share a peg. Write classes: raw, WIP, finished, consigned, and customer-owned tools. Unbilled first-article hours are not finished goods. The close count should be physical. Cycle-count theater is how buyers overpay for rust. Put the method in the LOI. The peg page is the exhibit language.

The first 90 days after the wire are operations, not a second negotiation. Keep the estimators. Lock the top accounts. Count inventory again. Put maintenance on a calendar. If you bought with 7(a), the $5 million cap and the 10% injection are already behind you (Source: SBA). What is in front of you is the certificate transfer, the successor-clearance file you already demanded, and whether the owner’s tribal quoting rules vanish on Tuesday.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use it as a planning number for exclusivity and QoE. It is not a promise and not an employee announcement. Stanford search-fund medians describe a different margin animal than most job shops. Do not force a 9% fabricator into a 25% study print.

Ask for make, model, year, control, serial, and the UCC search before you tour. If OLV plus cleaned net working capital is close to asking enterprise value, you are buying iron with a payroll attached. Deferred capex — crashed spindles, unreplaced lasers — is a price chip, not the buyer’s problem after the wire. Concentration above about 25–30% of sales is structure on an Illinois file the same way it is everywhere. The successor-tax cell does not erase a whale.

Educational information only. Not legal, tax, lending, or environmental advice. Confirm structure with M&A counsel, a CPA, a lender, and qualified environmental and M&E professionals. No outcome is guaranteed.

The conversion path is a confidential intro call.

Illinois successor-tax clearance is still a closing certificate, not a teaser adjective, on the 12,465-shop CBP map.
