SBA and other capital on a Massachusetts plant
SBA 7(a) for manufacturing is the product page. A Lowell or Worcester change-of-ownership still caps at $5 million. SOP 50 10 8 still wants 10% cash in; seller paper counts only on full standby and only for half that cash (Source: SBA). Occupied 504 is $5 million, $5.5 million if the project is a qualifying small manufacturer. Most 39.6-person shops on the 5,920-count map fit 7(a). A 0.96% 500+ campus often does not.
| Structure | Fits a Massachusetts plant when | Breaks when |
|---|---|---|
| 7(a) | EV + fees + peg inside the cap | Release risk the lender will not underwrite |
| 504 | You will occupy Worcester or Springfield dirt | The building is a side bet |
| ABL | Eligible AR, haircut inventory | Launch WIP a field exam kicks |
| Equipment | Serialized cells with clean UCCs | The only Swiss is leased and expired |
| Seller paper | Stretch after real equity | Monthly interest called “injection” |
Tooling that a Boston device customer owns is not collateral. Food WIP you cannot pass through is not a “normalization.” If the model only works on last year’s peak on the 66.8% under-20 map, rebuild the model. Buy a manufacturing business is the nationwide habit. This page is the Massachusetts overlay.
Virginia’s ship-and-defense buybox is a different capital conversation; see buy a manufacturing business in Virginia. Tennessee’s mini-WARN Y is another sibling: buy a manufacturing business in Tennessee.
The Massachusetts buybox
Name the process. Medical devices, electronics, precision metal, food, and defense suppliers are the qualitative clusters this research allows. Sub-sectors exist so you do not type “any manufacturer within 200 miles of Boston.” Name size band. Name certificates that must be current on Monday. Name a concentration ceiling. Name whether you will own tooling. Name real estate. Name capital. Name that Phase I still happens even though MCP is not ISRA.
HedgeStone will not burn a seller’s goodwill sending you every plant in the 5,920-count file. Buy a manufacturing business in Boston and Worcester are the metro overlays. Springfield, Lowell, and New Bedford stay sourcing labels. A metro preference is not a multiple. If you will not move from the Boston corridor, say the radius. If you will, say who quotes when you are on a plane to Springfield.
What environmental work does Massachusetts still need?
How it works still says paper before tour. The Massachusetts add is MCP honesty, not a transfer-act form. Environmental transfer is N (MCP is not an ISRA clone). Wet processes still get Phase I under ASTM E1527-21 and All Appropriate Inquiries (Source: EPA). Components stale after 180 days. A New Bedford finishing line does not get a holiday because the table says N.
| Pass | What you open | Massachusetts cell |
|---|---|---|
| Job-cost vs tax | Won-job margin vs actual | Same national habit on a 39.6-person shop |
| Releases | Firm vs forecast | Concentration on the 5,920-shop map |
| Tooling | Ownership, steel life | Who pays for the next tool |
| Machine list | Serials, liens, crashes | OLV vs asking EV |
| Environmental | Phase I if dirt or wet process | N on transfer-act; MCP is not a holiday |
| Tax on M&E | CPA memo | MfgEx / Occ; successor is F |
| Notice | Headcount and sites | Mini-WARN N; federal WARN can still apply |
| License | Who marketed the file | No dedicated RE-for-business rule widely cited |
Write the peg into the letter. Customer-owned fixtures on a Springfield metal book are where Massachusetts files donate cash. Valuation still starts with size band. BizBuySell’s 2.75x SDE median is a Main Street print (Source: BizBuySell). It is not a certified-device print on a Lowell file.
Labor backdrop
Massachusetts wages are not in the research file. Do not invent them.
BLS OEWS May 2025 national medians — machinist $58,750, welder $53,750 (Source: BLS) — sit in the model as backdrop. The underwrite is the plant’s burdened payroll on a 39.6-person average shop. Cross-training matrices beat speeches. If two of the four scarce names in a Worcester electronics plant are the seller, you are buying a training period.
A device book often lives on quality and process techs. A precision-metal book lives on setup people who can hold a tenth. Neither fact is a union-density percent. This page will not publish one for the 234,190-employee CBP vintage. If the thesis includes a consolidation after a Boston close, open WARN the week you say it. Federal WARN is a 100-full-time-employee statute. Massachusetts mini-WARN is N. Do not paste a Tennessee Y onto a Lowell letter.
Competing letters in Massachusetts
Licensing still matters if the plant conveys. No dedicated RE-for-business rule is widely cited. The deed is still a real-estate-license fact. Jason Taken is a business broker.
Buyer types on the other side of the table will not pay your thesis if the scorecard is late. IBBA’s 83% three-or-more-offers statistic on >$5 million files is why you should expect company on a clean 5,920-map book (Source: IBBA). It is not a reason to stretch a 7(a) past the box. The sibling sell page is the owner’s sequence. This page is the underwrite.
Counsel picks asset or stock. An asset deal can reset employment on a 66.8% under-20 shop and can force new certificates. A stock deal can keep contracts and can keep the liabilities attached to them. MCP honesty does not take a holiday because you chose stock. Federal WARN does not either.
BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Put Phase I, MCP honesty, and QoE on that calendar. The first 90 days after the wire on a Massachusetts file are operations: keep the scarce names in Lowell or Springfield, lock the programs you underwrote, and count the physical again. Customer-owned tools stay off your borrowing base. Stanford study medians assume a margin profile most 39.6-person shops do not have. Do not force a fabricator into that template because the Swiss line photographed well.
I-9s and OSHA 300s still get opened on a 5,920-shop Massachusetts file. Repeat citations are a priced item, not a culture slide. A holdback tied to named program gross profit can cover a launch-year fight. A holdback tied to EBITDA after the buyer’s allocations will not. A 7(a) lender will not treat that holdback as repayment. If Worcester only works with one, rewrite Worcester. Tour after the packet survives MCP honesty, not before.
A Lowell device book and a Springfield precision-metal book share the MCP-honesty rule. They do not share a field-exam story. The device file dies when launch hours were treated as run-rate. The metal file dies when a buyer skipped Phase I because “MCP is not ISRA.” QoE rebuilds job-cost versus tax on the 5,920-shop map. Add-backs that survive have invoices. Add-backs that die are speeches. If the report kills $400,000 of EBITDA on a 39.6-person shop, the price moves or the deal dies.
Tell the seller in the LOI who pays for the report, which firm, and how long exclusivity lasts if the report slips. Use the report to test the recast, not to invent a Boston multiple. Valuation still starts with size band. The 66.8% under-20 share is a reminder that many Massachusetts files are owner-estimator shops. The 0.96% 500+ share is a reminder that a few are not.
Serials, liens, crashes, and rebuilds belong in the first pass on a Worcester or New Bedford machine list. Pay for an appraisal that states FMV, OLV, and FLV. If OLV plus cleaned working capital is near asking EV, you are not buying a growth story. Tooling the customer owns is not collateral. A Swiss-line photo without a current quality card is a tour. Concentration by legal entity can hide a worse program mix on a defense-supplier book. Write the ceiling in the buybox. Structure or walk.
The 90-day clock after the wire is not a second diligence period. It is operations on a rank-16 file: keep the scarce names, lock the programs, count the physical again, and do not discover an aged Phase I after you have already signed. MCP honesty does not expire because you chose stock. Phase I components generally stale after 180 days when AAI is the path (Source: EPA). If you let the study age on a wet-process plant in New Bedford, you buy a new study or you buy a hole. A Springfield precision-metal shop on the 5,920-count map does not get a holiday because someone called MCP a transfer act. It is not.
