Ask which river bank the deed uses
Buy a manufacturing business still wants a written box. Name the process — food, metal, chemicals, machinery — not “manufacturing.” Name the closing state in the first sentence. Name certificates that must be current on Monday. Name a concentration ceiling. Name whether you will lease the plant, buy it, or accept either. Name the capital path.
The Pennsylvania buy page is the statute overlay for a Pennsylvania deed. This page is the Philadelphia map under the cities directory. Pennsylvania’s CBP 2023 state file lists 13,231 manufacturing establishments, 564,394 employees, a 42.7-person average, 65.3% under 20, and 0.91% at 500-plus (Source: Census CBP). That is a sourcing map. It is not a Philadelphia shop count. BLS CES publishes metro employment. This site does not print a CES cell.
Philadelphia-Camden-Wilmington, PA-NJ-DE-MD is a commute nickname. Ask for the street before QoE money leaves the account. A Pennsylvania address uses successor-tax clearance. A Camden address uses New Jersey. A Wilmington-side address uses Delaware. A Maryland fringe address uses Maryland.
Bucks food versus Delaware County metal
Bucks County food and Delaware County metal can share a southeast map and still need different packets. Food is a GFSI audit and working capital. Metal is mix, scrap, and pass-through. The Navy Yard fringe can be a lease and occupancy story. Those are sourcing sentences. They are not multiples.
How it works puts paper first. Sub-sectors keep the search from becoming a four-state dump. National OEWS May 2025 medians — machinist $58,750, welder $53,750 — are backdrop (Source: BLS OEWS). Recast the plant’s burdened payroll. Four names still matter: programmer, estimator, second-shift lead, customer holder.
If you will not relocate, say the radius and which bank you will accept. If you will, say who quotes when you are on a plane. A metro preference is not a valuation theory.
BizBuySell’s 2025 manufacturing median close ran 223 days (Source: BizBuySell). Use that clock for exclusivity, Phase I, and successor-clearance timing. It is a planning number, not a promise.
Pennsylvania clearance on a Philadelphia letter
Ask for the clearance plan in the LOI, not in week ten of exclusivity. Occasional-sale treatment of a bulk machinery transfer is a different question from a purchase exemption on new equipment. The Pennsylvania CPA owns both. Do not treat “UCC Article 6 is gone” as the file.
Phase I supports All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II is the long form. Skipping the study because a Navy Yard-adjacent bay “has always been light assembly” is how buyers inherit a tank. Pennsylvania is not an ISRA clone. Cleanup liability is still real.
Valuation still starts with size band. The 2021–2025 manufacturing median was 2.75x SDE (Source: BizBuySell). That is a Main Street room. It is not a chemical book with reportable EBITDA. Do not apply a 7x headline to a $400k-SDE Delaware County shop.
| River-bank test | Pennsylvania packet | New Jersey packet if Camden |
|---|---|---|
| First sentence of the letter | Closing state is Pennsylvania | Closing state is New Jersey |
| Tax closing item | Successor clearance certificate | New Jersey tax cells — confirm with NJ counsel |
| Environmental transfer | N — Phase I / AAI still apply | ISRA if facts fit; see the NJ overlay |
| Mini-WARN table | N — still confirm; federal WARN may apply | New Jersey notice cells — do not copy them onto Bucks |
| Broker posture | No dedicated RE-for-business rule widely cited | New Jersey licensing — confirm separately |
State environmental transfer laws is the longer map. Do not blend the rows because a teaser said “Philly.”
Federal WARN tests 100 or more full-time employees and 60 days. Pennsylvania mini-WARN is N in the 2026 table — still confirm. If you already said you will consolidate, open WARN the week you say it.
What changes if the plant sits in Camden?
The overlay changes. Successor-tax clearance does not travel across the river. ISRA, if it applies, is a New Jersey clock. The buybox must say New Jersey in the first sentence. This page remains a sourcing map. It is not a Camden multiple and not a reason to invent a city CBP count on either bank.
Write the peg into the letter. A food peg and a metals peg do not share classes. Unbilled first-article hours are not finished goods. The close count should be physical.
Competing letters will not use one earnings base. A sponsor paying certified EBITDA will not stretch for an owner who still quotes every mix ticket. A searcher who imported a software-study median will overstate a thin Delaware County fabricator. Anyone trapped in the 7(a) ceiling leaves when fees and the peg shove the check outside the box.
Capital and AAI on a Pennsylvania Philadelphia file
SBA 7(a) for manufacturing acquisitions still caps at $5 million with a 10% injection under SOP 50 10 8 (Source: SBA). A current-pay note is not equity. 504 still exists for the plant and qualifying heavy M&E. Occupancy is a fact. Combined capacity is not a stretch story on a thin check.
Ask for make, model, year, and the lien search before a Bucks or Delaware County visit. If the iron floor plus cleaned working capital is close to the ask, the going concern is a payroll on top of machines. Deferred capex belongs in the price, not in your first year. ISM’s 54.6 and the Fed’s 76.0% capacity print are weather. They do not become a southeast premium.
The first 90 days after the wire are operations. Keep the estimators. Lock the top accounts. Count inventory again. Put maintenance on a calendar. Counsel picks asset versus stock. Successor clearance does not take a holiday because you chose stock.
The sibling Philadelphia sell page is the owner’s sequence. Jason Taken is a business broker. He will pressure-test the buybox and keep the river bank in the first sentence. We will not invent listings. Confirm cells with counsel. No outcome is guaranteed.
A Bucks food plant and a Delaware County metals shop do not share a Monday roster. Write who holds SQF, who quotes mix, and who the buyer of record actually calls. If two of those names are the seller, the model needs a hiring plan, not a synergy slide. I-9 files and OSHA 300 logs stay diligence. Repeat citations are priced.
Quality of earnings on a southeast food book tests slotting, spoilage, and whether promotional years were treated as run-rate. On a Delaware County metals book it tests job-cost versus tax and whether scrap was called “one-time.” Add-backs that survive have invoices. Tell the seller in the LOI who pays for the report and how long exclusivity lasts if the report slips. Use the report to test the recast, not to invent a port multiple.
Stanford study medians assume a margin profile most job shops do not have. Do not force a 9% fabricator into that template because a Navy Yard-adjacent bay photographed well. Write the Monday roster before you tour. Climate prints stay weather. They do not become a Bucks thesis.
If you will not live in the plant, say who the general manager is before anyone drives. Most operators will not relocate for a lease they have not underwritten. A Camden deed is not a Philadelphia bargain. It is a New Jersey overlay. Ask the street first. Buy a manufacturing business in Pittsburgh and Allentown are the other Pennsylvania metro overlays.
Occupancy still matters if 504 is in the stack. A waterfront photo does not prove the share. Combined 7(a) and 504 capacity is not a stretch story on a thin check. Rates are lender-specific. This page will not invent a prime-plus quote.
Ask counsel to put the deed state in the first sentence of the LOI and to attach the clearance or ISRA plan as a closing condition, not as a hope. A Pennsylvania CPA and a New Jersey environmental counsel are different retainers. Do not hire one and assume the other bank is covered. Wilmington-side and Maryland-fringe deeds are third and fourth overlays. This page will not invent a shop count for any of them.
The 42.7-person Pennsylvania average is a state cell, not a typical Bucks plant. Underwrite the actual roster. Successor clearance is a closing condition you write into the LOI, not a certificate you hope appears in week ten. If the teaser said Philly and the surveyor later stamps Camden, stop and reopen the New Jersey overlay before QoE continues. Do not keep spending on a Pennsylvania clearance plan after the deed has already left the state.
