How do you buy a manufacturer when the check is above the SBA cap?
Forcing SOP 50 10 8 math onto a $9 million EV file is how buyers waste exclusivity. Buying a manufacturing business includes saying "this is not a 7(a) story" out loud. The cap page is the other half of that sentence.
Why the cap is a hard wall
Standard 7(a) maximum is $5 million. SOP 50 10 8 still wants a 10% injection, with a seller note counting as equity only on full standby for the life of the loan and only up to half the injection (Source: SBA). Those rules do not stretch because the CIM is pretty.
Combined 7(a) and 504 can reach $10 million of SBA-backed financing under the 18 May 2026 announcement and the 4 July 2026 policy notice that outstanding 7(a) does not reduce 504 capacity (Source: SBA). 504 remains $5 million standard / $5.5 million small-manufacturer per project, with occupancy tests. A buyer who needs $14 million of seller proceeds on $700,000 of equity is not in a structure. They are in a wish.
IBBA / M&A Source Market Pulse Q1 2026 reported that 83% of deals over $5 million attracted three or more offers (Source: IBBA). Above-cap files are competitive. They are also the files where a thin equity check gets walked over.
| Instrument | What it underwrites | What it will not save |
|---|---|---|
| Conventional cash-flow | Adjusted EBITDA and DSCR (often 1.20–1.30x in lender feasibility recaps — market practice, not a quote) | 40% customer concentration with no structure |
| ABL | Eligible AR, eligible inventory, sometimes M&E on OLV | Job-shop WIP the field exam will haircut |
| Equipment finance | Specific serial-numbered cells | A blanket story with missing UCC releases |
| Mezz / unitranche | Stretch when senior is maxed | A QoE that deleted a turn |
| Seller note (amortizing) | Gap and tax timing | SBA equity math — that note is a different animal |
| Investor equity (search / sponsor) | The rest of the check | A 9% margin shop forced into a 25% model |
| Earn-out | Measurement after close | Year-one DSCR |
Do not name funds or banks on this page. Structure is the point.
ABL is a field exam, not a slogan
Market-practice advance rates — label them as such — often sit at 70–85% of eligible AR and 40–60% of eligible inventory, lower on WIP, with M&E against appraised orderly liquidation value plus a haircut. Eligibility matters more than the headline rate. Cross-aged AR, customer-owned inventory, and job-cost WIP that cannot be finished without the seller's tribal knowledge all fall out of the base.
A working-capital peg and an ABL borrowing base are cousins, not twins. The peg is a purchase-price true-up. The base is a monthly availability test. If you confuse them, you will wire a price that the revolver cannot support in month two.
Equity, sponsors, and search capital
Independent sponsors live deal-by-deal. Closing risk is real until capital is committed. Searchers bring search capital plus an acquisition SPV. Stanford's 2024–25 median purchase was $16 million at about 6.2x EBITDA on a ~25% margin, ~$2.5 million EBITDA company (Source: Stanford GSB). That is a search-fund median. It is never a job-shop multiple. The search-fund guide is the longer version.
If your board expects that profile, do not force a 12% fabricator into the model by calling overtime "normalization." If you are willing to underwrite labor and certificates harder than a contracted services firm, say so in the buybox.
A buyer-paid quality of earnings is standard once EBITDA is large enough that add-backs could move a turn — commonly around ~$2 million+ EBITDA, sometimes lower if the add-back schedule is aggressive. Above the cap, the QoE is not optional theater. If the report kills $400,000 of EBITDA, the price moves or the deal dies.

Multiples in the bands that usually sit above 7(a)
Valuation on this site is labeled by size band and sub-sector. For adjusted EBITDA, going-concern, cash-free / debt-free:
- EBITDA $1–3M: general fab / print 4.0x–5.5x; precision / plastics 5.0x–6.5x; aerospace AS9100 / medical ISO 13485 6.0x–8.0x
- EBITDA $3–10M: general 5.0x–6.5x; precision / plastics 5.5x–7.5x; aero / medical 6.5x–9.0x
- EBITDA $10M+: general 6.0x–8.0x; precision / plastics 6.5x–9.0x; aero / medical 7.0x–11.0x
Those cells are synthesized from advisor-survey and reported-deal sources, not a single dataset. GF Data Q1 2026 manufacturing recap averaged 7.2x, 5.9x under $25 million EV, 8.8x at $100–250 million EV — a larger-EV series (Source: Iconic GF Data recap). Main Street SDE medians stay on Main Street.
Top-customer share above ~25–30% is a 0.5–1.5x multiple discount or an earn-out / concentration escrow — broker rule-of-thumb, not a statute. Structure it. Do not speech it.
What still has to be true
The machine list still needs serials and an OLV. Inventory still needs classes and a physical. Environmental still needs ASTM E1527-21 when you take industrial title or the process history is wet. Government contracts still need FAR 42.12 novation. ITAR still needs DDTC work. None of that disappears because you brought more equity.
Fed G.17 utilization 76.0% in July 2026 (Source: Fed G.17) and ISM Prices 71.1 in August 2026 (Source: ISM) still hit the field exam. A revolver that assumed 85% of AR will notice when customers stretch.
How to know you are above the cap before you waste a letter
Add EV, estimated fees, and a peg reserve. Subtract any 504-eligible plant and heavy equipment that actually fits occupancy and project rules. If the remainder still exceeds what a $5 million 7(a) can carry after the 10% injection (Source: SBA), you are above the cap. Do the arithmetic on a pad. Do not do it after exclusivity.
A composite, not a listing: $8.4 million EV, $250k fees, $400k peg, $2.1 million building that 504 can take at $5.5 million small-manufacturer project capacity (Source: SBA). The operating company still needs a senior stack that is not folklore. Combined SBA-backed financing can reach $10 million (Source: SBA). That helps only if both products fit. It does not print the last $1 million of seller proceeds.
If the seller wants 95% cash at close and your equity is 8%, you do not have a structure. IBBA materials show majority cash across bands (Source: IBBA). Majority is not 95% on every file. Notes still appear. They must be honest notes.
Intercreditor problems people skip
ABL plus equipment lessors plus a seller note plus investor equity means intercreditor agreements. Serials have to match. A lessor who did not consent is a close killer. A seller note that wants a second lien the ABL will not allow is a letter you should not have signed. Counsel and the capital providers own that paper. You own the decision to stop forcing it.
Mezzanine with warrants or PIK can stretch. It also changes the return you thought you bought. Model the cost. Do not treat mezz as "cheap equity." Unitranche is a product, not a personality.
Earn-outs remain measurement after close, not DSCR. If concentration is the reason you are stretching, write the earn-out so it can be calculated. Then still raise the equity as if the earn-out pays zero.
Main Street 2.75x SDE files (Source: BizBuySell via Iconic) are usually not this page. Stanford $16 million / 6.2x / ~25% margin files usually are (Source: Stanford GSB). That median is never a job-shop multiple. It is a reminder that above-cap files often look like search or sponsor files — with labor and certs underwritten harder than a services firm.
ISM Prices 71.1 (Source: ISM) hits ABL availability when customers stretch. Fed utilization 76.0% (Source: Fed G.17) hits overtime. Climate still matters when the cap is behind you.
Jason Taken is a business broker. He does not place ABL or mezzanine. Educational information only. Confirm structure with counsel, a CPA, and the capital providers. No outcome is guaranteed.
A one-slide stack for investors or a bank
Sources: equity, senior cash-flow or ABL, equipment, seller note (amortizing, not fake standby), earn-out at zero for DSCR. Uses: EV, fees, peg. If sources < uses, you are not above the cap. You are short. SBA 7(a) $5 million is a line only if a piece still fits (Source: SBA). Combined 7(a)+504 $10 million is two lines (Source: SBA). Stanford $16 million / 6.2x / ~25% margin (Source: Stanford GSB) is a study cell, never a job-shop multiple. Main Street 2.75x SDE (Source: BizBuySell via Iconic) is usually the other page. IBBA 83% three-offer (Source: IBBA) is why the slide must look like a closer. ISM 71.1 (Source: ISM) and Fed 76.0% (Source: Fed G.17) belong in risk, not in sources.
Questions an above-cap stack must survive in one sitting
What is EV plus fees plus peg. What piece, if any, still fits 7(a) or 504 occupancy. What equity is actually committed. What ABL eligibility looks like after a field-exam haircut on WIP. What the seller note does to DSCR if it is not standby. If sources do not cover uses, stop writing letters.
Intercreditor problems kill closes. Serials have to match. A lessor who did not consent is not a cleanup item. Mezzanine with warrants is a cost, not cheap equity. Model earn-outs at zero for repayment. Raise the check as if they pay nothing.
Do the arithmetic on a pad before exclusivity. A seller who wants 95% cash and a buyer who has 8% equity are not in a structure. They are in a wish.
