What does an SBA loan up to the cap actually require on a plant file?
This page is the buyer-side box. Buying a manufacturing business still starts with a buybox. The loan does not invent cash flow. It leverages cash flow a credit committee will believe after a replacement wage.
The published 7(a) box, without folklore
Standard 7(a) maximum is $5,000,000. Guaranty is 85% on loans of $150,000 or less and 75% above that. Maximum standard SBA exposure is $3.75 million (Source: SBA 7(a) terms). Express / Export Express maximum is $500,000. Maturity is generally up to 10 years unless real estate or equipment life supports longer; real estate can run up to 25 years (Source: SBA lenders matrix).
SOP 50 10 8, effective 1 June 2025 for the commentary most 2026 files use, put a 10% equity injection under change-of-ownership. A seller note counts toward that injection only if it is full standby — no principal and no interest — for the life of the 7(a), and only up to 50% of the required injection. The common arithmetic is 5% cash + 5% standby note. SOP 50 10 8 ended the practice of a seller note covering the entire injection. Do not promise a buyer they can close with no cash.
SOP 50 10 8.1 applies to loan numbers issued on or after 1 October 2026. It keeps the $5 million cap and tightens some change-of-ownership documentation. Confirm with the lender which SOP governs the loan number, not the term-sheet date.
| Piece of the file | Published rule | What buyers get wrong |
|---|---|---|
| 7(a) size | $5 million max | Treating seller proceeds as if fees and the peg were free |
| Injection | 10% of total project cost | Counting an amortizing note as equity |
| Standby note | Full P&I standby, life of 7(a), ≤50% of injection | "Interest-only for two years" sold as standby |
| Goodwill | 7(a) can finance intangibles; supported valuation caps non-standby debt | Assuming any multiple is bankable |
| Partial change of ownership | Allowed with specific eligibility | Treating a 70% buyout as a standard 100% file |
| Earn-out | Not financing for DSCR until earned | Modeling it as year-one cash |
This is educational. It is not a commitment and not a term sheet. Rates and covenants are lender-specific. This page will not invent a prime-plus quote.
504 is the plant product, not a second 7(a)
SBA 504 takes qualifying real estate and heavy equipment. Standard CDC debenture is $5 million per small business plus affiliates. Small-manufacturer / energy public-policy maximum is $5.5 million per project (Source: SBA / 13 CFR 120.931). Typical stack in CDC guides is about 50% bank first lien / 40% CDC / 10% equity, higher if special-use. Occupancy: existing building occupy at least 51%; new construction occupy at least 60% with staged lease-up rules (Source: SOP 50 10 8).
From 4 July 2026, outstanding 7(a) does not reduce 504 capacity. Combined SBA-backed financing can reach $10 million in the Administrator's 18 May 2026 announcement (Source: SBA). That is still two products with two eligibility tests. It is not a $10 million 7(a).
Job-creation tests from 1 October 2025: one job opportunity per $95,000 guaranteed, or $150,000 for a small-manufacturer or energy public-policy project (Source: 90 FR 47117 via 2026 504 explainers). Confirm on the deal.
What a manufacturing credit file actually contains
Three years of financials and tax returns. Year-to-date versus prior. AR and AP aging. Inventory by class with E&O. A machine list with serials and a qualified M&E appraisal. Backlog and book-to-bill. Customer concentration for trailing 12 and 36 months. Quality certificates and the last CB audit. Environmental — at least a Phase I if real estate or historical industrial use is in the file. Union / CBA and a withdrawal-liability estimate if relevant. Government-contract and ITAR schedule. Insurance. UCC search.
A quality of earnings is not an SBA form, but once add-backs could move a turn the lender will ask harder questions. Tell the seller in the LOI who pays and how long exclusivity lasts if the report slips.
The working-capital peg still needs a manufacturing definition. SBA does not rescue unbilled WIP you refused to count. If the seller wants "customary NWC," write the method: trailing average of AR plus inventory minus AP, after E&O, with a physical at close.

Size-band honesty inside the cap
Main Street manufacturing in BizBuySell's 2021–2025 set cleared at 2.75x median SDE on about $268k SDE (Source: BizBuySell via Iconic). Many of those files fit 7(a). A $6 million-EBITDA certified supplier does not become a 7(a) story because you like the product. Cost is a stack. If EV plus fees plus the peg exceeds what a $5 million 7(a) can carry, stop. Read above the cap.
Sellers hear the individual-SBA-buyer speech on that buyer-type page. Buyers need the same math from the other side: personal guarantee, injection, standby language, and a DSCR the lender will model after a replacement wage. Affiliation rules can block sponsor-flavored "individuals." Eligibility is the lender's lane.
BizBuySell 2025 put manufacturing at a 223-day median close (Source: BizBuySell). Packaging is one reason files linger. How it works is the process spine. None of those figures is a promise.
Climate does not raise the cap
Fed G.17 manufacturing utilization was 76.0% in July 2026 (Source: Fed G.17). ISM PMI 54.6 and Prices 71.1 in August 2026 (Source: ISM) describe cost pressure a lender will also read. They do not change $5 million. They do change whether the shop can pass through steel and still cover debt service.
Stanford's $16 million / 6.2x / ~25% margin median is a search-fund profile (Source: Stanford GSB). Some searchers use 7(a). When they do, SOP 50 10 8 still applies. Do not mix traditional search folklore with standby-note rules.
Affiliation, partial buyouts, and the "individual" who is not
Affiliation rules can treat related companies as one borrower. A searcher or sponsor wearing an individual hat can trip them. Related-party change-of-ownership gets extra documentation. Partial buyouts are allowed under SOP 50 10 8 with specific eligibility; they are not a standard 100% file. This page will not diagnose your org chart. The lender will.
Personal guarantee and global cash flow still sit on 7(a) change-of-ownership files. A buyer who is already leveraged on a rental portfolio may not have the global DSCR the credit committee wants. That is not a plant problem. It is a stack problem. Fix it before the LOI.
Goodwill is financeable, but the supported business valuation caps total transaction debt that is not on full standby. An aggressive multiple with a thin appraisal is how the loan shrinks after you spent exclusivity. Pay for the valuation the lender will use.
What "project cost" includes when people under-inject
Total project cost is not only EV. It is fees, working-capital need, and sometimes closing costs the CIM ignored. A 10% injection on a too-small denominator is how buyers get a last-minute cash call. Build the uses-of-funds table before you sign the letter. Cost is the stack page. This page is the product box.
Seller notes that pay current interest can still exist. They just do not count as the equity injection. They also hit DSCR. Choose: standby equity helper, or cash-flow note, or both with eyes open. SOP 50 10 8.1 applies to loan numbers on or after 1 October 2026. Read the text that governs.
Express / Export Express at $500,000 is not a manufacturing-acquisition product for a $2 million EV shop. International Trade / EWCP guaranty stories are special cases. Do not force them onto a domestic job shop because the acronym sounded useful.
Main Street 2.75x SDE files (Source: BizBuySell via Iconic) often fit this box. Stanford $16 million / 6.2x / ~25% margin files usually do not (Source: Stanford GSB). That median is never a job-shop multiple and rarely a pure 7(a) story. IBBA's 83% three-offer statistic on deals over $5 million (Source: IBBA) describes a different band. If you are under the cap, you still compete. You just compete with a box.

A pre-lender pack that saves a month
Tax returns, YTD, recast with documents, machine list, UCC, concentration 12/36, classed inventory, certificate dates, lease or title, and a written injection source. SBA 7(a) $5 million / 10% / standby rules (Source: SBA). Combined 7(a)+504 $10 million only if occupancy fits (Source: SBA). Main Street 2.75x SDE (Source: BizBuySell via Iconic) files live here. Stanford $16 million / 6.2x / ~25% margin files (Source: Stanford GSB) usually do not — and that median is never a job-shop multiple. IBBA 83% three-offer (Source: IBBA) is the other band. ISM 71.1 (Source: ISM) and Fed 76.0% (Source: Fed G.17) go in the credit memo as climate, not as DSCR.
Questions a 7(a) pack should settle before the LOI
What SOP governs the loan number. Is the injection ten percent of total project cost, not of a teaser EV. Is any seller note truly full standby for the life of the 7(a) and only half the injection. Does DSCR survive a replacement wage. Does the project still fit after fees. If not, you are on the above-cap page.
Affiliation and partial buyouts are not blog diagnoses. The lender owns eligibility. Global cash flow still sits on change-of-ownership files. A buyer already leveraged on rentals may fail before the plant is discussed. Bring the pre-lender pack: tax, recast, machine list, UCC, concentration, inventory, certs, lease or title, injection source.
Express products at a half-million dollars are not a $2 million EV shop solution. Do not force acronyms onto a domestic job shop because they sounded useful.
