How much does a manufacturing business cost once you name the size band?

Buyers who skip that sentence ask "what multiple" before they ask "what is inside the number." Buying a manufacturing business starts with the stack: earnings basis, size band, sub-sector, real estate, and whether the project even fits a $5 million 7(a).

Price is a stack, not a rumor

Enterprise value (EV) is the going-concern number for the operating company. Machinery and equipment sit inside EV unless someone carves them out. Inventory, AR, and AP sit in the working-capital peg, not as a casual "we'll true it later." Real estate is a separate cap-rate decision. Cash and interest-bearing debt are stripped.

If you cannot write those four buckets on one page, you do not know what the business costs. You know what someone hoped you would pay.

Main Street manufacturing in BizBuySell's 2021–2025 sold set cleared at 2.75x median SDE (interquartile 2.04x–3.59x) on about $268k of discretionary earnings and about $1.13 million of revenue (Source: BizBuySell via Iconic). That is the clearing conversation for many owner-operated shops. It is not a $6 million-EBITDA packaging platform.

Label the EBITDA cells as advisor-survey and reported-deal ranges, not an appraisal. IBBA Pulse Q1 2026 plotted the $5–$50 million band near ~4.5x–5.1x EBITDA on the sparkline — an advisor survey, not GF Data (Source: IBBA). GF Data Q1 2026 manufacturing recap averaged 7.2x, 5.9x under $25 million EV, and 8.8x in the $100–250 million EV band (Source: Iconic GF Data recap). Larger-EV series stay in their lane.

The check is larger than EV

Write the uses of funds before you write the LOI.

  • Equity injection. SOP 50 10 8 wants 10% of total project cost on a change-of-ownership 7(a). A seller note is equity only on full standby for the life of the loan and only up to half the injection (Source: SBA / SOP 50 10 8).
  • Lender and SBA fees. They consume capacity inside the $5 million 7(a) cap (Source: SBA terms).
  • M&E appraisal stating FMV, OLV, and FLV.
  • Phase I ESA when you touch industrial dirt or a wet process history.
  • Buyer-paid quality of earnings once add-backs could move a turn — commonly once EBITDA is large enough that lenders expect it.
  • Counsel, insurance binders, UCC searches, and the physical inventory.

A composite example, not a listing: a $1.6 million EV job shop plus $80,000 of fees plus a peg that comes in $120,000 light is not a $1.6 million project. It is a $1.8 million problem if you did not reserve cash.

SBA 504 can take the building and much of the heavy iron: standard CDC debenture $5 million, $5.5 million per qualifying small-manufacturer project (Source: SBA). From 4 July 2026, outstanding 7(a) does not reduce 504 capacity, allowing combined SBA-backed financing up to $10 million in the Administrator's announcement (Source: SBA, 2026-05-18). Occupancy rules still apply. Confirm the notice that governs the loan number.

Asset floor versus earnings story

When orderly liquidation value of the machinery plus cleaned net working capital approaches asking EV, you are not buying a growth narrative. You are buying iron with a payroll attached. That is common in old-control job shops and tired stamping plants. Pay an appraiser. Do not freelance OLV from an auction flyer.

Deferred capex is a price chip: crashed spindles, unreplaced resonators, molds out of steel, SMT heads that will not place the next package. A seller who calls that "the buyer's problem" already took earnings that assumed free machines.

M&E sits inside EV unless carved out.

Real estate is a second price

Do not bury the plant inside the multiple. Price the dirt on cap rate or replacement, then lease it to the company or buy it in a parallel close. Occupancy for 504 is a published test: existing building occupy at least 51%; new construction occupy at least 60% with staged lease-up rules (Source: SOP 50 10 8). This page is not a loan commitment.

Energy and utilities belong in the operating model, not the cap rate. There is no national "manufacturing energy percent" worth publishing. There are trailing-12 utility bills and a compressor room that sounds like a jet.

Financing path sets the ceiling

SBA up to the cap is a $5 million conversation plus injection math. Above that, conventional cash-flow, ABL, equipment paper, mezzanine, or a strategic balance sheet take over. Market-practice ABL advance rates — label them as such — often sit around 70–85% of eligible AR and 40–60% of eligible inventory, with a deeper haircut on WIP. Job shops with lumpy inventory get less help than they expect.

Stanford's 2024–25 median purchase of $16 million at about 6.2x EBITDA on a ~25% margin company is a search-fund median (Source: Stanford GSB). Do not use it to price a 12% margin owner-estimator shop. See whether manufacturing is a good investment before you borrow someone else's hurdle rate.

IBBA Q1 2026: 83% of deals over $5 million had three or more offers (Source: IBBA). Competitive tension raises cost. It does not rewrite size-band math. Sub-sectors change the conversation: a certified aerospace cell and a commodity brake shop do not share a cell in the table.

Time is part of cost

BizBuySell 2025 put manufacturing at a 223-day median close, the slowest major sector in that review (Source: BizBuySell). The multi-year manufacturing set showed about 207 days on market. Lower-middle-market processes often run 6–12 months from intro to close once a CIM is in market — broker rule-of-thumb, not a guarantee.

ISM PMI 54.6 and Prices 71.1 in August 2026 (Source: ISM) describe cost pressure that will show up in the QoE if resin, steel, or components cannot be passed through. Fed G.17 utilization 76.0% in July 2026 (Source: Fed G.17) describes climate. Neither number is your target's quote file.

How to sanity-check an asking number in one sitting

Write EV implied by the teaser. Divide by the earnings basis the teaser claims. Label the size band and sub-sector. If the implied multiple sits in the wrong cell — 6.2x on a 9% SDE shop, or 2.2x on a clean $4 million-EBITDA AS9100 file — you have a question, not a hunt. Stanford's $16 million / 6.2x / ~25% margin median stays in the search-fund cell (Source: Stanford GSB). BizBuySell's 2.75x SDE median stays on Main Street (Source: BizBuySell via Iconic).

Then add the building if it is in, using a cap-rate placeholder you will replace with a local broker opinion — this page will not invent cap rates. Then add a fee bucket: appraisal, Phase I, QoE, counsel, lender fees. Then add a peg reserve. If the total project no longer fits a $5 million 7(a) plus a 10% injection (Source: SBA), you are above the cap or you are in a fantasy.

A composite, not a listing: $2.1 million asking EV, $620k SDE, no building, $90k estimated fees, $80k peg risk. That is not a $2.1 million decision. It is a $2.27 million project and a 3.4x SDE conversation before you test whether the SDE is real.

What "sold for" stories leave out

People recite a multiple they heard at a peer group. They leave out size band, sub-sector, concentration, whether the dirt was in, whether the note was standby, and whether the peg was light. IBBA Pulse Q1 2026 is an advisor survey; the $5–$50 million sparkline near ~4.5x–5.1x EBITDA is not your shop (Source: IBBA). GF Data 7.2x is a larger-EV series (Source: Iconic recap). Repeat those labels when you repeat the number.

Cash-at-close shares in IBBA materials sit in the high-70s to high-80s percent by band on the visual chart. This page will not invent a single cash-at-close percent. It will say majority cash is common and notes still appear above SBA capacity.

ISM Prices 71.1 (Source: ISM) can move the first-year cash you thought you bought. Cost is not only the wire. It is the year of pass-through. Fed utilization 76.0% (Source: Fed G.17) can move overtime. Cost is also the roster.

HedgeStone will not invent a listing price. Jason Taken is a business broker. He does not appraise machinery or give tax advice. Educational information only. Confirm allocation under Form 8594 / IRC § 1060 with a CPA. No outcome is guaranteed.

What to put in a uses-of-funds box before the call

EV. Building if in. Fees (lender, SBA, appraisal, Phase I, QoE, counsel). Peg reserve. Injection cash. Standby note if it is truly standby. ABL or equipment paper if above the $5 million 7(a) cap (Source: SBA). Combined 7(a)+504 can reach $10 million (Source: SBA) — only as two lines, not one boast. If the box does not foot, you do not know the cost.

Main Street 2.75x / ~$268k SDE (Source: BizBuySell via Iconic) still needs the box. Stanford $16 million / 6.2x / ~25% margin (Source: Stanford GSB) still needs it. The median is never a job-shop multiple. IBBA 83% three-offer (Source: IBBA) does not fill a blank line. ISM 71.1 (Source: ISM) and Fed 76.0% (Source: Fed G.17) belong in year-one cash, not in EV.
