What the committee is and is not
Treasury’s CFIUS page is the public door. Whether a filing is mandatory depends on the facts: critical technology, critical infrastructure, sensitive personal data, and control tests. Do not diagnose it from a blog. If you are selling a manufacturing business or buying a manufacturing business with a foreign person in the stack, put counsel on the calendar before exclusivity.
Census CBP 2023 counted 284,452 manufacturing establishments (Source: Census CBP). Most closes are domestic-to-domestic. Those files can still need export-compliance amendments. Do not hide a registration.
A foreign buyer can be the high bid and still miss the close if CFIUS or ITAR clocks were ignored. Keep a backup.
How ITAR and EAR sit on a different clock
ITAR and EAR are export-control piles. ITAR § 122.4(b) generally requires 60-day notice to DDTC before a foreign person owns or controls a registered manufacturer. A CFIUS filing does not satisfy that notice. Selling an ITAR-registered company is the seller-side twin. Dual-use items can sit under EAR instead of or in addition to ITAR. Classification is counsel and an export officer, not a broker.
Novation is a third pile when vehicles exist. None of these calendars replace each other.
| Review | What it can do | What it does not do | Who owns it |
|---|---|---|---|
| CFIUS | Review certain foreign investments | Satisfy DDTC notice | CFIUS counsel |
| ITAR § 122.4(b) | 60-day notice before foreign control of a registrant | Replace CFIUS | Export counsel |
| EAR | Dual-use classification and licenses | Diagnose CFIUS | Export officer + counsel |
| FAR 42.12 | Recognize a successor on vehicles | Transfer set-aside status | Government counsel |
How to treat the high foreign bid
Take it if the clocks fit and counsel agrees the path is real. Refuse exclusivity if it would burn domestic alternatives past their patience. BizBuySell’s 2025 manufacturing median time to close was 223 days (Source: BizBuySell). Adding an unmodeled CFIUS clock is how that median becomes a year.
SBA 7(a) still caps at $5 million (Source: SBA). A foreign structure can trip eligibility and affiliation. Do not assume an SBA hat fits.
The FAQ index owns the question. The owner URL owns the buyer-class comparison and the backup-bid rule.
Should I take the foreign bid if it is the highest number?
Yes if the clocks fit and counsel agrees the path is real. No if exclusivity would burn domestic alternatives past their patience. A foreign buyer can be the high bid and still miss the close if CFIUS or ITAR clocks were ignored. Keep a backup. Status questions — including whether a green-card buyer is “foreign” for ITAR — are fact-specific. Do not guess.
Domestic-to-domestic deals can still need export-compliance amendments. Do not hide a registration. This site will not list countries or buyers.
Critical technology, critical infrastructure, sensitive personal data, and control tests decide whether a filing is mandatory. Do not diagnose those tests from a blog. Put counsel on the calendar before exclusivity. A CFIUS filing does not satisfy the ITAR § 122.4(b) 60-day DDTC notice. EAR classification is counsel and an export officer. Novation is still a separate pile when vehicles exist.

Mandatory filing analysis is counsel’s lane. The broker’s job is to put it on the calendar before exclusivity. A CFIUS filing does not satisfy the ITAR 60-day DDTC notice. EAR classification is an export officer. Take the high foreign bid only if the clocks fit. Keep a domestic backup if they do not.

Do not diagnose mandatory filing from a blog. Critical technology, infrastructure, sensitive data, and control tests are counsel facts. Keep the backup bid warm while those facts are written. A green-card status question is fact-specific. Ask export counsel. Do not guess on the teaser. This site will not list countries or buyers. The owner URL owns the backup-bid rule. A filing does not satisfy DDTC notice. Keep clocks on the Gantt chart before anyone grants exclusivity. Take the high bid only if those clocks fit.
