How to pick SDE versus adjusted EBITDA

Use SDE when the owner is still a material operator. Use adjusted EBITDA when institutional buyers are in the mix and the replacement wage is already in the recast. Mixing them is how people invent 5x SDE “EBITDA” stories. SDE vs EBITDA is the earnings-base sibling. Multiples by size is the band sibling.

Main Street manufacturing in BizBuySell’s 2021–2025 set cleared at a 2.75x median SDE on about $268k of discretionary earnings, interquartile 2.04x–3.59x (Source: Iconic / BizBuySell). That marker is the gravity well for owner-operated shops. It is not a PE headline.

If you are selling a manufacturing business, name the band before you name a hope. Job shop vs product company changes the sub-sector cell. It does not invent a new official band.

What larger rooms use instead

Reported lower-middle-market manufacturing EBITDA multiples cluster higher and move with size and certificates. IBBA Pulse Q1 2026 plotted LMM EBITDA multiples and cash-at-close shares by enterprise-value band (Source: IBBA). Pepperdine-style PE prints live in a different room. Do not average them with the 2.75x SDE median.

Census CBP 2023 counted 284,452 establishments; 68.4% have fewer than 20 employees (Source: Census CBP). Most files are Main Street rooms. A GF Data larger-EV print does not belong on those files.

What does not pick your band

Your state does not pick your band. Is there a state manufacturing multiple answers that. Geography is a statute and CBP overlay. BizBuySell’s 2025 manufacturing median time to close was 223 days (Source: BizBuySell). That clock is climate. It is not a band.

A broker opinion on this site is a marketed range with a size band and a sub-sector label. It is not a USPAP report. The FAQ index owns the question. The valuation pillar owns the cells.

What if equipment value exceeds earnings value?

Then the floor is an asset valuation: orderly liquidation value of M&E plus normalized net working capital, minus correction costs. That is common in older job shops and distressed plants. Do not “split the difference” with a 5x fantasy. Name the band first. Then test the floor.

Certificates — AS9100, ISO 13485, IATF 16949, SQF — support a higher multiple only if audits are current and transferable. A lapsed certificate is a discount, not a footnote. Customer concentration above about 25–30% of sales pressures the multiple or forces earn-out structure. That is a rule of thumb on the valuation pillar, not a statute.

A broker opinion is a marketed range with a size band and a sub-sector label. It is not a USPAP report, not a lender appraisal, and not a court exhibit.

Name the earnings base first, then the sub-sector row, then whether iron value floors the deal. GF Data’s larger-EV series is the wrong book for a Main Street SDE shop. Stanford’s 6.2x search median is the wrong book for an owner-estimator plant. An aerospace cell is the wrong book if the certificate lapsed. Tariffs can move margin and mix. They do not mint a new official multiple.

The FAQ index owns the question. The valuation pillar owns the cells.

Use SDE when the owner still operates and earnings sit under about $1 million. Use adjusted EBITDA when a replacement manager is already in the number. Your state does not pick the band. Certificates help only if audits are current. Concentration above about 25–30% of sales pressures the multiple or forces structure. Then test the asset floor.

Name the band before anyone quotes a hope. Then apply the sub-sector cell. Then test OLV plus clean net working capital. A GF Data larger-EV print does not belong on a Main Street SDE shop. A broker opinion is a marketed range. It is not a USPAP report and not a lender appraisal.

IBBA Pulse Q1 2026 plotted LMM EBITDA multiples by enterprise-value band. Pepperdine-style PE prints live in a different room. Do not average them with the 2.75x SDE median. If orderly liquidation of the serialized list plus a clean peg already exceeds earnings value, stop arguing a turn. Commission an appraiser. The teaser does not invent FMV or OLV.

Tariffs change margins and backlog mix. They do not create a new official multiple. ISM price pressure is climate. Underwrite pass-through, not headlines. Job-shop versus product identity changes the sub-sector cell. It does not invent a new official band. Always state the size band before anyone quotes a hope. Then test the iron floor on the same call.
