What a surviving adjustment looks like
A surviving line is documented, non-recurring, and non-operating. Excess owner pay above a replacement package is the classic keep. A dated flood, a plant move, or a settled lawsuit can keep if the invoices and the date are in the binder. “I could hire someone for half” without comps does not keep.
Census CBP 2023 still shows 68.4% of manufacturing establishments with fewer than 20 employees (Source: Census CBP). On those files the adjustment that matters most is the replacement general manager. Skip it and you have SDE wearing an EBITDA badge.
What dies on contact
Unfunded maintenance called an add-back. Inventory step-ups without a physical. Recurring “one-time” consulting. Future tariff givebacks. Synergies the buyer has not captured. PPP-era residue that the run-rate still needs. Each of those belongs in a different column: cash at close, reserve, or “not earnings.”
Quality of earnings tests the same list with bank-grade workpapers. A broker recast is not that test. Jason Taken is a business broker.
| Adjustment class | Usually survives | Usually dies |
|---|---|---|
| Excess owner pay | With market comps | Bare assertion |
| Personal auto / travel | With statements | Mixed business use |
| Isolated legal / move | Dated invoices | Annual “projects” |
| Deferred capex | Never | Always a chip |
How does adjusted EBITDA change the price?
It changes the earnings base the multiple sits on. A rejected $200,000 add-back at 5.5x is a $1.1 million enterprise-value fight. It does not change BizBuySell’s Main Street 2.75x SDE median, which sits on a different base (Source: BizBuySell). Do not cross-walk the two.
SBA 7(a) still caps standard change-of-ownership debt at $5 million (Source: SBA). Lenders who use EBITDA still want the replacement-manager version, not the seller’s wish list.
Handoff to the schedule and the QoE
Open add-back if you are naming a single line. Open the owner if you are building the whole schedule. Open the FAQ if you asked “what is adjusted EBITDA?” as a question. Educational information only. Counsel and a CPA own tax classes; the QoE firm owns the bridge.
How institutional rooms will rebuild your number anyway
A searcher will put a market GM in even if you did not. A fund will test whether last year’s margin was a spot order. A lender will ask whether the rebuild fund is real. Adjusted EBITDA that ignores those tests is a CIM number, not a credit number.
Show the replacement package with comps. Show the one-time items with dates. Show the items you refused to add back. That last list builds more trust than a heroic bridge. The glossary keeps this noun from collapsing into reported EBITDA. When the file is real, book a confidential intro call.
What “adjusted” has to survive in a data room
Invoice-level support for every material line. A replacement-manager comp that a recruiter would recognize. A family-wage reset that matches BLS or a local offer letter, not a hope. A one-time item that does not appear in three consecutive years under a new name.
If the data room cannot produce those, you do not have adjusted EBITDA. You have a mood. Institutional buyers will write their own number. Better to meet them with a short, ugly, true bridge than with a long pretty one.
Family on the floor and the replacement that is not optional
If a spouse runs shipping at a token wage, the adjustment is not a gift to the seller. It is a cost the buyer will pay a stranger. Put the market rate in the number even when it hurts. If a child programs after school and no one else can, that is owner-dependence, not an add-back opportunity.
Institutional rooms will do this math without asking permission. Meeting them there is how a CIM stays in the conversation. Meeting them with a heroic GM-at-half-price line is how the conversation ends.
Adjusted means a buyer-grade GM, family wages at market, and dated one-time items with binders — nothing else wearing a costume. If that sentence is too long for the cover, the schedule is too long for the room. Add-backs in manufacturing holds the schedule rules. After the adjusted noun is straight, a confidential intro call is the conversion path.
