What the rule is asking for
An Environmental Professional, interviews, historical sources, a site visit, and a written report that can support the defense. The eCFR text is the primary source (Source: EPA / 40 C.F.R. Part 312). This page will not paraphrase the entire part.
Components generally go stale after 180 days. That clock is why you do not reuse a 2019 Phase I as “current AAI” on a 2026 close. Environmental condition of the property is the real-estate sibling.
What AAI does not do
It does not satisfy New Jersey ISRA. It does not sample soil — that is Phase II. It does not replace a 504 occupancy test. SBA 504 still uses $5 million / $5.5 million project caps on occupied brick (Source: SBA 504). Those caps do not refresh a stale report.
Census CBP 2023’s establishment file is why most plants still need a first-time current Phase I even when they are small (Source: Census CBP). Small is not clean.
| Clock | Meaning |
|---|---|
| 180 days | Typical component stale date |
| One year | Many lenders want a new Phase I |
| Transfer-act clocks | Separate state statutes |
Who should not skip AAI?
Any buyer who wants the landowner defenses, any lender who will take a mortgage, and any 504 CDC. Jason Taken is a business broker. Educational information only. Environmental counsel and the EP own the report.
How to keep the 180-day clock honest
Order the Phase I so the oldest AAI component will still be fresh at the realistic close date, not at the optimistic one. If the exclusive is 90 days and the plant is plated, you may need a refresh clause. If the deal slips, budget a new walk rather than a cover letter. Lenders have seen the cover-letter trick.
Sellers who already paid for a 2024 study should still expect a 2026 buyer to update it. Hand over the old report as a map. Do not treat it as current AAI. Phase I ESA is the vehicle. This noun is the rule the vehicle is built to satisfy.
Do not skip AAI because the state transfer-act cell is N. Conveyed dirt does not read research tables. Do not skip AAI because the deal is stock. Landowner defenses and lender boxes still care. Do not skip AAI because the building is leased. The operations may still have created conditions the buyer will inherit as an operator.
ISM’s 54.6 PMI does not refresh a stale component (Source: ISM). The glossary only names the federal diligence standard.
Isolation
The glossary keeps AAI off ISRA and off Phase II. The FAQ holds the question. When the study window is the calendar risk, book a confidential intro call.
Interviews and cover letters that treat an old walk as new
AAI expects interviews, including with the key site manager. The person who started in 1994 will remember the pit. The owner who arrived in 2018 may not. Do not send the new plant manager in as a shield. Give the EP that person. Then read the report. Then decide.
A new transmittal on old components is not AAI. Lenders have a stack of those. Budget the refresh. Time it to the close you actually expect, not the close in the first draft letter. A CIM can date the last study and say a refresh is required if close sits past 180 days. Bring the last Phase I PDF, its date, and whether a 504 or a mortgage is in the stack. Phase I and Phase II sequences the work. After the rule noun is straight, a confidential intro call is the conversion path.
What AAI is not
It is not ISRA. It is not Phase II. It is not a cover-letter birthday on an old walk. It is not optional because the deal is stock. Landowner defenses and lender boxes still care. It is not optional because the building is leased. The operations may still have created conditions the buyer will inherit as an operator. Do not skip AAI because a state transfer-act cell is N. Conveyed dirt does not read research tables.
How it shows up: as the EPA rule the Phase I is built to satisfy. Components generally stale after 180 days (Source: EPA / 40 C.F.R. Part 312). Interviews include the person who has been there longest. ISM’s 54.6 PMI does not refresh a stale component (Source: ISM). A CIM should date the last study and say a refresh is required if close sits past that window. Phase I ESA is the vehicle. This noun is the rule.
