What the term is not
It is not a sales tax on the purchase price itself. It is not the manufacturing equipment exemption that may apply when a shop buys a press. It is not a working-capital true-up. The buyer can still owe the seller’s old tax if the state treats the transfer as a bulk sale and no clearance issued. Counsel in the closing state names the statute. A CIM sentence that “taxes are current” is not a certificate.
Taxes when selling a manufacturing business maps allocation and recapture. This glossary entry stays on the inherited bill. A seller who collected tax on fixtures, then spent it, has created a payable that can travel. A buyer who skips the clearance request because the APA had a tax indemnity has confused a contract promise with a department certificate. Indemnities fail when the seller is gone and the account is empty. Clearance, escrow, or a holdback is how the file stays collectible.
Do not treat a verbal “we are current” from the controller as the certificate. Ask for the last filed return, the last payment confirmation, and any open audit. If the shop sold a used press last year and called it an isolated sale, that stub can sit in the same pile. Educational information only. Counsel in the closing state names whether a bulk-sale notice, a certificate, or both still exist.
Why does a plant buyer still care after an asset deal?
Because several states kept a successor rule after UCC Article 6 faded. The purchase can look clean on asset versus stock and still leave a sales-tax file open. A lender under SBA 7(a) will not treat an unpaid tax lien as a rounding error on a $5 million box. Escrow, a holdback, or a delayed wire is how the file stays honest.
BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). That window is enough to request clearance. It is not a promise that the department will mail it on your preferred Friday. A 7(a) file that needs a lien search will not wait politely while someone “means to call Revenue.” Start the request when the LOI is signed, not when the wire is scheduled.
Stock deals can still have a sales-tax stub if the entity stays and the liability was already there. Asset deals are where successor statutes usually bite. Neither structure is a holiday until counsel says so. Do not brief a Texas seller on an Illinois rule, and do not brief an Illinois seller as if UCC Article 6’s fade ended the conversation.
How it shows up in diligence
Ask for the last returns, the last audit, and any installment agreement. Ask whether the seller ever collected tax on tooling, fixtures, or “isolated” machine sales. A shop that sold a used CNC last year without documenting the exemption can have a stub that the buyer inherits. The working-capital peg does not absorb that stub unless the exhibit says so.
| Item | Successor sales tax | Related noun |
|---|---|---|
| What moves | Unpaid seller tax | Not the iron’s purchase tax |
| Typical paper | Clearance / escrow | Not a Phase I |
| Owner URL | Transfer-law page | Dirt still follows AAI |
Dirt still follows All Appropriate Inquiries under 40 C.F.R. Part 312. The tax clearance is a different binder. Do not merge them in the CIM. A Phase I that is still inside the 180-day practice window does not prove sales tax is current. A clearance certificate does not prove the dirt is clean. Buyers who put both in one folder still need two owners: environmental counsel and tax counsel.
If the shop is a manufacturer that never collected tax because every invoice was wholesale, the file can still have use-tax exposure on tooling, consumables, or a prior machine purchase that missed an exemption certificate. That is why the last three years of returns matter more than a slogan about “resale only.”
What this page will not do
It will not invent a list of states or a dollar threshold. Compilations change. Counsel confirms whether the closing state still has a bulk-sale notice, a certificate, or both. Jason Taken is a business broker. He will not file the return or hold the escrow.
The glossary sends you to the owner. After the noun is straight, the conversion path is a confidential intro call. FAQ owns the questions this definition refuses to steal. How it works still starts with tax returns before a plant tour. Returns are how you see whether a successor stub is even plausible. A teaser that hides an open sales-tax audit is a process problem, not a glossary problem.
