Summary

A platform is an operating system that can absorb a bolt. The first file has to export a concentration schedule, survive a quality-of-earnings rebuild, and ship when the buyer is sick. Until those three facts are true, you are collecting shops. Buying a second manufacturer and building a platform is the shorter buy-side tab. The complete guide to buying a manufacturing business is the first-file sequence. This long read is the buy-and-build calendar after that sequence is honest.

Buy a manufacturing business remains the pillar. How it works remains the confidentiality spine for every teaser you touch. Buyer types still do not share an earnings base: an operator building a second plant is not the same animal as a sponsor add-on, even when both use the word platform. Name which class you are before HedgeStone spends seller goodwill.

Climate does not integrate item masters. Fed G.17 manufacturing utilization was 76.0% in July 2026 (Source: Fed G.17). ISM prints live on the outlook page. Neither figure merges two ERPs. Do the systems work or do not buy the second file.

What must plant one prove before anyone opens a second teaser?

Produce a nameless concentration schedule without the seller in the room. Produce won-job versus actual from the ERP. Keep the next certification-body audit on the calendar and staffed. True-up the first peg. If any of those four fails, you do not have a platform. You have a job.

Labor is the constraint everyone underwrites last. Deloitte and The Manufacturing Institute still flag as many as 3.8 million manufacturing hires this decade and 1.9 million at risk of going unfilled (Source: Deloitte/MI). Two thin benches compete for the same people. BLS OEWS May 2025 put national machinist median pay at $58,750 and welder median pay at $53,750 (Source: BLS OEWS). Those are national medians. Your metros will differ. Cross-training on plant one is a prerequisite, not a slide.

Quality systems have to rhyme before they can merge. Get plant one’s next CB audit done before you hand the quality manager a second manual. Customers notice missed audits. Access is a live scope, not a logo on a combined website. Sub-sector hubs keep you from bolting medical molding onto commodity fab and calling it synergy.

How should the plant-two buybox be written?

Name the process overlap, not “another manufacturer.” Name geography you can staff. Name certificates you must have on Monday. Name a concentration ceiling that does not collide with plant one’s hero account. Name whether the two hero customers are competitors. Name the capital path without using leftover government-guaranteed daydreams as the plan.

SBA 7(a) for manufacturing acquisitions still lives inside a $5 million ceiling and SOP 50 10 8’s 10% injection (Source: SBA). A seller note counts toward that injection only on full standby and only up to half. 504 is $5 million standard and $5.5 million on a qualifying small-manufacturer project, with occupancy tests (Source: SBA). Affiliation can still block a casual second stack. Confirm before you exclusive. Rates are lender-specific. This page will not invent a coupon.

Stanford’s 2024–25 search median sat near $16 million, about 6.2x EBITDA, and about 25% margin (Source: Stanford GSB). That is a first-file study shape. It is not a reason to bolt a thin-margin fabricator onto a higher-margin model and call the blend the market. Main Street manufacturing in the 2021–2025 BizBuySell set cleared at 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). Those shops can be add-ons to a larger file. They do not become the platform by themselves.

IBBA Pulse Q1 2026 reported that 83% of deals over $5 million drew three or more offers (Source: IBBA). Use that as a reason to write a cleaner letter, not as a reason to overpay so you “win” plant two.

How should capital, peg, and integration be sequenced?

Working capital on plant two needs its own peg. Seasonality, consignment, and percentage-of-completion methods differ. Working-capital peg and true-up is still the method. Copy-paste from plant one is how you buy rust twice. Count the physical. Write customer-owned tools as a class.

Do not fund plant two with a revolver that assumed plant one’s unused availability. Field exams travel. So do cross-default clauses. Cash at close still has to be cash. Notes and earn-outs still appear when concentration or a certificate is the open item. Do not model an earn-out as a lender repayment source.

Integration is quoting ethics, safety, and the quality manual, not a pizza. If plant one runs a tight process and plant two runs “good enough,” the combined margin will be the worse one until you pick. Do not send a joint customer notice until commercial consent work is done. FAR 42.12 still sits on government novation. ITAR § 122.4(b) still puts a 60-day clock on some defense transfers. Those are calendars. They are not adjectives.

Real estate is two cap-rate decisions if you own dirt, and two occupancy tests if you still want 504. Form 8594 and IRC § 1060 allocation will sit on each applicable asset acquisition. Counsel and a CPA own the forms. Do not let allocation on plant two rewrite depreciation because someone copied plant one’s split.

What labor and climate facts still do not integrate the two plants?

Two logos do not create a hiring brand that fills seats. The decade backdrop remains millions of hires needed and a large slice at risk of going unfilled (Source: Deloitte/MI). If plant one’s programmer is interviewing, you do not have pipeline capacity for plant two. Stop hunting.

Fed 76.0% utilization is climate for both roofs (Source: Fed G.17). It does not mean unused profitable hours exist on either floor. BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Stacking two of those clocks without a bench is how the first file suffers. Manufacturing business valuation still wants a size band on each file. Averaging two cells because they will share a holding company is how people invent a market.

If a post-close headcount change or relocation is on the integration slide, WARN under 29 U.S.C. 2101 is a counsel item. So is any state mini-WARN. Do not treat “efficiency” as a free option on plant two.

The second bite — a later sale of the combined company — is a thesis. Overpaying for plant two to set up that sale spends the bite in advance. HedgeStone will not run a second-plant process for a buyer whose first ERP still cannot export concentration.

When should you walk from a plant-two teaser?

Walk if plant one still cannot export concentration. Walk if the two quality manuals do not rhyme and the quality manager is already late for an audit. Walk if the hero accounts are competitors and there is no consent path. Walk if the capital path is leftover 7(a) hope. Walk if the ERP cannot talk to a second item master without a six-month science project you did not price.

Systems are the unglamorous kill. If plant one still runs a job boss that cannot produce won-job versus actual, you will buy a second whiteboard. If plant two’s travelers do not match packing lists, you will buy a second reconstruction. Price that work in the model or do not exclusive. The complete guide to buying a manufacturing business already said tour last. Plant two does not get an exception because you already own a roof.

Culture is quoting ethics and safety, not a pizza Friday. If plant one refuses jobs it cannot make and plant two quotes anything that fills the bay, the combined book will be the worse habit until you pick. Pick before you wire. A slide that says “we will align processes” is not a pick.

ASTM E1527-21 still supports All Appropriate Inquiries when plant two’s dirt or wet history is in the deal. Two plants are two Phase I decisions if both roofs come with industrial history. A clean Phase I on plant one does not bless plant two.

Worked contrast: a buy-and-build that is a platform and one that is a pile

Illustrative only. Buyer W closed plant one, finished ninety days, exported concentration without the seller, kept the CB audit, and wrote a buybox that names process overlap and a capital path that is not leftover hope. Plant two is a bolt that rhymes. The letter writes a new peg. No joint press release.

Illustrative only. Buyer X is still the estimator on plant one, cannot export the schedule, and wants a second logo this quarter because a map looked neat. Plant two is another job. Calling the pair a platform does not make Monday quoting easier. The honest move is to wait.

The specialist refused to send Buyer X a second teaser.

A last platform habit: write a one-page integration veto list before you see plant two. Items that belong on it include a competing hero account, a quality religion that cannot merge before the next audit, an ERP that cannot export concentration, and a capital path that is leftover hope. If the teaser trips two items, you are collecting. If it trips none and plant one still runs when you are sick, you may have a bolt. HedgeStone will ask for that veto list. HedgeStone will not invent synergy. How it works still gates every teaser you touch. A second roof does not earn a leak. Keep names last. Keep unique fixtures off phones. Keep the joint customer sentence for counsel. The second bite remains a later sale. It is not a multiple you prepay on the first close or the second. Two wage-replacement shops remain two jobs until plant one can export the concentration schedule without the first seller in the room. That extract is the platform test.

Common mistakes this platform guide exists to stop

Hunting during the first ninety days. Copying the peg. Bolting competing hero accounts together. Treating Stanford’s study shape as synergy. Treating leftover 7(a) as a plan. Asking this page to be a credit memo or an appraisal. Jason Taken is a business broker, not your platform COO.

Educational information only. Confirm affiliation, novation, and integration questions with the right licensee. No second close is guaranteed.

If plant one is actually ready, start with a confidential intro call. Email jason.taken@hedgestone.com after that conversation if a second packet needs to move. There is no form.
