Summary

A lower-middle-market manufacturing conversation with a sponsor is an add-on conversation more often than it is a new-platform conversation. The platform already has overhead, a quality system, and a place to put the output. Your plant is the bolt. The bolt has to report earnings a quality-of-earnings team can rebuild. A CIM recast is the start of that conversation. It is not the end.

Selling to PE add-on platforms is the shorter seller tab. How each buyer type prices a manufacturer is the earnings-base fork. Buyer types is the map. The complete guide to selling a manufacturing business is the confidential sequence. This long read is what the sponsor class actually asks once the teaser is honest.

Climate does not create a sponsor multiple. ISM’s August 2026 PMI was 54.6 with a Prices Index of 71.1 (Source: ISM). Fed G.17 manufacturing utilization was 76.0% in July 2026 (Source: Fed G.17). Those sentences belong in a weather paragraph. They do not authorize a “2026 PE manufacturing” turn. Stanford’s 2024–25 search median near $16 million, about 6.2x EBITDA, and about 25% margin is a search-study profile, not a sponsor quote and not a job-shop law (Source: Stanford GSB).

What does a sponsor actually underwrite on a plant?

Adjusted EBITDA after a real general manager is already in the number. A replacement-wage story that still needs the owner to quote is not institutional earnings. Certificates are access, not logos. If losing the scope loses a named share of sales, you have a certificate customer. Concentration is a schedule, not a handshake. The second chair is a named person who can start the scarce job when the owner is not in the building.

Quality of earnings is standard once the earnings base is institutional. Budget the accountant. WIP, add-backs, and percentage-of-completion methods get rebuilt from packing lists if the job-cost file is a whiteboard. Working-capital peg and true-up has to class raw, WIP, finished, consigned, and customer-owned tools before exclusivity. Add-on accounting teams make money back on a sloppy peg.

Deferred capex is cash, not an add-back. A crashed spindle, a crate robot, or a lapsed audit is a chip. Machine-list serials and liens belong in week one. Environmental work still follows All Appropriate Inquiries when dirt or wet process history is in the deal. Schedule it early enough that a recognized environmental condition is a price conversation, not a rumor after the announcement.

When is the sponsor class the wrong room?

When the file lives on seller’s discretionary earnings after a replacement wage and the enterprise value plus fees plus the peg fit a $5 million 7(a) (Source: SBA). That is often an operator conversation. Main Street manufacturing in the 2021–2025 BizBuySell set cleared at 2.75x median SDE on about $268k of earnings (Source: BizBuySell / Iconic). Pasting a sponsor process onto that room wastes seller goodwill and burns confidentiality.

When the owner is the only person who can start the scarce job. Deloitte and The Manufacturing Institute still flag as many as 3.8 million manufacturing hires this decade and 1.9 million at risk of going unfilled (Source: Deloitte/MI). A roster that exists only on a slide is a chip. Sponsors interview the bench. If those interviews require the owner in the room, the thesis was the owner.

When one customer sits in a place the credit file cannot structure. When the certificate is lapsed. When the iron floor plus clean net working capital already exceeds earnings value. Those files can still sell. They sell to a different class. Manufacturing business valuation still wants a size band before anyone invites a sponsor associate.

How should a seller run a process that includes sponsors without naming funds?

Blind teaser, NDA, staged room, customer names last. How it works is the spine. Invite more than one class when the file can support it: an add-on thesis, a strategic who needs the process, and an operator who can finish if the sponsor walks. IBBA Pulse Q1 2026 reported that 83% of deals over $5 million drew three or more offers (Source: IBBA). Treat that as a reason to run a packet more than one class can clear. Do not treat it as a promised bid count, and do not treat it as a reason to publish a fund list.

HedgeStone will not name funds on this site. A sourced press release is the only way a firm name appears here. Invented directories are how pages get cute and wrong. The intro call is where a live file gets a buyer set. Sell my manufacturing business is the decision tree. Exclusive LOI is a prize after the field has been seen.

Rollover equity is common on add-ons. It is a second ticket on one sponsor, not a guarantee of a second bite. Vesting, drag, catch-up, and information rights are counsel’s paper. Earn-outs written on “EBITDA after allocations” let platform overhead eat the second check. If you take paper, write named-account gross profit, a volume floor, and a cap.

What clocks still sit on a sponsor close?

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Quality of earnings, Phase I, certificate transfer, and a peg rebuild sit inside that clock when they apply. ITAR § 122.4(b) still puts a 60-day DDTC notice on many defense transfers involving foreign-person control of a registrant. FAR 42.12 still sits on government novation. Form 8594 and IRC § 1060 still sit on applicable asset acquisitions after counsel chooses the instrument. None of those clocks shorten because a sponsor is in the room.

SBA packaging is usually not the sponsor path. Mention the $5 million 7(a) ceiling only to decide whether an operator should stay in the process as a backstop (Source: SBA). SOP 50 10 8’s 10% injection and the standby-note rule matter to that backstop. They do not become sponsor equity.

Hold period is the platform’s, not yours. Four to seven years is fund math as a habit. It is not a promise that your plant will be resold on a calendar you like. Integration — name, quality manual, customer notice — is their call after close. Price the disruption. Do not pretend a press release is a retention plan.

How should working capital and people be written before exclusivity?

Write classes into the letter: raw, WIP, finished, consigned, customer-owned tools, unbilled projects. A restaurant definition of net working capital invents a six-figure argument after the wire. The physical count is a fact. The LOI date is a target. Working-capital peg and true-up is the method page.

The management presentation is not a second CIM. It is the number two, the quality lead, and the controller answering questions without the owner in the room. If they cannot, price the hire before you exclusive. BLS OEWS May 2025 put national machinist median pay at $58,750 and welder median pay at $53,750 (Source: BLS OEWS). Those are national medians. Your metro will differ. The model should use the plant’s burdened labor. The scarce seat is still a named person.

If a post-close headcount change or relocation is on the sponsor slide, WARN under 29 U.S.C. 2101 is a counsel item. So is any state mini-WARN. Do not treat an “efficiency” adjective as a free option.

What kills an add-on bid after the first meeting?

A quality scope that exists only while the owner is in the building. A commercial book the credit file cannot structure. A recognized environmental condition with no Phase II plan. Iron without serials or liens. A request that this site publish a roster of funds. HedgeStone will still take the intro call. We will not invent a directory, and we will not run a sponsor process on an asset-floor file pretending to be a platform.

Medical molding and commodity fabrication do not share a deck. Read sub-sectors so the add-on thesis matches a real process. A sponsor associate who liked “manufacturing” is not a thesis. Process, certificate, region, or customer overlap is a thesis. If you cannot say which, you are not ready for that class.

Cash at close still has to be cash. Notes and earn-outs appear when concentration or a certificate is the open item. Do not treat rollover as cash. Do not treat a current-pay note as sponsor-grade equity just because someone used the word roll. Counsel owns the paper. The broker’s job is to keep the letter from mixing those instruments.

Buy a manufacturing business is the door if you are the person building the platform. This page is the seller-side read of that class. The two doors do not share a multiple. They share a need for reportable earnings and a second chair.

Worked contrast: a file that belongs in the sponsor room and one that does not

Illustrative only. File R is certified, a plant manager is already paid, top customer is 16%, iron is 2018-and-newer, and earnings are reportable after a real quality-of-earnings budget. Invite an add-on thesis and a strategic in the same two weeks. Write the peg. Keep an operator in reserve only if the box still fits. Do not week-one exclusive.

Illustrative only. File S is an owner-estimator shop, 34% one account, 2007 manuals, and a headline that was called EBITDA until a replacement wage was subtracted. That file lives on discretionary earnings. Test the iron floor. Decide whether an SBA operator is the person who can actually wire. A sponsor associate who wanted a platform will tour and leave. Calling File S “lower middle market” because someone liked the building is how confidentiality gets spent.

The specialist refused to put File S in a sponsor process to feel current.

A last habit for sellers who still want that class: put the second chair in the room before the associate arrives. If the associate has to interview the owner to learn how Monday starts, the thesis was already the owner. Price the hire or pick a different class.

Common mistakes this PE guide exists to stop

Publishing a fund list. Exclusive week-one with a favorite associate. Labeling owner-estimator SDE as institutional EBITDA. Signing an earn-out on allocated platform earnings. Treating climate prints as a sponsor turn. Asking this page to be a securities opinion or an appraisal. HedgeStone will take the intro call. HedgeStone will not invent a buyer directory.

Educational information only. Confirm fund documents, tax on rollover, and credit questions with M&A counsel and a CPA. Jason Taken is a business broker with HedgeStone Business Advisors, not an investment banker.

If the file might belong in that class, start with a confidential intro call. Email jason.taken@hedgestone.com after that conversation if the packet needs to move. There is no form.
