When does a PE add-on platform pay for a manufacturer?
A PE add-on platform buys a manufacturer to sit next to a company it already owns. The underwriting is adjusted EBITDA, quality-system access, customer overlap, and whether the plant can report numbers a fund accountant will live with. It is not a Main Street SDE conversation. HedgeStone will run that buyer set in parallel with strategics and SBA operators when the file can support more than one of them. This page will not invent a roster of firms.
What “add-on” actually means
A platform already exists. The thesis is bolt-on: another process, another region, another certificate, or another customer the platform cannot hire in a year. New-platform PE — a first buy in the sector — usually wants larger EBITDA. Practice, not statute: many published add-on theses start around $1–3 million of adjusted EBITDA; new platforms often want $3–5 million and up (broker rule-of-thumb; confirm against the live buyer). A shop under $1 million of SDE is usually an individual or SBA file even if the owner likes the phrase “private equity.”
The earnings base is adjusted EBITDA after a replacement general manager. If the owner still quotes every job, the add-on is buying a training period. They will price that as a lower multiple, an earn-out, or a walk.
How they price, without blending shops
Size band still governs.
| Size band | What an add-on usually does | What they will not do |
|---|---|---|
| SDE under $1M | Rarely. Individual / SBA clears this band (BizBuySell manufacturing median 2.75x SDE, 2021–2025). | Apply a 7x EBITDA headline to a $400k-SDE shop |
| EBITDA $1–3M | Possible add-on if certs and a second chair exist | Ignore concentration or a lapsed ISO |
| EBITDA $3–10M | Core add-on / small platform territory | Treat GF Data 7.2x as a right (Source: Iconic GF Data recap) |
| EBITDA $10M+ | Platform or large add-on | Skip QoE and customer-consent planning |
GF Data’s manufacturing averages describe a larger-EV series than Main Street SDE (Source: Iconic GF Data recap). IBBA / M&A Source Market Pulse Q1 2026 found 83% of deals over $5 million drew three or more offers (Source: IBBA, 2026). That is an argument for a competitive process, not a promise that a named fund will arrive.
Stanford’s 2026 search-fund median — about $16 million purchase price and 6.2x EBITDA on a ~25% margin company (Source: Stanford GSB) — is a different buyer. Do not confuse a searcher with an add-on just because both say “sponsor.”
Structure habits
Cash at close plus rollover equity is the usual picture. Earn-outs appear when concentration, a launch program, or a disputed add-back needs a bridge. Seller notes appear when the model needs stretch — and they collide with SBA math if you later try to mix products. QoE is standard. Working-capital pegs are written like adults: raw / WIP / FG, E&O, unbilled tools, consigned metal or resin.
Rollover is a second ticket on one hold. Read rollover equity and the second bite. It is not free money and this site does not give investment advice.
Diligence they will actually do
Quality manuals, last CB audits, open NCRs. Customer concentration on T12 and T36, by customer and by part. Machine list with liens. Phase I (ASTM E1527-21) when the dirt or the process history warrants it. IT/ERP access. A second-chair interview. Customer calls late, not in week one. If the plant is ITAR-registered, export counsel is on the calendar before exclusivity.
They will not accept “the shop could run without me” as an add-back. They will not treat a whiteboard job-cost as a QoE.
What to prepare if you want this buyer in the mix
A recast that a QoE can defend. A machine list with serials. Certificates that are current. A number two who can speak without the owner in the room. A concentration schedule that does not wait for diligence week four. Environmental reports if you plated, painted, degreased, or stored solvents.
The process still starts with a blind teaser. Fund associates do not wander the floor in branded fleece during a customer source inspection.
When PE is the wrong exclusive
If orderly liquidation value of the iron plus clean NWC exceeds earnings value, you are in an asset-floor conversation. If one customer is 40% and unsigned, a strategic or a structured SBA deal may clear cleaner. If the owner is the only AS9100 management representative, price a hire before you fall in love with a sponsor deck.
Run strategics, search funds, and SBA buyers in the same process when the file can support them. Exclusive LOI is a prize, not a starting point.
What this page will not do
It will not name private-equity firms. It will not promise a multiple. It will not treat rollover as a guaranteed second bite. It will not describe Jason Taken as a fund advisor. He is a business broker. Valuation still needs a size band and a sub-sector before anyone talks about “what PE pays.”
Climate is not a multiple
ISM Manufacturing PMI was 54.6 in August 2026 with a Prices Index of 71.1 (Source: ISM). Fed G.17 manufacturing utilization was 76.0% in July 2026 (Source: Fed G.17). Those series describe the operating climate. They do not authorize a made-up “2026 PE manufacturing multiple.”
SBA 7(a) still caps at $5 million (Source: SBA). If the only bid that fits is inside that cap, the add-on conversation was a tour, not a market.
Educational information only. Confirm fund documents, tax on rollover, and securities questions with M&A counsel and a CPA.
Working capital and QoE on an add-on
Add-on accounting teams will rebuild WIP. If your job-cost file is a whiteboard, they will rebuild it from packing lists and then chip the peg. Raw, WIP, finished, consigned, customer-owned tools, unbilled projects — write the classes into the LOI before exclusivity. A CIM recast is not a quality of earnings. Budget the accountant once EBITDA is institutional.
Deferred capex is subtracted from cash. A crate robot, a crashed spindle, or a lapsed certificate is not "discussed later." Machine-list serials and liens belong in week one.
People they interview
The number two, the quality lead, and the controller. If those interviews require the owner in the room, you do not have a second chair. Deloitte/MI's 3.8 million / 1.9 million labor figures (Source: Deloitte/MI, 2024) are the backdrop. BLS OEWS May 2025 machinist and welder medians (Source: BLS OEWS) are context. Your bench is the fact.
When we decline to run a sponsor process
Asset-floor files. Owner-only certificate files. One customer at 40% with no structure. A seller who wants a named fund list on a public page. HedgeStone will still take the intro call. We will not invent a buyer directory.
Read the hubs at sub-sectors so the add-on thesis matches a real process. Medical molding and commodity fab do not share a deck.
Parallel process is how an add-on bid stays honest
An add-on thesis is bolt-on process, region, certificate, or customer. It is not a Main Street SDE conversation. Run strategics and SBA operators in the same process when the file can support them. IBBA's three-or-more-offers figure on larger deals is climate for competition, not a promise a named fund will arrive (Source: IBBA).
How an add-on hold period changes the letter you should sign
An add-on is bought to sit inside a platform that already has overhead, a quality system, and a buyer for the output. The hold period is the platform’s, not yours. Earn-outs written on “EBITDA after allocations” let that overhead eat the second check. Write named-account gross profit, a volume floor, and a cap if you take paper.
Working capital is where add-on accounting teams make their money back. Raw, WIP, finished, consigned, and customer-owned tools have to be classed in the LOI. A whiteboard job-cost file becomes a peg fight. BizBuySell’s 223-day manufacturing median is the planning clock; QoE sits inside it (Source: BizBuySell).
Run a strategic and an SBA operator in the same process when the file can support them. A platform exclusive in week one is how you learn the add-on bid was the only bid. IBBA Q1 2026 still argues for competition on larger files (Source: IBBA). HedgeStone will not name funds or invent a multiple.
What the management presentation has to survive
The presentation is not a second CIM. It is the number two, the quality lead, and the controller answering questions without the owner in the room. If they cannot, the add-on thesis was the owner. Price the hire before you exclusive. The longer lower-middle-market PE guide covers sponsor underwriting on plants without naming funds.
