Why does a blended 'all-in' number fail both credit committees?

The 7(a) committee reads cash flow after market rent. The 504 or real-estate committee reads an appraisal of the dirt. A blended CIM number that "includes the building" is a number neither committee can use. Industrial values and cap rates already refused a national yield. Buying with 7(a) already stated the $5 million operating cap. This page is the simultaneous-close version.

SOP 50 10 8 still wants a 10% injection on change-of-ownership 7(a) files, with a seller note counting only on full standby and only up to half that injection (Source: SBA). That cash math does not pay the 504 special-use extra equity. Add the stacks. Do not average them.

How should holdco, opco, and the deed be drawn before anyone writes an LOI?

Many buyers put the building in a real-estate LLC and the company in an operating LLC, then lease internally at a rent both lenders will believe. That is a structure, not a tax plan — tax counsel still has to bless it. Owner-occupied plants described the seller's side of related-party rent. On the buyer's side, the same reset applies going forward.

Jason Taken does not convey the deed. A licensed real-estate broker handles that piece in every state.

What environmental and allocation items show up only because the deed is moving?

Property condition becomes the buyer's residual. A lease-only buyer could have walked from a REC. A deed buyer owns the question. New Jersey ISRA can attach to an industrial-establishment transfer in that state. Do not invent a copy for a 504 in Georgia.

Form 8594 / IRC § 1060 must match the carve-out. Land and building on the deed side, machinery on Class V, goodwill on VI/VII. A buyer who wants depreciable iron and a seller who wants capital-gain intangibles will fight. That fight is tax counsel's. The broker's job is to keep the story from changing between the CIM and the form.

Transfer taxes are local. They sit on the deed closing statement, not as an SDE add-back.

When should the buyer refuse the dirt and rent instead?

If the appraisal and the asking price for the plant cannot be financed inside 504 caps and occupancy, if a REC needs a remedy the seller will not fund, or if the building is the wrong product for the process, rent is the adult answer. A sale-leaseback or a third-party lease can still close the company. Pride about "owning the brick" is not a credit memo.

Searchers looking at Stanford 2026 medians (~$16 million, ~6.2x EBITDA) sometimes have investor equity for a holdco. Individual buyers under the 7(a) cap often do not. Same plant. Different stack. Write the one you can fund.

two stacks, two appraisals, one close calendar if you build it.

What does a 35-person molder with a $2.4 million building and a $1.8 million company look like as one close?

Operations indicated near $600,000 of adjusted SDE after market rent — a Main Street plastics cell, not a Stanford search-fund cell. The building is a 34,000-square-foot existing plant the buyer will occupy entirely, so the 51% test is not the drama. Drama is two appraisals, a 7(a) injection, possible special-use equity on the 504, and a Phase I that is seven months old. Sequence the reports so neither committee waits on the other. Combined SBA-backed context can reach $10 million after the 2026-07-04 notice (Source: SBA / NAGGL). This file may not need all of that. It still needs two prices.

If the seller's related-party rent was zero, the $600,000 did not exist until someone inserted market rent. Insert it before the LOI.

Jason Taken is a business broker. He does not make loan decisions, appraise plants, or file Form 8594. Educational information only. Buy the company and the plant as two instruments, hire the licensed real-estate broker for the deed, and let the CDC apply published 504 caps and occupancy fractions to the building you will actually occupy. Data current as of September 2026.

A two-stack close week that keeps one confidentiality wall

Monday. Confirm the seller will convey the deed. If not, stop using this structure.

Tuesday. Split workstreams: company counsel and real-estate counsel. Share a calendar, not a single unlicensed person.

Wednesday. Order or refresh the business valuation and the plant appraisal. They do not reuse each other's pages.

Thursday. EP clock-checks the Phase I. 180 days is not a suggestion.

Friday. Line up 7(a) injection cash and any 504 extra equity so the LOI does not assume a 10% fairy tale on both.

Badges. Appraiser and CDC look like vendors. They do not wear the bank's name on the floor.

How should working capital, tax prorations, and security deposits stay in the correct column?

Inventory and AR sit in the company peg. Real-estate tax prorations, association dues, and any tenant deposits sit on the deed statement. Mixing them is how a "clean" true-up becomes a fight. If a third-party tenant remains in a back bay, their deposit is not your working capital. If you occupy 100%, there should be no tenant deposit to argue about.

Write both statements before week twelve. How it works is the sequence. This page is the two-column version.

What insurance day-one gaps appear only on deed-plus-company files?

The operating policy does not automatically become the landlord policy. Property, flood if mapped, and any environmental policy the lender wants must name the right entities. A holdco that owns the dirt and an opco that runs the presses are two named insureds. Bind them before the wire, not after a weekend storm.

Loss-payee language should match the 504 first-lien bank. Ask the insurance broker to read the commitment, not the CIM.

How should a platform buyer treat a second plant they already own?

Affiliation can cut 504 capacity. Occupancy is measured at the project building, not at the platform's other address. A buyer who plans to shift work to Plant A and treat Plant B as overflow can break the 51% story they just certified. Speak the operating plan the CDC will later see on a site visit. HedgeStone will not help anyone certify occupancy they do not intend to keep.

IBBA Pulse Q1 2026's 83% three-plus-offer figure on >$5 million deals (Source: IBBA) means a clean two-stack file still has competition. Clean beats blended.

How should a simultaneous close handle two title companies and two sets of payoff letters?

The company close needs UCC payoffs and a good-standing packet. The deed close needs mortgage payoffs, tax proration, and a title policy. If one title company tries to do both without the right licenses and the right commitments, something will be missed. Name both files on a shared checklist. Wire instructions should be labeled so the 504 first-lien bank is not accidentally paid from the working-capital true-up.

Sellers who have used the building as collateral for a personal line must produce that payoff too. "I forgot about the HELOC on the plant" is a real sentence. Ask for the title commitment early.

What survey exceptions and reciprocal easements show up when the plant shares a park?

Shared detention ponds, cross-parking, and a private road maintained by an association can bind the occupier to rules a 504 file has to live with. Read the declarations. A use restriction that forbids painting or outside storage can kill the process you just toured. Reciprocal easements that let a neighbor's trucks cut the dock court are a capacity fact. None of this sits inside a 2.75x SDE cell.

If the association can lien the lot for unpaid dues, the 504 bank will want to know. So should the buyer who thought they were only buying a building and a book.

How should spare land and a future expansion pad be priced without stuffing it into goodwill?

Extra acres are real estate. They are not "upside" hiding in the operating multiple. If the pad is buildable and the buyer wants it, put it on the deed stack and let the appraiser treat it as surplus land if that is the standard they are using. If the pad is a wetland or a tank field, it is not a pad. The EP and the surveyor speak before the CIM calls it expansion.

Buyers who tell a CDC they will occupy 51% today and build on the pad next year have two projects. The second one has its own occupancy test if it is new construction — generally 60%. Do not blend those sentences.

When is an all-cash deed plus a financed company the cleaner two-stack?

When 504 occupancy fails, when the building is odd, or when the buyer has equity for the dirt and needs 7(a) only for goodwill and iron. Cash on the deed removes a CDC clock. It does not remove Phase I, title, or the licensed real-estate broker. It also does not let you bury the cash in the operating multiple as if the building were free.

Write the sources of funds on two lines. HedgeStone will not send a blended funds memo to two committees and hope they sort it out.
