Ohio overlay on a Cincinnati, OH-KY-IN label

Census CBP 2023 counted 13,307 Ohio manufacturing establishments, rank 5, 689,133 jobs, a 51.8-person average, 60.9% under 20, and 1.50% at 500-plus. National context is 284,452 establishments and 68.4% under 20. Those cells are an Ohio state file. They are not a Cincinnati print. BLS CES publishes metro manufacturing employment; this site does not invent a CES cell.

Statute follows the plant address. An Ohio deed uses the Ohio sell page. A Northern Kentucky deed uses the Kentucky sell page — Kentucky’s own CBP row is 3,669 shops, a 70.1-person average, 59.4% under 20, and 2.62% at 500-plus, with mini-WARN listed N. The city directory is the map. The closing-state page is the overlay.

Owners who want to sell a manufacturing business still sit in auto and mobility suppliers, polymers, metal fabrication, food, and aerospace components — qualitative clusters only. Do not invent a NAICS split for a west-side teaser. A Hamilton metal shop and an east-side food plant share the fifth-place Ohio cell only if both deeds are Ohio.

Climate series stay in one sentence: August 2026 ISM at 54.6, July 2026 Fed G.17 utilization at 76.0%. Neither print becomes a river-city premium.

Northern Kentucky is a different closing file

Say the state in the first process memo. If the dock sits south of the river, Ohio mini-WARN does not travel with the MSA nickname. Kentucky brokerage has no dedicated rule widely cited in the 2026 table. Ohio’s table lists mini-WARN Y and no dedicated RE-for-business rule widely cited. Counsel confirms both files against the address.

Sellers comparing a central-Ohio book can read Columbus. That page is still an Ohio overlay. It is a different process book than a west-side Cincinnati supplier file. Do not borrow a Cleveland auto sentence onto a Hamilton polymer shop.

When does Ohio mini-WARN attach to a west-side plant?

When the deed is Ohio and counsel says the facts trip the listed Y cell. This page will not invent a west-side headcount. Federal WARN still tests 100 or more full-time employees and a 60-day window (29 U.S.C. § 2101). Employment counsel layers the Ohio cell on the federal test. WARN is the longer briefing. A 51.8-person average Ohio shop may miss the federal test and still need a state-law read. A 1.50% 500-plus plant may trip both. A stock sale does not retire the calendar.

A Northern Kentucky plant does not inherit that Ohio flag. Write the Kentucky overlay instead of copying a neighbor’s clock.

A west-side mobility file that still has the owner quoting every job needs a replacement-wage recast before anyone talks a river multiple. A Northern Kentucky supplier file needs the Kentucky row in the same memo — 3,669 shops, a 70.1-person average — not Ohio’s 13,307. Those two sentences are the sale. Everything else is a packet. Do not let a Hamilton polymer shop inherit IATF language it does not have. Do not let an east-side food plant inherit a mini-WARN Y cell that belongs only to an Ohio deed. Quiet process still means an unnamed teaser, a staged room, and late customer names. Name Cincinnati, OH-KY-IN as a region. Do not name the dock, the setup person, or the mobility program manager until counsel says the NDA is enough.

Hamilton and east-side process books

Name the process before you name the bank. West-side metal and mobility suppliers carry IATF questions and unfinished jobs. East-side food carries code dates and wash-down. Hamilton polymer-adjacent shops carry finishing history. Northern Kentucky suppliers carry Kentucky cells even when the buyer’s hotel is in Ohio.

Quiet process still follows how it works: unnamed teaser, NDA, staged room, late customer names, scripted tours. Most of Ohio’s 13,307 shops should stay off a public board. Name Cincinnati, OH-KY-IN as a region. Do not name the dock.

Walk the floor after the recast and the serial-level machine list survive a first screen. Skip a customer-audit week. A phone in a west-side aisle is how a setup person walks.

Manufacturing business valuation does not grow a river-city turn out of Ohio’s 51.8-person average. Coatings, food, and polymer finishing still get Phase I under ASTM E1527-21 (Source: EPA / 40 C.F.R. Part 312). Both the Ohio and Kentucky tables mark environmental transfer N. That missing ISRA-style statute is not a holiday for a Hamilton finishing bay. Components generally stale after 180 days. Phase II follows the recs, not the skyline.

Price comes after that honesty. BizBuySell published a 2.75x median manufacturing SDE on roughly $268k discretionary earnings. The same review’s 223-day median is a planning number, not an east-side promise. Larger files discuss adjusted EBITDA in national bands. Do not blend those rooms because the teaser used a river skyline.

Pricing without a river-city turn

IBBA Q1 2026 found 83% of transactions over $5 million drew three or more offers. On a west-side mobility file that print is a reason to run more than one buyer type. Operators still recast to SDE. Auto-adjacent add-ons recast to EBITDA and IATF access. Food operators recast to slots. A $400k-SDE Hamilton shop does not inherit that bid count.

Do not open a west-side CIM until three years of returns, YTD, and documented add-backs can survive a first screen, and the machine list is lien-clean. Write inventory classes in the working-capital peg before exclusivity. IATF 16949 and customer PPAP are access gates on an Ohio-deed plant near the 51.8-person state average. A lapsed card is a customer problem first.

SBA 7(a) still caps at $5 million. SOP 50 10 8 still wants a 10% cash hole. If a west-side mobility file only pencils when a current-pay note is relabeled as injection, say so before a searcher spends a quarter.

Sales tax on M&E is MfgEx / Occ on the Ohio table. Bulk / successor is F. A CPA still writes the exemption sentences. Form 8594 and IRC § 1060 stay federal. Real estate is a second price. Cheap related-party rent in Hamilton is a gift to the first letter.

A stock sale does not retire Ohio mini-WARN when the facts fit, and it does not retire Kentucky’s different table when the dock sits south of the river. Tell employees and customers on a planned day, usually late, with a script. A phone in a Hamilton aisle is how a setup person walks and a mobility customer rebids. The MSA nickname Cincinnati, OH-KY-IN does not write that script.

Indiana dirt inside the same MSA nickname is a third overlay if the deed is Indiana. This page will not invent an Indiana plant count or an Indiana city overlay. If the address is Indiana, use the Indiana state page and stop borrowing Ohio mini-WARN. The river is a commute. The deed is the file.

West-side mobility suppliers often still hold related-party real estate. Put a market rent in the recast before anyone talks SDE. Cheap Hamilton rent is a gift to the first letter. Company-plus-plant, company-plus-leaseback, and a third-party landlord are three prices. A $4 million building next to a $1.2 million operating company is not “mostly a river deal” because the teaser used a skyline.

IATF 16949 and customer PPAP are access gates on a 51.8-person average Ohio plant. A lapsed card is a customer problem first. Food operators recast to slots, not to IATF. Polymer-adjacent shops recast to finishing history. Do not let the fifth-place Ohio rank merge those packets. Inventory classes — raw, WIP, finished, consigned, customer-owned tools — belong in the peg before exclusivity. Unfinished program jobs are not finished goods.

Allocation on Form 8594 / IRC § 1060 stays federal and does not retire the closing-state tax sentences. Occasional-sale treatment on machinery is a CPA sentence in Ohio or Kentucky, whichever deed actually closes. Counsel confirms Ohio mini-WARN facts, the Kentucky overlay when the dock sits south of the river, MfgEx / Occ, and AAI. Educational information only. Jason Taken is a business broker.
