Name Ohio or Kentucky before the drive
Buy a manufacturing business is the nationwide pillar. This page is a river-city overlay on the Ohio buy page when the deed is Ohio, and on the Kentucky buy page when the deed sits south of the river. Quote Ohio’s row if that is the address: 13,307 shops, 689,133 jobs, 51.8 average, 60.9% under 20, 1.50% at 500-plus (Source: Census CBP). Quote Kentucky’s row if that is the address: 3,669 shops, 257,247 jobs, 70.1 average, 59.4% under 20, 2.62% at 500-plus. Do not invent a Cincinnati establishment print. BLS CES exists; this site does not print a CES cell.
Write process, size band, certificates, a concentration ceiling, real-estate stance, and a capital path. “Any Cincinnati manufacturer” is not a buybox. HedgeStone will not spend seller goodwill on a west-side-to-Hamilton search without those lines.
How it works still puts returns before a tour. The sell page is the owner’s voice. Buyers comparing a central-Ohio book can read Columbus. The city directory keeps the slug honest.
West-side metal versus Northern Kentucky suppliers
West-side metal and mobility suppliers carry IATF questions. East-side food carries slots and wash-down. Hamilton polymer-adjacent shops carry finishing history. Northern Kentucky suppliers carry Kentucky notice and tax cells even when your hotel is in Ohio. Write one packet.
| First diligence question | Ohio deed | Kentucky deed |
|---|---|---|
| Which CBP row? | 13,307-shop Ohio file | 3,669-shop Kentucky file |
| Mini-WARN flag? | Y — counsel reads facts | N in the 2026 table |
| Average-plant backdrop? | 51.8 persons | 70.1 persons |
| 500-plus share backdrop? | 1.50% | 2.62% |
Federal WARN still tests 100 full-time employees and 60 days if you later cut or move work. Ohio mini-WARN is listed Y on an Ohio address. Kentucky’s table lists N. Do not invent a headcount. Do not copy a New York 50/90 cell onto either file. WARN is the longer briefing.
Write the buybox as if the river were a state line, because it is. Process, size band, certificates, concentration ceiling, real-estate stance, capital path, and the closing state. Seven lines. “Any Cincinnati manufacturer” is none of them. A west-side IATF shop and an east-side food plant can share a hotel and still need different QoE scopes. A Northern Kentucky supplier can share the same hotel and still need Kentucky’s 70.1-person backdrop instead of Ohio’s 51.8. HedgeStone will not send a radius dump from Hamilton to the south bank. Returns still come before a tour. Serials still come before a walk. The peg still comes before exclusivity.
Should the letter assume an Ohio mini-WARN clock?
Only after the deed is Ohio and counsel says the facts fit. A Northern Kentucky cut thesis that borrows Ohio’s Y cell is a broken letter. A 51.8-person average Ohio shop may miss the federal 100-person test and still need a state-law read. A 70.1-person average Kentucky shop is a different backdrop — still not a city headcount.
This research file does not publish a Cincinnati wage series. Read national BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 — then price the plant’s actual burdened labor (Source: BLS OEWS).
A west-side coating bay or a Northern Kentucky finishing line still gets Phase I under ASTM E1527-21 (Source: EPA / 40 C.F.R. Part 312). Both tables mark environmental transfer N. That missing ISRA-style statute is not a skip. Components generally stale after 180 days.
Write the peg before anyone counts. Name raw, WIP, finished, consigned, and customer-owned tools. Unbilled first-article hours are not finished goods. Put the method in the LOI.
Capital and occupancy on a split-state MSA
The river does not change the national box. SBA 7(a) for manufacturing acquisitions still caps at $5 million with a 10% injection under SOP 50 10 8 (Source: SBA). A seller note on full standby can cover only half of that cash hole. Do not treat a west-side IATF list as equity.
504 is the occupancy product when you will occupy the plant — $5 million, or $5.5 million on a qualifying small-manufacturer project. A warehouse you will not occupy dies. Write whether the dirt is Ohio or Kentucky before anyone talks 504.
Valuation stays on national size bands. BizBuySell’s manufacturing median 2.75x SDE is Main Street (Source: BizBuySell). The 2025 review’s 223-day median staffs QoE and a Phase I. It is not an east-side close date. IBBA’s Q1 2026 print that 83% of deals over $5 million drew three or more offers explains crowding on larger supplier files. It is not a Cincinnati turn.
Serials and the UCC search before anyone walks a Hamilton bay. Order FMV, OLV, and FLV as three numbers. When cleaned working capital plus the iron floor sits next to asking EV, stop paying for a river-city story. Concentration above about 25–30% of sales is still structure.
Sales tax on M&E is MfgEx / Occ on both tables. Bulk / successor is F. A CPA writes the exemption sentences in the closing state. Form of deal is counsel’s file.
What Cincinnati buyers skip
They skip naming the state. They skip splitting west-side metal from east-side food. They invent a metro shop count. They copy Ohio mini-WARN onto Kentucky dirt. They treat Cincinnati, OH-KY-IN as a multiple.
ISM’s August 2026 PMI of 54.6 and Fed G.17 July 2026 capacity utilization of 76.0% describe the year. They do not underwrite a Hamilton whale.
Jason Taken is a business broker. If the engagement required a license and lacked it, counsel should say so before you rely on the CIM. HedgeStone will not invent listings against either state file. We will not send a letter the 7(a) box cannot carry.
Indiana dirt inside Cincinnati, OH-KY-IN is a third closing file if the deed is Indiana. This page will not invent an Indiana plant count. If the address is Indiana, open the Indiana buy page and stop pasting Ohio mini-WARN into the letter. The hotel can sit in Ohio. The overlay cannot.
IATF and customer PPAP are access gates on a west-side mobility file. A lapsed card is a hole, not a pricing footnote. East-side food does not inherit that gate because it shares a river. Northern Kentucky suppliers do not inherit Ohio’s Y cell because they share a MSA nickname. Write the certificate list and the state in the same paragraph.
ABL dies when the exam kicks food WIP or unfinished program jobs. Equipment debt dies on a hidden UCC. Seller paper dies when it is standby theater. Occupied Hamilton dirt can use 504; a warehouse you will not occupy cannot. When cleaned working capital plus the iron floor sits next to asking EV, stop paying for a river-city story. Thirteen thousand three hundred seven Ohio shops do not hide a whale, and this page will not invent a Cincinnati subset of that file.
The 90 days after the wire are floor work. Keep the people who quote. Lock the accounts you underwrote. Count inventory again. Put maintenance on a calendar. If you later cut, open the WARN briefing against the deed’s state, not the MSA nickname. A 51.8-person average Ohio shop and a 70.1-person average Kentucky shop are different backdrops. Neither is a city headcount you can assume from a west-side photograph.
Form of deal is counsel’s file. Buying assets can drop unknown liabilities and can also force new IATF listings. Buying stock can keep the contracts and keep every liability stapled to them. Jason Taken is a business broker. Cincinnati files still need counsel, a CPA, a lender, and qualified environmental and M&E professionals on the listed cells. Nothing here is a guarantee.
A written capital path still belongs in the same memo as the closing state. If 7(a) cannot carry enterprise value plus fees plus the peg, say so before a searcher spends a quarter on a west-side tour. If 504 cannot attach because you will not occupy Hamilton dirt, say that too. Northern Kentucky occupancy is a Kentucky 504 question, not an Ohio slogan.
Quality certificates and customer PPAP still decide whether a west-side room opens. A lapsed card is not a footnote you fix after exclusivity. East-side food still decides whether sanitation leads stay. Northern Kentucky still decides which notice table you read. Write those three facts on one page before anyone drives. A 51.8-person Ohio backdrop and a 70.1-person Kentucky backdrop are published state cells. They are not headcounts you can read off a west-side photograph, and this site will not invent a CES print to fill the gap.
Hamilton polymer-adjacent shops still need finishing history in week one. East-side food still needs wash-down honesty. Write the deed state before either packet.
