Does Florida treat a plant sale as business-enterprise brokerage?

Usually, treat it that way until counsel says otherwise. Compilations we checked put Florida with the states whose broker definition covers business enterprises (Midwest Brokers). Business-broker licensing by state is the longer comparison. Jason Taken is a business broker. If the building transfers, a licensed real-estate broker still handles the deed. A license answer is not a selling price.

Owners who sell a manufacturing business here often assume a company sale and a building sale are the same card. They are not. The enterprise wording is the company-sale question. The deed is a second question. Do not copy a neighbor state’s rule onto a Florida engagement.

How small is the typical Florida shop?

Florida ranked third in the latest Census County Business Patterns, 2023 file, with 14,341 manufacturing shops (Source: Census CBP). Those locations employed 358,707 people — only 25.0 per shop. 79.2% of the shops have fewer than twenty employees, versus 68.4% of the 284,452 U.S. plants. Only 0.56% have 500 or more employees.

That mix is the sale story. Third place sounds like scale. Twenty-five people per shop says most owners still quote, program, or close every job. Aerospace and space suppliers, food plants, fabricated metal, marine work, and medical devices sit in the same statewide number. They do not share customers, certificates, or a buyer list. Sub-sector hubs keep those packets apart.

If the plant is on the Gulf, use sell a manufacturing business in Tampa. South Florida files use sell a manufacturing business in Miami. Central Florida files use sell a manufacturing business in Orlando. Jacksonville and the Space Coast are regions we name in a confidential teaser. A marine customer can still hear about a Jacksonville file before any listing appears.

What still binds a Florida letter after the license question?

Florida does not use a New Jersey-style environmental transfer act. That does not waive All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces of that report generally go stale after 180 days. Marine coatings, food chemistry, metal finishing, and medical wet processes still go to Phase I and, if needed, Phase II. Skipping the study because “Florida has no transfer act” is how a buyer’s counsel stops a close.

Sales tax on machinery is often discussed as a manufacturing exemption or an occasional-sale question. Successor tax is fact-dependent. A Florida CPA writes those sentences. HedgeStone will not.

A buyer who wants 7(a) money still has to fit the SBA box: $5 million and a 10% injection under SOP 50 10 8. Standby seller paper can cover only half of that injection, and only if it stays on full standby for the whole loan. An Orlando food file that cannot live there should say so before Tampa tours start.

Florida does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 25-person average shop often sits under that federal test. A plant in the 0.56% large-employer tail may not.

How do you keep a Florida sale off the waterfront?

How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Marine files leak through a yard manager. Food files leak through a slotting clerk. Aerospace files leak through a quality buyer who already quotes the same program. Name a region — Tampa Bay metal, Miami marine, Space Coast supply — not a slip number. Skip a customer-audit week.

Public marketplaces create inbound and screenshots. On a map where most shops have fewer than twenty people, the default is still a controlled list. A third-place shop count does not make a public listing safe.

Employees hear on a planned day, usually late, with a script. WARN is the federal notice page. Do not import another state’s headcount trigger onto a Florida file.

Manufacturing business valuation stays national. After the license question and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Miami promise. A medical-device supplier with reportable EBITDA does not belong in that SDE room.

IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On Florida’s thin large-plant tail that pattern is uncommon. It is not a bid on a $250k-SDE Orlando shop. Buyer types recast differently — operators to SDE, aerospace add-ons to EBITDA, food buyers to the slot — and this site still will not name those firms.

Which Florida folders have to be ready before a tour?

Marine unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Tampa letter and the true-up will invent a fight after the wire.

The complete guide to selling a manufacturing business is the national sequence. This page only adds Florida license, shop-size, and notice facts.

The building is a second price. Company plus plant, company plus leaseback, and a landlord already in place are three different letters. The enterprise-brokerage question and the real-estate card are two different questions.

National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Tampa wage series. If the file cannot name who quotes Miami work when the owner is gone, it is not ready for a tour.

Aerospace hides program consent. Food hides code dates. Fabricated metal hides coatings. Marine work hides yard chemistry. Medical devices hide quality systems. Write those packets separately. The 358,707-employee count does not turn them into one “Florida manufacturing” story.

Related-party rent in Tampa or Miami that sits below market is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when an Orlando building transfers.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Space Coast premium. Most of the 14,341 shops still have fewer than twenty people. Jacksonville belongs in the second sentence of a teaser, never in the first. On a 25-person average, a slip address is a leak.

Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Florida CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the license question and the environmental inquiry. No Tampa close date is promised.

A Miami marine book that still depends on one owner to bid every haul-out is not “a 25-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any Florida shop,” send them away. Third place in the Census file does not repair that buyer list.

A Florida food earn-out that is not named-account gross profit will be re-traded. Floor it. Cap it. A seller note with current pay is credit, not SBA equity. A 38% customer buried behind the recast still shows up in the purchase agreement.

Third place on the Census map is a sourcing fact, not a Gulf Coast multiple. The matching buy-side door is buy a manufacturing business in Florida. Book a confidential intro call when the recast and the enterprise-license question can travel.

A Space Coast supplier that still depends on one program manager to release every traveler is not “a 25-person plant” just because the Census average is 25. Name who quotes, who programs, and who holds the top three accounts before anyone talks seller discretionary earnings. Marine unfinished jobs hide in the yard. Food unfinished jobs hide in the freezer. Those are two different working-capital fights. The 14,341-shop count does not merge them. If a Jacksonville customer can walk the dock without an NDA, the teaser is already too loud.
