What buybox fits Florida’s small-shop base?

Florida’s buybox starts with marine, food, space supply, or metal — not a radius. Name the process — aerospace and space, food, fabricated metal, marine, medical devices — not “manufacturing.” Write the earnings number, the certificate, a concentration cap, and whether a 25.0-person shop is lease or buy. Buy a manufacturing business is the nationwide pillar. This page is the Florida overlay on a 14,341-shop Census CBP file.

HedgeStone will not send you every employer establishment in the 14,341-count file. Sub-sector hubs keep the search from becoming a radius dump from Miami to Jacksonville. A food plant and a marine shop do not share a diligence packet because they share a state. Average headcount in the Florida cell is 25.0. The under-20 share is 79.2%. The 500-plus share is 0.56%. Those cells describe a small-shop map. They do not describe your letter.

Tampa, Orlando, Miami, Jacksonville, and the Space Coast are search filters only. None of those names have a city page here. Do not price a Jacksonville bay as if Miami rent were a multiple. Stay-put buyers should write the drive time; relocating buyers should write who quotes after they land.

Wages you may not invent for Florida

The research file does not publish Florida manufacturing wages. Use national figures and then open the plant’s burdened payroll. Do not invent a Miami machinist print and paste it onto a Jacksonville fabricator.

No Florida OEWS cell lives in the research file. Use May 2025 national medians $58,750 / $53,750 and the shop’s burden (Source: BLS OEWS). They do not decide whether the second-shift lead in a 25.0-person Florida shop will stay. On a 25.0-person Florida file the bench is four people, not a hiring-study slide.

I-9s and OSHA logs are priced items. Florida mini-WARN is N. Federal WARN still tests 100 full-time employees if you later consolidate. Florida mini-WARN is N in the 2026 table. Do not invent a state headcount. Do not copy a New York 50/90 cell onto Florida. Buyers who want that overlay can read New York separately.

Capital paths on a Florida plant

SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short. A 25.0-person Florida shop still has to fit the national product.

A 25.0-person Florida shop still has to fit published 7(a): $5 million max and a 10% change-of-ownership injection (SBA). Standby is the only seller-note path into that 10%. Principal or interest during the 7(a) kills the equity label. A note that pays the seller every month is credit, not equity.

504 is the Tampa or Space Coast building product if you will occupy it. Combined programs still are not a $15 million cash-out on a thin check against a Space Coast supplier.

Diligence on a 25.0-person Florida shop

Tax returns still precede a Tampa or Jacksonville tour. How it works does not change because Florida ranks third. The sell page speaks for the owner. Buyers underwrite a 14,341-shop Census CBP map that employs 358,707 people at a 25.0 average, with 79.2% of shops under 20 employees.

Phase I and Phase II follow ASTM E1527-21 and All Appropriate Inquiries (Source: EPA). Environmental transfer is N. That is not a holiday on a coating bay in Orlando or a food plant west of Miami. Recognized environmental conditions on solvents or tanks are a Phase II budget. Do not invent an ISRA clock because a sibling page had one. Components generally stale after 180 days.

Licensing matters when the file was sold as a business enterprise. Florida’s 2026 briefing cell marks the broker definition as covering those sales. If the engagement required a license and lacked it, counsel says so before you lean on the CIM. The deed is a separate card if you take title. Jason Taken is a business broker.

Freeze the peg in the letter. A 25.0-person marine shop can look asset-rich and still be a working-capital problem. Customer-owned molds are not your borrowing base. Seasonal food WIP is not retail inventory. The 0.56% 500-plus share does not turn a thin shop into a platform.

Who else prices a Tampa or Space Coast book

Buyer types will not share your letter’s math. A space-supply add-on will not pay a program multiple for an owner-quoted metal shop in Jacksonville. A searcher who imported a high-margin study print will mis-price a 25.0-person food plant. Anyone who needs SBA 7(a) will leave when price plus fees plus the peg miss the $5 million published max.

Valuation stays on national size bands. BizBuySell’s 2.75x SDE manufacturing median is Main Street (Source: BizBuySell). Florida’s third-place establishment rank is not a reason to paste a sponsor multiple onto a $350k-SDE shop. IBBA’s Q1 2026 finding that 83% of deals over $5 million drew three or more offers is a crowding fact on larger files. It is not permission to invent a Florida multiple.

Certificates are Monday access. AS9100 on a Space Coast supplier and SQF on a Tampa food plant are different cards. Marine work and medical devices do not share a diligence packet because they share a 14,341-count map.

HedgeStone’s Florida sourcing rule

Jason Taken will write the buybox down, cut Miami-to-Jacksonville radius language, and source quietly. HedgeStone will not invent listings against the 14,341-shop file. We will not hide a business-enterprise license question or a lapsed certificate because the Orlando cell photographed well. We will not send an LOI a 7(a) lender cannot fit on a 25.0-person average shop.

A CIM that leads with bay square footage on the Space Coast is a brochure. A scorecard that shows late launches is the book. Ask for on-time delivery, defect rates, and whether the next program is priced. A 28% customer can be a 50% platform after one OEM cut. Structure that with an earn-out, a holdback, or a walk.

Quality of earnings rebuilds job-cost versus tax. Space files hide launch years as run-rate. Food files hide a single slotting peak as “normalization.” Add-backs that survive have documents. If the report kills a turn of earnings, the price moves or you leave. Name who pays for QoE and how long exclusivity lasts if the report slips.

Why does a Florida buyer freeze classes before the 90-day clock?

Write raw, WIP, finished, consigned, and customer-owned tools before anyone counts in Tampa. Unbilled first-article hours on a marine or device file are not finished goods. The close count should be physical. Cycle-count theater is how buyers overpay for rust in a 25.0-person shop. The peg language belongs in the LOI, not in a handshake.

After the wire, the first 90 days are floor work. Keep the estimator. Lock the accounts you underwrote. Count inventory again. Put maintenance on a calendar. Federal WARN can still apply if you later cut or move work at 100 full-time employees. Florida mini-WARN is N in the 2026 table; N is not a holiday speech. If you bought with 7(a), the $5 million box and the 10% injection are already behind you (Source: SBA). In front of you is whether the owner’s quoting rules vanish on a Jacksonville floor.

BizBuySell’s 2025 manufacturing median close was 223 days (Source: BizBuySell). Use it to staff QoE and a Phase I on a wet process. It is not a promise. Stanford search-fund medians assume a margin profile most 25.0-person shops do not have. ISM’s August 2026 PMI of 54.6 and Fed G.17 July 2026 capacity utilization of 76.0% belong in a memo. They do not price a Miami food book.

Serials and liens first. Then an appraisal that states FMV, OLV, and FLV. If the iron floor plus cleaned working capital is close to asking EV, stop modeling a growth story on a 25.0-person shop. Space Coast occupancy can support 504 at $5 million, or $5.5 million on a qualifying small-manufacturer project (Source: SBA). A condo story about occupancy dies.

Florida counsel picks the form. Buying assets can leave unknown liabilities with the seller and can force new quality listings. Buying stock can keep registrations and keep the liabilities you did not price. The business-enterprise license cell still belongs on the engagement that marketed the file. Jason Taken is a business broker. He will not pick the form for you.

Florida’s CBP 2023 file counted 14,341 shops, 358,707 employees, a 25.0 average, 79.2% under 20, and 0.56% at 500-plus. Tampa marine and Space Coast supply are sourcing labels, not multiples. The business-enterprise license cell is a counsel line. Dirt in Jacksonville and a leased bay in Orlando are different letters.
