Is Georgia treated as a license state for business brokers?

Treat it that way until counsel reads the engagement. Compilations we checked list Georgia as a license state (Midwest Brokers). Business-broker licensing by state walks the comparison. Jason Taken is a business broker. If the building transfers, a licensed real-estate broker still handles that piece.

A listed-license posture is a compliance question on the letter. It is not a reason to hope for a Georgia premium. Do not copy Florida’s business-enterprise wording onto a Georgia file. Those are different rules. The matching buy-side door is buy a manufacturing business in Georgia only after the license question can travel.

What does a fifty-two-person Georgia plant actually look like?

The Census County Business Patterns, 2023 file put Georgia twelfth, with 7,874 manufacturing shops and 409,333 jobs (Source: Census CBP). That is 52.0 people per location. 65.8% of the shops have fewer than twenty employees — a bit below the national 68.4% on 284,452 U.S. plants. About 1.71% have 500 or more employees.

Fifty-two people already implies a second chair and a shift. Write the replacement wage into the recast before anyone talks seller discretionary earnings. Carpet and flooring, food, auto suppliers, paper and converting, and port-adjacent plants are the clusters we can name. Confirm a NAICS count before it appears in a teaser. Sub-sector hubs keep those diligence packets from blending.

If the plant sits in the metro, use sell a manufacturing business in Atlanta. Savannah, Augusta, Macon, and western Georgia around Columbus are regions we name in a confidential teaser. A converting customer can still hear about a Savannah file before any listing appears.

A neighbor with a different license rule is sell a manufacturing business in Florida. Do not copy that enterprise wording onto a Georgia letter.

Why is Atlanta a buyer list and not a multiple?

Manufacturing business valuation stays national. BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not an Augusta promise. An auto supplier with reportable EBITDA does not belong in that SDE room.

The IBBA Q1 2026 Market Pulse said 83% of deals over $5 million drew three or more offers. Georgia’s 1.71% large-plant tail can see that earlier than a tiny-shop state. It is not a bid on a $300k-SDE Macon shop. Buyer types recast operators to SDE, auto add-ons to the program, and food buyers to the slot. No firm names belong here.

SBA 7(a) still caps at $5 million with a 10% buyer injection (SOP 50 10 8). Seller paper is equity only when it is fully standby for the life of the loan, and then only up to half the injection. A Savannah converting plant that will not fit should be honest before Atlanta tours.

A listed-license state still needs a second-chair story on a 52-person average. If the owner still prices every Dalton specifier, write the stay cash before anyone talks seller discretionary earnings. Auto program portals and converting freight clerks are two different leak paths. They do not become one “Georgia manufacturing” story because they share a flag. Savannah freight and Augusta food holds belong in the peg before exclusivity, not as a surprise after the wire. Macon converting waits for the same honesty. A listed-license letter that still cannot name who quotes the book is not ready for an Atlanta tour. Write that name first.

When does a Georgia owner tell the floor?

How it works stays an unnamed teaser, an NDA, a staged room, then a scripted visit. Carpet files leak through a specifier. Food files leak through a slot. Auto files leak through a program buyer. Name a region — north Georgia flooring, coastal converting, middle Georgia food — not a mill door. Skip a customer-audit week.

Public boards create inbound and screenshots. On 7,874 shops the default is still a controlled list. A 52-person average does not make a screenshot safer.

Employees hear on a planned day, usually late, with a script. Georgia does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). WARN is the federal page. A 52-person average shop often sits under that test. A plant in the 1.71% tail may not.

Georgia has no New Jersey-style transfer act. Land or a wet process still needs All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). The usual Phase I follows ASTM E1527-21; pieces typically age out after 180 days. Coatings, food chemistry, and converting chemistry still belong in Phase I, then Phase II if the recs require it.

Sales tax on machinery is often a manufacturing-exemption or occasional-sale question. Successor tax is fact-dependent. A Georgia CPA writes those sentences. HedgeStone will not.

What belongs in the Georgia readiness packet?

Unfinished converting jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into an Atlanta letter and the true-up will invent a fight after the wire.

The complete guide to selling a manufacturing business is the national sequence. This page only adds Georgia license, shop-size, and notice facts.

National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not an Atlanta wage series. If the file cannot name who quotes Augusta work when the owner is gone, it is not ready for a tour.

Carpet hides specifier loyalty. Food hides code dates. Auto hides release schedules. Paper and converting hide chemistry. Port-adjacent plants hide freight lanes. Write those packets separately. The 409,333-employee count does not merge them.

Related-party rent in Atlanta that sits below market is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Savannah building transfers.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become an Atlanta flooring premium. Most of the 7,874 shops still have fewer than twenty people. Macon belongs in the second sentence of a teaser, never in the first. On a 52-person average, a mill street address is a leak.

Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Georgia CPA writes the machinery-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the license question. No Atlanta close date is promised.

A Dalton flooring book that still depends on one owner to price every specifier is not “a 52-person plant” in the offering memo. Name the second chair first. If the only buyer who will tour wants “any Georgia shop,” send them away. Twelfth place in the Census file does not repair that list.

A Georgia food earn-out that is not named-account gross profit will be re-traded. Floor it. Cap it. A seller note with current pay is credit, not SBA equity.

Twelfth place on the Census map is a sourcing fact, not an Atlanta multiple. Book a confidential intro call when the recast and the license question can travel.

A Dalton specifier who already quotes the same book will hear a public listing before the floor does. Keep carpet and flooring on a controlled list. Auto suppliers leak through program portals. Food leaks through slotting. Port-adjacent converting leaks through a freight clerk. Those four leak paths are why Atlanta, Savannah, Augusta, and Macon belong in the second sentence of a teaser, never as a street address. Western Georgia around Columbus stays in that same region language, named only after the NDA. If the only buyer who will tour wants “any Southeast plant,” send them away. The 7,874-shop count does not repair that list.
