Why does Hawaii’s own layoff-notice rule matter on a fourteen-person shop?
Because the rule is listed, and because island gossip is faster than a mainland rumor. Layoff-notice lists we checked include Hawaii as a mini-WARN state. Counsel confirms the headcount. Do not copy California’s 75 or New York’s 50 full-time / 90-day numbers onto a Maui file. Those thresholds are not in the Hawaii research we are allowed to use.
Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 14.2-person average shop usually sits under that federal test. WARN is the federal page. Employees still hear on a planned day, usually late, with a script — notice law or not.
How small is Hawaii manufacturing, really?
The Census County Business Patterns, 2023 file ranked Hawaii forty-sixth, with 723 manufacturing shops and 10,293 jobs (Source: Census CBP). That is 14.2 people per location. 82.6% of the shops have fewer than twenty employees, well above the national 68.4% on 284,452 U.S. plants. The share with 500 or more employees is 0%.
Those numbers describe island shops that serve local demand. They do not become a Honolulu premium. Food and beverage, printing, and small metal and concrete products serving the islands are the clusters we can name. Confirm a NAICS count before it appears in a teaser. Sub-sector hubs still sort the packet. A Maui food shop and a Honolulu printer share the 723-shop map. They do not share a buyer.
Honolulu, Maui, Hawaii Island, Kauai, and Pearl City are regions we name in a confidential teaser. A food buyer can leak a Maui file through a slot before any listing appears. A small-shop neighbor is sell a manufacturing business in Alaska. A much larger West Coast map is sell a manufacturing business in California. Do not copy either license rule onto Hawaii.
Owners who sell a manufacturing business here still have to price inbound freight in the first packet. Barge, air, and neighbor-island trucking are operating facts. A mainland buyer who has never paid Honolulu inbound will discount the file or walk.
Does Hawaii require a dedicated business-broker license?
Compilations we checked do not cite a dedicated business-broker license rule. Business-broker licensing by state is the comparison. The building still needs a licensed real-estate broker. Counsel confirms the engagement you actually have. Jason Taken is a business broker.
No island transfer-act clock exists in the research we use. Wet processes and land still go through All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the practice window. Island labs and travel can stretch the 180-day stale date. Food chemistry, print chemistry, and concrete products still belong in Phase I, then Phase II if the recs require it.
Sales tax on machinery and successor tax are fact-dependent in Hawaii. A Hawaii CPA writes those sentences. HedgeStone will not.
A 14-person average also means the second chair is often the owner’s spouse, a lead cook, or the only estimator. Name that person before anyone talks seller discretionary earnings. Island freight and Hawaii’s own layoff-notice rule are the two facts a mainland buyer usually misses.
How do you sell a Honolulu or Maui plant without the island finding out?
How it works stays an unnamed teaser, an NDA, a staged room, then a scripted visit. Food files leak through a slot. Print files leak through a buyer who already quotes the same hotel account. Metal files leak through a contractor. Name an island — Oahu food, Maui beverage, Hawaii Island concrete — not a loading-dock door. Skip a customer-audit week.
Public marketplaces create inbound and screenshots. On 723 shops the default is a controlled list. A 14-person floor hears faster than a mainland shop of the same size. A phone in a Pearl City aisle is how a setup person walks.
Manufacturing business valuation stays national. BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Kauai promise. Most Hawaii files live in that SDE room because the average shop is 14 people. A rare larger beverage plant with reportable EBITDA does not.
| Island file | Usual price room | What still binds | What Honolulu does not add |
|---|---|---|---|
| Owner still bids every hotel job | SDE after a named replacement wage | 2.75x median in the BizBuySell manufacturing set | “Oahu plant” in the teaser |
| A real second chair already runs the night cook | Adjusted EBITDA only if the earnings support it | Size band, not the island | 723 shops in the Census file |
| Tired iron plus cleaned working capital beats earnings | Orderly liquidation | Floor, not a tourism story | A Maui press with no inbound-freight model |
IBBA’s Q1 2026 pulse found 83% of deals over $5 million drew three or more offers. That is rare on a 14-person island base and is not a bid on a $200k-SDE Honolulu shop. Buyer types recast operators to SDE, food buyers to the slot, and printers to the account. Firm names stay off this page.
Island buyers who hope for SBA 7(a) still hit the same $5 million cap and 10% injection in SOP 50 10 8. A standby note can fill only half the injection, and only if it stays standby for the entire loan. Say so before anyone books a Honolulu flight if a Kauai food shop cannot live in that box.
What has to be in the Hawaii packet before anyone flies?
Food holds and unfinished print jobs need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Honolulu letter and the true-up will invent a fight after the wire.
The complete guide to selling a manufacturing business is the national sequence. This page only adds Hawaii notice, shop-size, and freight facts.
| Packet | Ready looks like | Hawaii note |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually runs the 14-person chair |
| Freight | Inbound and inter-island lanes priced | A mainland buyer who has never paid barge will walk |
| Concentration | Trailing twelve and thirty-six months | Hotel and slot names wait for the NDA |
| Quality | Food or print certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Notice | Temps counted; counsel reads Hawaii’s rule | Federal 100 / 60 plus the state rule counsel confirms |
| License | Counsel reads the engagement | No dedicated broker-license rule widely cited; the building still needs a card |
National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Honolulu wage series. If the file cannot name who quotes Maui work when the owner is gone, it is not ready for a tour.
Food hides code dates and barge delays. Printing hides ink chemistry. Small metal and concrete hide contractor loyalty. Write those packets separately. The 10,293-employee count does not turn them into one island story.
Related-party rent in Honolulu that sits below market is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Maui building transfers.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become an Oahu beverage premium. Most of the 723 shops still have fewer than twenty people. Pearl City belongs in the second sentence of a teaser, never in the first. On a 14-person average, a dock address is a leak.
Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Hawaii CPA writes the tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the notice question and the environmental inquiry. No Honolulu close date is promised.
A Maui food book that still depends on one owner to release every cook is not “a 14-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any island shop,” send them away. Forty-sixth place in the Census file does not repair that list.
A Hawaii food earn-out that is not named-account gross profit will be re-traded. Floor it. Cap it. A seller note with current pay is credit, not SBA equity.
Forty-sixth place on the Census map is a sourcing fact, not a Honolulu multiple. The matching buy-side door is buy a manufacturing business in Hawaii. Book a confidential intro call when the recast, the freight model, and the notice question can travel.
Zero shops at 500 or more employees means the federal WARN test is uncommon here. Hawaii’s own layoff-notice rule is still the first counsel question, because island gossip is faster than a mainland rumor. A Pearl City printer and a Maui beverage shop share barge lanes and do not share a buyer. Put inbound and inter-island freight in the first packet. A mainland operator who has never paid Honolulu inbound will discount the file or walk. If the only buyer who will tour wants “any island shop,” send them away. The 723-shop count does not repair that list.
