Freight and staffing before the teaser

Census CBP 2023 put Hawaii at rank 46 with 723 shops, 10,293 employees, an 82.6% under-20 share, and a 0% 500+ share. The national file counted 284,452 establishments and 68.4% under 20. Hawaii’s 14.2-person average is the smallest in that state table. Relocation honesty belongs here. Most operators will not move to Honolulu, Maui, Kauai, Hawaii Island, or Pearl City. If you will, say who runs the floor on Monday when a barge is late.

Inbound steel, resin, packaging, and spare parts cross water. Neighbor-island work adds a second hop. A model that treats Honolulu inbound like a Midwest truck lane will miss working capital and missed-ship penalties. Staffing is the other half. A 14.2-person shop usually means the owner quotes, programs, and holds the customer. If you cannot replace that person on-island, the teaser is a brochure.

Buy a manufacturing business is the nationwide pillar. This page is the Hawaii overlay. Thin-base logistics also show up on Alaska. Neither file gets a made-up island premium.

What buybox fits Hawaii manufacturing?

Food, printing, or island metal — write freight before you write a radius. Name the process — food and beverage, printing, small metal, concrete products serving the islands — not “manufacturing.” Name SDE or EBITDA and the number. Name certificates you must have on day one. Name the highest top-customer share you will live with. Name whether you will lease the Honolulu or Maui plant, buy it, or accept either. Name the capital path. Name whether you will live with barge lead times.

HedgeStone will not send you every employer establishment in the 723-count file. Sub-sector hubs keep the search from becoming a radius dump of Oahu. A food plant and a print shop do not share a diligence packet because they share an island.

Honolulu, Maui, Hawaii Island, Kauai, and Pearl City are island filters, not valuation theory. This site does not publish city slugs. A Honolulu print shop is not a Maui food multiple. Write who covers Kauai when the owner is the only estimator, and write whether you will live on the island that holds the plant.

Does Hawaii mini-WARN change a reduction plan?

If your model needs a headcount cut after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees and a 60-day window (29 U.S.C. § 2101). On a 14.2-person average Hawaii shop the federal test often will not attach. The 2026 briefing table still lists Hawaii mini-WARN as Y. Do not invent a headcount. Do not copy New Jersey severance onto Honolulu.

I-9 packets and OSHA 300 logs still belong in the island binder. Repeat citations price a 723-shop file. A stock purchase is not a holiday from the listed mini-WARN cell.

Financing a Hawaii acquisition

SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short.

Island freight does not create a special 7(a). Published max $5 million, SOP 50 10 8 10% (SBA). A Honolulu seller note counts only on full standby, and only up to half the injection. A note that pays the Honolulu seller every month is credit, not equity.

504 can carry island dirt if occupancy is honest. It cannot invent barge working capital as a $15 million cash-out on a thin 14.2-person check.

Diligence when freight is the working-capital file

Tax returns still beat a Honolulu walk-through. How it works is the process view. On a 723-shop island the packet that matters is barge timing, a second hop to Maui or Kauai, and whether the owner is the only estimator when inbound steel is late. Food books hide certificates and packaging that crossed water. Print books hide press hours. Small metal and island concrete hide spare parts that do not sit on a same-day truck.

All Appropriate Inquiries still attach when you buy dirt or a wet process (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA is the long form. ASTM E1527-21 components generally go stale after 180 days. Island food wastewater and finishing tanks are not exempt because the shop is small. The transfer-act cell is N. Pearl City is not a reason to skip the study.

Put the peg method in the LOI. Barge-delayed resin is not finished goods. Neighbor-island staging is not the same class as Honolulu inbound. QoE should rebuild job-cost against the return and a replacement wage on a 14.2-person shop. If that rebuild kills earnings, the price moves or you walk.

Allocation still uses Form 8594 and IRC § 1060. Depreciable Class V iron is the buyer ask. Capital-gain intangibles are the seller ask. The Hawaii CPA owns occasional-sale treatment because sales tax on M&E is F, not a listed exemption. Do not paste a mainland MfgEx sentence onto an Oahu closing binder.

Stock versus assets is counsel’s fork, not a freight shortcut. A food stock deal can keep listings and can keep unknown liabilities. An asset deal often needs new certificates. The listed mini-WARN cell survives both. The 0% 500+ share means a campus thesis is not in the 2023 CBP file. Employment in the file is 10,293. If a Honolulu teaser implies a large plant, ask for the headcount in week one.

Walk the floor after the paper. Leave the branded fleece in the car. Photographing a fixture on Oahu is still a leak. Rank 46 does not quiet a Tuesday drop-in. An 82.6% under-20 share makes the owner the person you just interrupted.

Who else writes a letter on 723 shops

Buyer types do not share an earnings base. A strategic who wants a certified island supplier will not pay that print for an owner-quote shop of 14.2 people. A searcher who borrowed a services-study median will miss a thin food or print margin. Anyone who needs the published 7(a) box will leave when enterprise value plus fees plus the peg will not fit.

Valuation on this site is labeled by size band. BizBuySell’s manufacturing median 2.75x SDE is Main Street (Source: BizBuySell). It is not a sponsor print and not an island premium. IBBA Pulse Q1 2026 reported 83% of deals over $5 million drawing three or more offers (Source: IBBA). Most files inside 723 shops are not in that room.

A lapsed food card is a customer-access hole on Monday, not a cleanup item for week six.

Jason Taken will write the buybox, cut “any Hawaii manufacturer,” and source quietly. We will not invent listings. We will not hide barge working capital because the teaser photographed well.

How should a Hawaii buyer write barge inventory into the peg?

Name the classes: inbound in transit, raw on-island, WIP, finished, consigned, and neighbor-island staging. A Maui hop is not Honolulu inbound. Count physically at close. Cycle-count theater is how rust in a Pearl City cage becomes purchase price. Put the method in the letter.

The first 90 days are operations. Keep the person who can start the scarce job. Lock the accounts that will not wait for a late barge. Count again. Say whether you will live on Oahu, Maui, Kauai, or Hawaii Island. Most operators will not. If you will not, the 14.2-person average already told you the file is a brochure.

The research file has no Hawaii manufacturing wage table. National BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 (Source: BLS) — are backdrop. The underwrite is burdened payroll and on-island replacement. Food hides people in QA. Print hides them on the press. Metal hides them in estimating. Ask for four names. There may only be four.

Year-level series do not underwrite your Honolulu account. ISM August 2026 PMI 54.6 and Fed G.17 July 2026 capacity utilization 76.0% describe the year. Stanford search-fund medians assume a margin most 14.2-person shops do not have. Staff QoE and the mini-WARN calendar against BizBuySell’s 2025 manufacturing median close of 223 days (Source: BizBuySell). That number is a staffing clock, not a promise.
