Is Nevada a license state for a plant sale?
Usually, yes — treat Nevada as a license state until counsel says otherwise (Source: Midwest Brokers 2026). The shop count does not retire that question. Business-broker licensing by state is the longer comparison. Jason Taken is a business broker. If the building transfers, a licensed real-estate broker still handles the deed.
A neighbor with a different posture is sell a manufacturing business in Utah. Do not copy Utah’s real-estate-tied wording onto a Reno engagement. Confirm the Nevada rule on the file you actually have.
| Engagement piece | Who holds it | Valley note |
|---|---|---|
| Business-broker license | Counsel confirms; treat Nevada as a license state | A Strip address does not skip the question |
| Real-estate card | A licensed broker, when the building transfers | Henderson dirt is a second letter |
| Sales-tax and successor-tax sentences | A Nevada CPA | HedgeStone will not write them |
2,043 shops and a 31-person average
The latest Census County Business Patterns file — 2023, released in 2025 — counted 2,043 Nevada manufacturing establishments. That ranked thirty-fifth among the states. Those shops employed 64,363 people, about 31.5 per location. 72.4% have fewer than twenty employees, a bit above the national 68.4% on 284,452 U.S. plants. About 0.49% have 500 or more employees (Source: Census CBP).
Those numbers tell you the map is mid-size and still mostly small shops. They do not tell you what your company is worth. A Las Vegas electronics shop and a Reno food plant sit in the same statewide count. They do not share customers, certificates, or a buyer list.
Owners who sell a manufacturing business here usually sit in electronics and batteries, food, fabricated metal, or printing. Name the process. Sub-sector hubs keep those diligence packets apart.
If the plant is in the Las Vegas metro, use sell a manufacturing business in Las Vegas. Reno, Henderson, Sparks, and Carson City are regions we name in a confidential teaser. A print buyer can still hear about a Henderson file before any listing appears.
What environmental and notice work still apply?
Nevada skipped the New Jersey-style transfer act. That is not a Phase I holiday. All Appropriate Inquiries still bind a land deal (Source: EPA / 40 C.F.R. Part 312). Electronics, food, metal coatings, and print chemistry belong on Phase I and, if needed, Phase II. Use ASTM E1527-21. Refresh pieces that are older than 180 days.
This state does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 31.5-person average shop often sits under that federal test. A plant in the 0.49% large-employer tail may not. WARN is the federal notice page.
Sales tax on machinery is often discussed as a manufacturing exemption or an occasional-sale question. Successor tax is fact-dependent. A Nevada CPA writes those sentences. HedgeStone will not.
Searchers who want SBA 7(a) financing still face a $5 million cap and a 10% buyer injection under SOP 50 10 8. If a Reno food company cannot live in that box, say so before anyone tours Sparks.
A listed-license state still splits the company sale from the building. Treat Nevada as a license state until counsel says otherwise. Then ask whether Henderson dirt moves in the same letter. If it does, a licensed real-estate broker handles the deed. If it does not, the landlord already in place is a third structure. Those three letters — company plus plant, company plus leaseback, landlord already in place — are not one CIM paragraph. A Reno food leaseback is a different file from a Valley electronics sale that includes the plant.
What is a Nevada plant worth?
Manufacturing business valuation stays national. After the license question is honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Carson City promise. An electronics supplier with reportable EBITDA does not belong in that SDE room.
| Earnings story | National print that binds | What a Las Vegas address does not do |
|---|---|---|
| Owner still quotes every Henderson job | 2.75x SDE median in the BizBuySell manufacturing set | Raise the multiple |
| A real second chair already runs the floor | Adjusted EBITDA in national size bands | Turn 2,043 shops into a bid |
| Used iron plus cleaned working capital beats earnings | Orderly liquidation as the floor | Repair tired presses in Sparks |
IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a 31.5-person average, that pattern is uncommon. It is not a bid promise on a $250k-SDE Reno shop. Buyer types recast differently: operators to SDE, electronics add-ons to EBITDA, print buyers to the account. This page will not name firms.
How do you sell without the floor hearing first?
How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Electronics files leak through a quality clerk. Food files leak through a slot. Print files leak through a buyer who already quotes the same account. Name a region — southern Nevada electronics, northern Nevada food, Sparks metal — not a clean-room door.
Public marketplaces create inbound and screenshots. On a map where most shops have fewer than twenty people, the default is still a controlled list. Employees hear on a planned day, usually late, with a script.
The complete guide to selling a manufacturing business is the national sequence. This page only adds Nevada license, Las Vegas, and shop-size facts.
Unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Henderson print letter and the true-up will invent a fight after the wire.
| Packet | Ready looks like | Nevada wrinkle |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually runs the 31-person chair |
| Concentration | Trailing twelve and thirty-six months, names later | Account names wait for the NDA |
| Quality | Electronics, food, or print certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Reno unfinished jobs are not a surprise |
| License | Counsel reads the engagement | Treat Nevada as a license state until told otherwise |
| Notice | Temps counted in the headcount | Federal 100 / 60; no extra Nevada mini-WARN in the lists we checked |
National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Las Vegas wage series. If the file cannot name who quotes Reno work when the owner is gone, it is not ready for a tour.
Electronics hide quality systems. Food hides code dates. Fabricated metal hides coatings. Printing hides ink chemistry. Write those packets separately. The 64,363-employee count does not turn them into one “Nevada manufacturing” story.
Below-market related-party rent in Las Vegas or Reno is a gift to the first offer. Put a market rent in the recast. The license question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Henderson building transfers.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Valley electronics premium. Most of the 2,043 shops still have fewer than twenty people. Sparks and Carson City belong in the second sentence of a teaser, never in the first. On a 31.5-person average, a shop-door street address is a leak.
Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Nevada CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms the license question. No Las Vegas close date is promised.
A Reno electronics book that still depends on one owner to release every traveler is not “a 31-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any Valley shop,” send them away. Thirty-fifth place in the Census file does not repair that buyer list.
Las Vegas and Reno are different leak paths on the same 31.5-person average. A Valley electronics file leaks through a quality clerk who already quotes the same account. A Reno food file leaks through a slot. Henderson and Sparks belong in the second sentence of a teaser. Carson City is a region, not a selling price. Use the Las Vegas page only when the plant actually sits in that metro.
The listed-license posture is the first question on the engagement, not the last sentence in a CIM. Counsel confirms whether your sale needs that license. A Henderson building still needs a licensed real-estate broker. Those two cards do not replace each other. A 2,043-shop map does not retire either one.
The other door is buy a manufacturing business in Nevada. Book a confidential intro call when the recast and the license question can travel. Thirty-fifth place in the Census file describes the map. It is not a Las Vegas multiple.
