Does the Utah broker license follow the building?

Often, that is the first question. Midwest Brokers and similar lists treat Utah as a license-or-registration state and often tie the card to a real-estate interest. Counsel confirms whether your engagement needs that license. Business-broker licensing by state is the longer comparison. Jason Taken is a business broker.

The deed is a second card either way. If the plant transfers, a licensed real-estate broker still handles that piece. Selling a manufacturing business with real estate and selling the business and leasing back the plant are different letters. Do not bury a cap-rate asset inside an SDE story.

A license read is not a selling price. It is also not “a card finishes the company sale.”

How small is the typical Utah plant?

Census County Business Patterns, 2023 file, counted 3,665 Utah manufacturing establishments — twenty-seventh in that file — and 145,645 people on those floors. The average shop is 39.7 people, a bit under the national 43.4. 71.8% of the shops have fewer than twenty employees, above the national 68.4% on 284,452 U.S. plants. 1.12% have 500 or more employees (Source: Census CBP).

That is a mostly small-shop map with a thin large-plant tail. It is not a Wasatch multiple. An aerospace supplier and a food plant share the 3,665 count. They do not share a quality system.

Owners who sell a manufacturing business here usually sit in aerospace and defense, medical devices, food, or outdoor products. Name the process. Do not invent a NAICS split for a teaser. Sub-sector hubs keep those diligence packets apart.

If the plant sits along the Wasatch Front, use sell a manufacturing business in Salt Lake City. Provo, Ogden, St. George, and Logan are regions we name in a confidential teaser. A medical-device customer can still hear about an Ogden file before any listing appears.

Aerospace, medical, food, and outdoor packets stay apart

The 145,645-employee count does not turn those processes into one Utah story. Medical unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Aerospace certificates and outdoor-product seasonality do not share a room.

The complete guide to selling a manufacturing business is the national sequence. This page only adds the license-follows-land question and the shop-size map.

Utah does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 39.7-person average shop often sits under that federal test. A plant in the 1.12% large-employer tail may not. WARN is the federal notice page. Employees hear on a planned day, usually late, with a script.

Utah does not use a New Jersey-style environmental transfer act. Land or a wet process still goes through All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces generally go stale after 180 days. Medical wet processes, food chemistry, and aerospace coatings still go to Phase I and, if needed, Phase II.

Sales tax on machinery is often a manufacturing-exemption or occasional-sale question. Successor tax is fact-dependent. A Utah CPA writes those sentences. HedgeStone will not.

What does the SBA box do to a Salt Lake file?

Many 39.7-person shops fit a searcher who needs SBA 7(a). The SBA box is still a $5 million cap and a 10% injection under SOP 50 10 8. A seller note helps that injection only on full standby for the life of the loan, and only up to half. A medical-device book with reportable EBITDA may already sit above that room. Say so before anyone drives to Provo.

If the building is in the same letter, you have two prices and, often, a sharper license question. Do not wait until exclusivity to split them.

Who hears, and when?

How it works is an unnamed teaser, an NDA, a staged data room, then a scripted visit. Medical files leak through a quality clerk. Food files leak through a slotting manager. Aerospace files leak through a buyer who already quotes the same program. Name a region — Wasatch medical, northern Utah aerospace, southern Utah outdoor — not a clean-room door.

Public marketplaces create inbound and screenshots. On a map where 71.8% of shops have fewer than twenty people, the default is a controlled list. A 1.12% large-plant tail does not make a public listing safe.

Manufacturing business valuation stays national. After the license question and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The 223-day median is a planning number, not a Logan promise.

IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. That pattern is less common on a 39.7-person average than on a heavy-plant state. It is not a bid promise either way. Buyer types recast differently: operators to SDE, medical add-ons to EBITDA, outdoor buyers to season. This page will not name firms.

National BLS OEWS May 2025 prints — machinist $58,750, welder $53,750 — stay national. They are not a Salt Lake wage series. If the file cannot name who quotes Logan work when the owner is gone, it is not ready for a tour.

Related-party rent along the Wasatch Front that sits below market is a gift to the first offer. Put a market rent in the recast. Form 8594 still splits equipment, goodwill, and the building. A Utah CPA writes the machinery-tax sentence. Jason Taken is a business broker, not that CPA.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Wasatch premium. Most of the 3,665 shops have fewer than twenty people. Logan and St. George belong in the second sentence of a teaser. A clean-room street address in the first sentence is a leak.

If one owner still releases every medical traveler, do not call the file a 39.7-person plant in the memo. Name the second chair. A buyer who wants “any Utah shop” is not a list. Twenty-seventh place will not repair that.

Keep outdoor earn-outs on named-season gross profit, floored and capped. Interest on a current-pay note is credit, not SBA equity.

The license-follows-land question is why Utah files stall. Owners decide to “throw the building in” after the first offer, then counsel has to re-read the engagement. Decide before the teaser whether Salt Lake land is in the deal. A Provo leaseback and an Ogden landlord already in place are different letters. Do not treat them as a footnote to seller discretionary earnings.

Aerospace and defense work hides program access. Medical hides certificate clocks. Outdoor products hide season. Food hides code dates. Those four packets do not share a data-room index. A 39.7-person average does not merge them. St. George and Logan belong in the region line, never as a street address in sentence one.

If the likely buyer is a 7(a) searcher, the building often has to stay out of the company price or move onto a separate 504 conversation. Say which path you will accept. A medical book that already reports EBITDA may not need the SBA box at all. That is a buyer-list fact, not a Wasatch premium.

Outdoor-product season cuts both ways. A spring-loaded book that looks strong in March can look thin in October. Put trailing twelve and a season note in the recast before anyone drives to Logan. Aerospace program access is a gate, not a logo. If the buyer cannot sit in that program, they are not on the list. A 71.8% small-shop map makes a public listing a screenshot problem along the Wasatch Front.

The other door is buy a manufacturing business in Utah. Book a confidential intro call when the recast and the building question can travel. Twenty-seventh place is a map fact. It is not a Salt Lake multiple.
