What does ISRA do to a New Jersey plant sale?
ISRA is New Jersey’s environmental transfer act. When an industrial establishment transfers, the statute can require a remediation-funding process before or at closing (Source: NJDEP ISRA). Counsel confirms whether your facts trip it. This page will not invent a form number or a NAICS trigger.
That is not a Phase I waiver. All Appropriate Inquiries still apply (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces of that report generally go stale after 180 days. Chemicals, pharma, food chemistry, metal coatings, printing, and electronics still go to Phase I and, if needed, Phase II. Skipping the study because “ISRA will handle it” is how a buyer’s counsel stops a close.
A New York neighbor is not an ISRA state. Do not copy sell a manufacturing business in New York cleanup language onto a North Jersey chemical file. A Pennsylvania neighbor with successor tax but no transfer act is sell a manufacturing business in Pennsylvania.
| Clock on the file | What it is | Who writes the sentence |
|---|---|---|
| ISRA | Transfer-act remediation funding on an industrial establishment | Environmental counsel and NJDEP process |
| Successor tax | A known New Jersey closing item | A New Jersey CPA — not HedgeStone |
| State layoff notice | 90 days plus statutory severance; confirm headcount | Employment counsel |
| Federal WARN | 100 full-time employees and 60 days | Employment counsel, if the federal test also trips |
Successor tax and the 90-day notice
Successor tax is listed as a known closing item on New Jersey manufacturing files. Sales tax on machinery is often discussed as a manufacturing exemption, an occasional-sale question, and a successor-liability question. A New Jersey CPA writes those sentences. HedgeStone will not. Jason Taken is a business broker.
New Jersey adds its own layoff-notice rule. Layoff-notice lists we checked cite a 90-day clock plus statutory severance. Counsel confirms the current headcount trigger. This page will not invent a missing number. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). WARN is the comparison page.
Lists we reviewed do not print a dedicated real-estate-for-business license for New Jersey. Counsel still reads the engagement. Business-broker licensing by state is the longer comparison. A Central Jersey building still needs a licensed real-estate broker when the deed moves. Jason Taken is a business broker.
ISRA is also why a New Jersey close date is not a promise. A remediation-funding process can sit on the calendar after the letter of intent. Phase I pieces can go stale after 180 days while that process runs. Refresh them. A chemical plant that skips the study because “ISRA will handle it” still meets a buyer’s counsel who wants All Appropriate Inquiries on the land.
How large is the 7,018-shop map?
The latest Census County Business Patterns file — 2023, released in 2025 — counted 7,018 New Jersey manufacturing establishments. That ranked thirteenth among the states. Those shops employed 225,095 people, about 32.1 per location. 70.3% have fewer than twenty employees, near the national 68.4% on 284,452 U.S. plants. About 0.48% have 500 or more employees (Source: Census CBP).
Those numbers tell you the map is large and still mostly small shops. They do not tell you what your company is worth. A North Jersey chemical plant and a South Jersey food plant sit in the same statewide count. They do not share customers, certificates, or a buyer list.
Owners who sell a manufacturing business here usually sit in chemicals and pharma, food, fabricated metal, printing, or electronics. Name the process. Sub-sector hubs keep those diligence packets apart.
Newark, North Jersey, Central Jersey, South Jersey, and Trenton are regions we name in a confidential teaser. They do not get their own pages here. A chemical customer can still hear about a North Jersey file before any listing appears.
How do you sell without the chemical customer hearing?
How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Chemical files leak through a quality clerk. Pharma files leak through a certificate clock. Food files leak through a slot. Name a region — North Jersey chemicals, South Jersey food, Central Jersey metal — not a tank-farm door. Skip a customer-audit week.
Public marketplaces create inbound and screenshots. On a map of 7,018 shops, a screenshot is easy to place. The default is a controlled list. Employees hear on a planned day, usually late, with a script. The 90-day state notice is why that script belongs in the sale plan before anyone tours Trenton.
Searchers who want SBA 7(a) financing still face a $5 million cap and a 10% buyer injection under SOP 50 10 8. If a South Jersey food company cannot live in that box, say so before anyone spends a quarter on ISRA counsel.
What is a New Jersey plant worth?
Manufacturing business valuation stays national. After the ISRA question is honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Newark promise. A chemical plant with reportable EBITDA does not belong in that SDE room.
| Region | What buyers ask first | What Newark is not |
|---|---|---|
| North Jersey | ISRA status, chemical permits, successor-tax clearance | A city page or a higher multiple |
| Central Jersey | Metal coatings, Phase I, working-capital classes | A reason to skip the transfer act |
| South Jersey | Food holds, slotting, SBA box | A selling price by itself |
IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a 32.1-person average, that pattern is uncommon. It is not a bid promise on a $250k-SDE Central Jersey shop. Buyer types recast differently: operators to SDE, chemical add-ons to EBITDA, food buyers to the slot. This page will not name firms.
What has to be packed before ISRA counsel is hired?
Chemical unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a North Jersey chemical letter and the true-up will invent a fight after the wire.
The complete guide to selling a manufacturing business is the national sequence. This page only adds ISRA, successor tax, and New Jersey notice facts.
| Packet | Ready looks like | New Jersey wrinkle |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually runs the 32-person chair |
| Concentration | Trailing twelve and thirty-six months, names later | Chemical and slot names wait for the NDA |
| Quality | Chemical, pharma, or food certificates current | Access gate, not a logo |
| Environment | ISRA counsel engaged; Phase I current | Transfer-act clock, not a brochure sentence |
| Working capital | Classes written before exclusivity | South Jersey unfinished jobs are not a surprise |
| License | Counsel reads the engagement | No dedicated real-estate-for-business rule; building still needs a real-estate broker |
| Notice | Temps counted in the headcount | 90 days plus statutory severance; confirm headcount |
National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a North Jersey wage series. If the file cannot name who quotes Trenton work when the owner is gone, it is not ready for a tour.
Chemicals hide manifests. Pharma hides certificate clocks. Food hides code dates. Fabricated metal hides coatings. Printing hides ink chemistry. Write those packets separately. The 225,095-employee count does not turn them into one “New Jersey manufacturing” story.
Below-market related-party rent in Newark or South Jersey is a gift to the first offer. Put a market rent in the recast. The ISRA question belongs on the engagement letter. It is not a reason to skip a real-estate broker when a Central Jersey building transfers.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a North Jersey chemical premium. Most of the 7,018 shops still have fewer than twenty people. Trenton and South Jersey belong in the second sentence of a teaser, never in the first.
Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A New Jersey CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms ISRA and the 90-day notice. No Newark close date is promised.
A North Jersey chemical book that still depends on one owner to release every traveler is not “a 32-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any chemical shop,” send them away. Thirteenth place in the Census file does not repair that buyer list.
Sequence the clocks. ISRA counsel first if the facts look like an industrial establishment. Successor-tax sentences next, written by a New Jersey CPA. Then the 90-day notice plus statutory severance, with employment counsel confirming the current headcount. Federal WARN can still sit underneath at 100 full-time employees and 60 days. Do not treat those four items as one sentence in a CIM.
Newark, North Jersey, and South Jersey stay regions we name in a teaser. A chemical customer in North Jersey can still hear about a file before any listing appears. Hide the tank-farm door. Put the region in the second sentence.
The other door is buy a manufacturing business in New Jersey. Book a confidential intro call when the recast and the ISRA question can travel. Thirteenth place in the Census file describes the map. It is not a Newark multiple.
