Is New York an ISRA state?

No. New York does not copy New Jersey’s Industrial Site Recovery Act. A North Jersey plant is a different file — use sell a manufacturing business in New Jersey when the dirt sits across the river. On a New York plant you still do Phase I when land or a wet process is in the deal, and state cleanup liability can still attach. That is disclosure and cleanup, not a transfer-act clock.

All Appropriate Inquiries still apply (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces of that report generally go stale after 180 days. Food chemistry, print chemistry, optics wet processes, metal coatings, and pharma or device chemistry still go to Phase I and, if needed, Phase II. Skipping the study because “New York is not ISRA” is how a buyer’s counsel stops a close.

The 50-full-time, 90-day notice

New York adds its own layoff-notice rule. New York WARN can start at 50 full-time employees and 90 days of notice (Source: NY DOL WARN). Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). Employment counsel reads the actual roster, including temps. WARN is the comparison page.

Successor tax is a known closing item on New York manufacturing files. Sales tax on machinery is often discussed as a manufacturing exemption, an occasional-sale question, and a successor-liability question. A New York CPA writes those sentences. HedgeStone will not. Jason Taken is a business broker.

A real-estate license attaches when real property transfers. Business-broker licensing by state is the longer comparison. The company sale and the deed are two different letters.

Fourth-largest shop count, three live cities

The latest Census County Business Patterns file — 2023, released in 2025 — counted 13,837 New York manufacturing establishments. That ranked fourth among the states. Those shops employed 411,439 people, about 29.7 per location. 75.6% have fewer than twenty employees, above the national 68.4% on 284,452 U.S. plants. About 0.62% have 500 or more employees (Source: Census CBP).

Those numbers tell you the map is huge and still mostly small shops. They do not tell you what your company is worth. A Buffalo food plant and a Rochester optics shop sit in the same statewide count. They do not share customers, certificates, or a buyer list.

Owners who sell a manufacturing business here usually sit in food, printing, optics and imaging, fabricated metal, or pharma and devices. Name the process. Sub-sector hubs keep those diligence packets apart.

If the plant is in the New York City metro, use sell a manufacturing business in New York City. That city slug is not the state slug. If the plant is in Buffalo, use sell a manufacturing business in Buffalo. If the plant is in Rochester, use sell a manufacturing business in Rochester. Long Island and Syracuse are regions we name in a confidential teaser. A print buyer can still hear about a Long Island file before any listing appears.

BuffaloThe Buffalo sell pageA second sentence, never the price
RochesterThe Rochester sell pageA region unless the plant is actually there

How do you sell without the floor hearing first?

How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Food files leak through a slot. Print files leak through a buyer who already quotes the same account. Optics files leak through a quality clerk. Name a region — western New York food, Finger Lakes optics, Long Island print — not a clean-room door. Skip a customer-audit week.

Public marketplaces create inbound and screenshots. On a map of 13,837 shops, a screenshot is easy to place. The default is a controlled list. Employees hear on a planned day, usually late, with a script. The 50 / 90 notice is why that script belongs in the sale plan before anyone tours Syracuse.

Searchers who want SBA 7(a) financing still face a $5 million cap and a 10% buyer injection under SOP 50 10 8. If a Buffalo food company cannot live in that box, say so before anyone tours Rochester.

Food, printing, optics and imaging, fabricated metal, and pharma or devices do not share a buyer just because they share fourth place. A Buffalo food plant hides holds and slots. A Long Island print shop hides ink chemistry. A Rochester optics shop hides a quality system. Metal hides coatings. Devices hide certificate clocks. Sub-sector hubs keep those packets apart. The 411,439-employee statewide count is a map, not a story.

What is a New York plant worth?

Manufacturing business valuation stays national. After the notice and successor-tax questions are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Buffalo promise. A device supplier with reportable EBITDA does not belong in that SDE room.

IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a state this large, that pattern can show up earlier than it does in a tiny-shop state. It is still not a bid promise on a $250k-SDE Syracuse shop. Buyer types recast differently: operators to SDE, optics add-ons to EBITDA, food buyers to the slot. This page will not name firms.

Unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Rochester optics letter and the true-up will invent a fight after the wire.

The complete guide to selling a manufacturing business is the national sequence. This page only adds New York notice, successor tax, and city-page facts.

National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a city wage series. If the file cannot name who quotes Syracuse work when the owner is gone, it is not ready for a tour.

Food hides code dates. Printing hides ink chemistry. Optics hide quality systems. Fabricated metal hides coatings. Pharma and devices hide certificate clocks. Write those packets separately. The 411,439-employee count does not turn them into one “New York manufacturing” story.

Below-market related-party rent in Buffalo or Rochester is a gift to the first offer. Put a market rent in the recast. The real-estate-license question belongs on the engagement letter when the building transfers.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a city optics premium. Most of the 13,837 shops still have fewer than twenty people. Long Island and Syracuse belong in the second sentence of a teaser, never in the first.

Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A New York CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA. Counsel still confirms New York WARN and the cleanup inquiry. No city close date is promised.

A Rochester optics book that still depends on one owner to release every traveler is not “a 29-person plant” in the offering memo. Name the second chair before anyone talks seller discretionary earnings. If the only buyer who will tour wants “any New York shop,” send them away. Fourth place in the Census file does not repair that buyer list.

The 50-full-time / 90-day New York clock hits more files than federal WARN. A 29.7-person average shop can still sit under both tests. A plant that has grown past 50 full-time people cannot. Count the site. Count temps. Write the script before anyone tours Syracuse. Federal WARN at 100 / 60 can still sit underneath.

Successor tax is a New York closing item, not a city premium. A CPA in the closing state writes those sentences. HedgeStone will not. The real-estate license attaches when the building transfers. The state slug stays New York. The city slug for the metro is New York City. Do not mix them.

The other door is buy a manufacturing business in New York. Book a confidential intro call when the recast and the 50 / 90 question can travel. Fourth place in the Census file describes the map. It is not a city multiple.
