How large do Tennessee plants actually run?
Census County Business Patterns, 2023 file, put 5,787 manufacturing shops in Tennessee — seventeenth in that file — and 357,878 people on those floors. The average chair is 61.8 people. That is a heavier plant than the national 43.4 average. 62.0% of the shops still have fewer than twenty employees, versus 68.4% of the 284,452 U.S. plants. 2.11% already have 500 or more people (Source: Census CBP).
A heavier average is a notice and buyer-list fact. It is not a selling price. The Clarksville supplier and the Memphis food plant share a statewide count. They do not share a program manager.
Owners who sell a manufacturing business here usually sit in auto and auto suppliers, appliances, food, chemicals, or medical. Name the process. Do not invent a NAICS split for a teaser. Sub-sector hubs keep those diligence packets apart.
If the plant is in Middle Tennessee, use sell a manufacturing business in Nashville. If it is on the river, use sell a manufacturing business in Memphis. Knoxville, Chattanooga, and Clarksville are regions we name in a confidential teaser. A program manager can still hear about a Clarksville file before any listing appears.
Does Tennessee add its own layoff notice?
Yes, in the layoff-notice lists we checked. Those lists do not print a Tennessee headcount on this page, so counsel confirms who is counted before anyone drafts a speech. Do not copy New York’s 50-person / 90-day clock or New Jersey’s severance rule onto a Memphis letter. WARN is the federal notice page.
Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 61.8-person average shop often sits under that federal test. A plant in the 2.11% large-employer tail may not. Temps belong in the count the lawyer actually uses.
Employees hear on a planned day, usually late, with a script. Customers hear after the visit plan exists. An auto book leaks through a program manager. A food book leaks through a slotting clerk. A medical book leaks through a quality coordinator.
Auto, appliance, and food files are not one teaser
The 357,878-employee count does not turn those processes into one “Tennessee manufacturing” story. Auto unfinished jobs, appliance warranty holds, and food code dates need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Clarksville supplier letter and the true-up will invent a fight after the wire.
Chemicals hide coatings and drums. Medical hides certificate clocks. Write those packets separately. The complete guide to selling a manufacturing business is the national sequence. This page only adds Tennessee shop-size, notice, and building facts.
Company, building, or both — which letter is this?
The building is a second price. Company plus plant, company plus leaseback, and a landlord already in place are three different letters. Selling a manufacturing business with real estate is the split. Compilations we checked do not cite a dedicated Tennessee business-broker license rule. Business-broker licensing by state is the longer comparison. Jason Taken is a business broker. If the building transfers, a licensed real-estate broker still handles the deed.
If the likely buyer is an SBA 7(a) searcher, the SBA box is a $5 million cap and a 10% injection under SOP 50 10 8. A seller note helps that injection only on full standby for the life of the loan, and only up to half. Plenty of 61.8-person auto books already sit above that room. Say so before a Chattanooga tour is scheduled.
Tennessee does not use a New Jersey-style environmental transfer act. That does not waive All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces of that report generally go stale after 180 days. Auto coatings, food chemistry, appliance solvents, and medical wet processes still go to Phase I and, if needed, Phase II.
Sales tax on machinery is often discussed as a manufacturing exemption or an occasional-sale question. Successor tax is fact-dependent. A Tennessee CPA writes those sentences. HedgeStone will not.
What has to sit in the room before a Nashville tour?
How it works is the sequence: an unnamed teaser, an NDA, a staged data room, then a scripted visit. Public marketplaces create inbound and screenshots. On a map where most shops still have fewer than twenty people, the default is a controlled list. A large-plant tail does not make a public listing safe.
Manufacturing business valuation stays national. After the notice question and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The same review’s 223-day median is a planning number, not a Knoxville promise. An appliance plant with reportable EBITDA does not belong in that SDE room.
| Who still quotes the work | Pricing language that fits | What the buyer still believes | What a Nashville address does not do |
|---|---|---|---|
| Owner still prices every Clarksville job | SDE after a named replacement wage | 2.75x median in the BizBuySell manufacturing set | Raise the multiple by itself |
| A real second chair already runs the 61.8-person floor | Adjusted EBITDA in national bands | Size band, not the state flag | Turn 5,787 shops into a bid |
| Used iron plus cleaned working capital beats earnings | Orderly liquidation | Floor, not a growth story | Rescue tired Chattanooga presses |
IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a state with a 2.11% large-plant tail, that pattern can show up earlier than it does in a tiny-shop state. It is still not a bid promise on a $250k-SDE Knoxville shop. Buyer types recast differently: operators to SDE, auto add-ons to the program, food buyers to the slot. This page will not name firms.
| Packet | Ready looks like | Tennessee wrinkle |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually runs the 61.8-person chair |
| Concentration | Trailing twelve and thirty-six months, names later | Program and slot names wait for the NDA |
| Quality | IATF, ISO, FDA, or food certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Clarksville unfinished jobs are not a surprise |
| Notice | Temps counted in the headcount | Extra Tennessee clock plus federal 100 / 60; counsel reads both |
| Building | Company letter and deed letter split | No dedicated broker-license rule; the deed still needs a real-estate broker |
National wage prints from BLS OEWS May 2025 — machinist $58,750, welder $53,750 — stay national. They are not a Nashville wage series. Do not invent an auto-corridor labor premium. If the file cannot name who quotes Memphis work when the owner is gone, it is not ready for a tour.
Related-party rent in Nashville or Memphis that sits below market is a gift to the first offer. Put a market rent in the recast. Form 8594 and IRC § 1060 still split equipment, goodwill, and the building. A Tennessee CPA writes the machinery-tax and successor-tax sentences. Jason Taken is a business broker, not that CPA.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Music City premium. Most of the 5,787 shops still have fewer than twenty people. Knoxville and Clarksville belong in the second sentence of a teaser, never in the first. On a 61.8-person average, a plant-gate street address is a leak.
If one owner still releases every traveler, do not call the file a 61.8-person plant in the memo. Name the person who quotes when that owner is gone. A buyer who wants “any auto shop” is not a list. Seventeenth in the Census file will not fix that.
Food earn-outs belong on named-account gross profit, floored and capped. Interest on a seller note is not SBA equity. A hidden 38% customer still appears in the purchase agreement.
Appliance and auto files also hide tooling ownership. If the dies sit at a customer or a sister plant, say so in the teaser’s second paragraph, not after the first plant tour. A Memphis food book hides slotting fees the same way. Put those costs in the recast or the buyer will put them in the first amendment.
The 2.11% large-plant tail is why notice gets read early on this map. A 40-person job shop still needs a script. A 500-person appliance campus needs counsel before anyone mentions a sale in the break room. Those are different speeches. They are not different multiples.
Company-only letters are cleaner on SBA 7(a). Company-plus-building letters often need a second real-estate broker and a second price. Do not wait until the letter of intent to decide which stack you are selling. A Chattanooga landlord already in place is its own third path.
Owners who want the other side of the door can buy a manufacturing business in Tennessee. Book a confidential intro call when the recast and the notice question can travel. Seventeenth place is a map fact. It is not a Nashville multiple.
