Why does a 1,005-shop map still have extra notice?
Because the layoff-notice lists we checked still include Vermont. Those lists do not print a Vermont headcount on this page, so counsel confirms who is counted before anyone drafts a speech. Do not copy New York’s 50-person / 90-day clock onto a Bennington letter. WARN is the federal page.
Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). On a 29.1-person average, most files sit under that federal test. The Census County Business Patterns, 2023 file, also shows 0% of Vermont shops at 500 or more employees. Extra state notice can still attach on a smaller headcount. Temps belong in the count the lawyer actually uses.
Employees hear late, with a script. On a quiet map, a customer often hears first.
Food, wood, and precision metal are different sales
Census placed Vermont forty-fifth with 1,005 manufacturing establishments and 29,246 people on those floors. 75.5% of the shops have fewer than twenty employees — above the national 68.4% on 284,452 U.S. plants (Source: Census CBP). The average 29.1 chair is well under the national 43.4.
That is a thin, small-shop map. It is not a Green Mountain price. A food plant in the Champlain Valley and a precision-metal shop near Rutland share the 1,005 count. They do not share a buyer.
Owners who sell a manufacturing business here usually sit in food, wood, precision metal, or electronics. Name the process. Leave NAICS counts out of the teaser. Sub-sector hubs keep those packets apart.
Burlington, Rutland, Essex, South Burlington, and Bennington are regions we name in a confidential teaser. A food buyer can still hear about an Essex file through a slotting manager before any listing appears.
Do Vermont compilations require a business-broker license?
Lists we checked do not name a dedicated Vermont business-broker license. The comparison page is business-broker licensing by state. Jason Taken is a business broker. A Rutland or Bennington deed still wants a licensed real-estate broker on the land piece. Company plus plant, company plus leaseback, and a landlord already in place remain three letters.
Vermont does not use a New Jersey-style environmental transfer act. Land or a wet process still goes through All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the usual Phase I practice. Pieces generally go stale after 180 days. Food chemistry, wood finishes, and metal coatings still go to Phase I and, if needed, Phase II.
Sales tax on machinery and successor tax are both fact-dependent in the lists we checked. A Vermont CPA writes those sentences. HedgeStone will not. Do not copy a manufacturing-exemption sentence from a neighbor state into a Rutland CIM.
Which buyers fit a 29-person shop?
Usually an operator who lives inside the SBA 7(a) box. The SBA still caps that path at $5 million with a 10% injection under SOP 50 10 8. Standby paper can cover at most half of that injection, and only if it stays silent for the whole loan. When the owner still prices every Champlain Valley job, start with selling an owner-dependent shop.
The IBBA Q1 2026 print — 83% of deals over $5 million drawing three or more offers — does not describe a 29-person Vermont file. Leave it out of the teaser. Buyer types recast differently: operators to SDE, food buyers to the slot, metal buyers to the machine list.
What must be ready before anyone drives to Burlington?
How it works is an unnamed teaser, an NDA, a staged room, then a scripted visit. Public marketplaces create inbound and screenshots. On 1,005 shops the default is a controlled list. A zero large-plant tail does not make a public listing safer. It makes the leak cheaper.
Manufacturing business valuation stays national. After notice and the SBA box are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The 223-day median is a planning number, not a Bennington close date. A precision-metal book with reportable EBITDA does not live in that SDE room.
| Shop that walks in | Earnings language | Burlington leak risk |
|---|---|---|
| Owner still quotes every Rutland job | SDE after a named replacement wage | Customer hears before the floor |
| Second chair already runs the 29-person shop | Adjusted EBITDA in national bands | Quality clerk talks to a peer |
| Iron plus cleaned working capital beats earnings | Orderly liquidation | Tired wood equipment is not a growth story |
The complete guide to selling a manufacturing business is the national sequence. This page only adds Vermont’s small-shop map, extra notice, and the missing dedicated license rule.
Food holds and metal unfinished jobs need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Champlain Valley food letter and the true-up invents a fight after the wire.
| Packet | Ready looks like | Vermont note |
|---|---|---|
| Recast | Three years, year-to-date, add-backs documented | Replacement wage for the person who actually quotes Essex work |
| Concentration | Trailing twelve and thirty-six months, names later | Slot and account names wait for the NDA |
| Quality | Food, wood, or metal certificates current | Access gate, not a logo |
| Equipment | Serial numbers and liens | Floor test versus a hoped-for multiple |
| Working capital | Classes written before exclusivity | Rutland unfinished jobs are not a surprise |
| Notice | Temps counted | Extra Vermont clock plus federal 100 / 60; counsel reads both |
| License | Counsel reads the engagement | No dedicated rule widely cited; the deed still needs a real-estate broker |
National BLS OEWS May 2025 prints — machinist $58,750, welder $53,750 — stay national. They are not a Burlington wage series. If the file cannot name who quotes South Burlington work when the owner is gone, it is not ready.
Related-party rent that sits below market is a gift to the first offer. Put a market rent in the recast. Form 8594 still splits equipment, goodwill, and the building. A Vermont CPA writes the tax sentences.
August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Vermont premium. Most of the 1,005 shops have fewer than twenty people. Bennington and Rutland belong in the second sentence of a teaser. A loading-dock street address in the first sentence is a leak.
If one owner still prices every wood job, do not call the file a 29-person plant in the memo. Name the second chair. A buyer who wants “any Vermont shop” is not a list. Forty-fifth place will not repair that.
Keep food earn-outs on named-account gross profit, floored and capped. Interest on a current-pay note is credit, not SBA equity.
What a 0% large-plant map still gets wrong
Owners hear “no 500-person shops” and skip notice. Extra Vermont layoff notice can still attach on a smaller headcount. Federal WARN at 100 full-time people is a second test, not a substitute. Counsel reads both before anyone talks in the break room. A 29-person food plant and a 90-person electronics shop do not share a speech.
Owners also hear “small state” and list publicly. On 1,005 shops a screenshot is a county conversation. Food buyers already know the Champlain Valley names. Precision-metal buyers already quote the same accounts. Wood buyers already know who is tired. The teaser names a region. It does not name Essex Junction or a South Burlington dock.
The SBA box is the usual close path, not a consolation prize. Write the $5 million cap and the 10% injection before you accept a tour from someone who “might bring a partner later.” A seller note with current pay does not fix that injection. A building thrown in at the end does not fix it either. If the land is in the deal, price it as land and put a licensed real-estate broker on the deed.
Precision-metal files hide coatings and traveler dependence. Food files hide slotting and code dates. Wood files hide finish chemistry. Electronics files hide component last-time-buy. Those four facts belong in the room before the first drive up I-89.
A 75.5% small-shop map also means the owner is often the estimator, the closer, and the person who talks to the bank. Name a replacement wage that a buyer in Burlington would actually pay, not a hope. Related-party rent on a Champlain Valley building that sits below market is a gift. Restate it. If the land is staying with the family, say leaseback or landlord-already-in-place in the first call so nobody prices a deed that is not for sale.
Forty-fifth place in the Census file is useful for a buyer list. It is useless as a price. A Bennington wood shop and a Rutland metal shop do not become more valuable because Vermont has only 1,005 plants. They become easier to leak.
The buy-side door is buy a manufacturing business in Vermont. Book a confidential intro call when the recast and the notice question can travel. Forty-fifth place is a map fact. It is not a Burlington multiple.
