Will an SBA buyer even fit this Virginia file?

Write that answer first. 7(a) still caps at $5 million with a 10% buyer injection under SOP 50 10 8 (SBA terms). A seller note helps that injection only on full standby for the life of the loan, and only up to half. A 49-person food or fabricated-metal shop often fits. A shipbuilding or defense supplier with reportable EBITDA often does not. Selling with government contracts is the packet for program work. Say which room you are in before anyone tours Hampton Roads.

The building is a second stack either way. Company plus plant, company plus leaseback, and a landlord already in place are three letters. Do not bury a cap-rate number inside seller discretionary earnings.

Shipbuilding, food, and metal do not share a data room

Census County Business Patterns, 2023 file, counted 5,019 Virginia manufacturing establishments — twenty-first in that file — and 246,819 people on those floors. The average shop is 49.2 people, above the national 43.4. 69.2% of the shops have fewer than twenty employees, near the national 68.4% on 284,452 U.S. plants. 1.55% have 500 or more employees (Source: Census CBP).

A mid-size average with a real large-plant tail is a buyer-list fact. It is not a Commonwealth multiple. Shipbuilding, food, tobacco-adjacent remnants, electronics, and fabricated metal sit in the same statewide count. They do not share a quality system.

Owners who sell a manufacturing business here should name the process and leave NAICS counts out of the teaser. Sub-sector hubs keep those rooms apart.

Use sell a manufacturing business in Virginia Beach for Hampton Roads plants and sell a manufacturing business in Richmond for the capital region. Northern Virginia, Roanoke, and Lynchburg are regions we name in a confidential teaser. A program buyer can still hear about a Roanoke file before any listing appears.

Does Virginia require a business-broker license?

Compilations we checked do not cite a dedicated business-broker license rule. Business-broker licensing by state is the longer comparison. Jason Taken is a business broker. If the building transfers, a licensed real-estate broker still handles the deed.

Virginia does not add its own mini-WARN clock in the layoff-notice lists we checked. Federal WARN can still apply at 100 full-time employees and 60 days (29 U.S.C. § 2101). A 49.2-person average shop often sits under that federal test. A plant in the 1.55% large-employer tail may not. WARN is the federal notice page. Employees hear on a planned day, usually late, with a script.

There is no Virginia copy of New Jersey’s industrial-site transfer clock. Buyers still run All Appropriate Inquiries when dirt or a wet process is in the letter (Source: EPA / 40 C.F.R. Part 312). ASTM E1527-21 is the Phase I method most lenders know (diligence primer). Pieces of that report generally go stale after 180 days. Ship coatings, food chemistry, and metal finishing still go to Phase I and, if needed, Phase II.

Sales tax on machinery is often a manufacturing-exemption or occasional-sale question. Successor tax is fact-dependent. A Virginia CPA writes those sentences. HedgeStone will not.

Richmond and Virginia Beach are locations

They are not a higher selling price. How it works is an unnamed teaser, an NDA, a staged data room, then a scripted visit. Ship files leak through a program buyer. Food files leak through a slotting manager. Electronics files leak through a quality clerk. Name a region — Hampton Roads ship supply, central Virginia food, southwest Virginia metal — not a dry-dock gate.

Public marketplaces create inbound and screenshots. On a map where most shops have fewer than twenty people, the default is a controlled list. A 1.55% large-plant tail does not make a public listing safe.

Manufacturing business valuation stays national. After the SBA box and the building are honest, BizBuySell still shows a 2.75x manufacturing SDE median on about $268k discretionary earnings. The 223-day median is a planning number, not a Lynchburg promise. A shipyard supplier with reportable EBITDA does not belong in that SDE room.

IBBA Q1 2026 found 83% of deals over $5 million drew three or more offers. On a state with a 1.55% large-plant tail, that pattern can show up. It is still not a bid promise on a $250k-SDE Richmond food shop. Buyer types recast differently. This page will not name firms.

The complete guide to selling a manufacturing business is the national sequence. This page only adds the SBA fork, the two live metros, and the 49.2-person map.

Ship unfinished jobs and food holds need separate classes in the working-capital peg before exclusivity. Copy a retailer peg into a Hampton Roads letter and the true-up invents a fight after the wire.

National BLS OEWS May 2025 prints — machinist $58,750, welder $53,750 — stay national. They are not a Richmond wage series. If the file cannot name who quotes Roanoke work when the owner is gone, it is not ready.

Related-party rent in Richmond or Virginia Beach that sits below market is a gift to the first offer. Put a market rent in the recast. Form 8594 still splits equipment, goodwill, and the building. A Virginia CPA writes the machinery-tax sentence. Jason Taken is a business broker, not that CPA.

August 2026 ISM at 54.6 and July 2026 Fed utilization at 76.0% describe the year. They do not become a Tidewater premium. Most of the 5,019 shops have fewer than twenty people. Roanoke and Lynchburg belong in the second sentence of a teaser. A pier-gate street address in the first sentence is a leak.

If one owner still releases every ship traveler, do not call the file a 49.2-person plant in the memo. Name the second chair. A buyer who wants “any Virginia shop” is not a list. Twenty-first place will not repair that.

Keep food earn-outs on named-account gross profit, floored and capped. Interest on a current-pay note is credit, not SBA equity.

What has to be honest before a tour?

Shipbuilding and defense supply hide program access, facility-security facts, and backlog that is not transferable by handshake. Food hides slotting. Tobacco-adjacent remnants hide customer concentration that a teaser cannot name. Electronics hide component clocks. Fabricated metal hides coatings. Write those packets as separate rooms. The 246,819-employee count does not merge them.

The SBA box is the fork owners postpone. A 49-person Richmond food shop often fits 7(a). A Hampton Roads supplier with reportable EBITDA often does not. Telling both buyers the same story wastes a month. If the building is in the letter, say so in the engagement file — not in the teaser — and put a licensed real-estate broker on the deed. Northern Virginia rent that sits below market is a gift. Restate it.

Lynchburg and Roanoke belong in the region line. They do not belong as a street address. A pier-gate or plant-gate number in the first sentence is how a program buyer hears. Employees hear later, with a script. Federal WARN at 100 full-time people can still attach on the large-plant tail. Virginia does not add its own mini-WARN clock in the lists we checked. That is not permission to skip the script.

Tobacco-adjacent remnants are a qualitative cluster, not a NAICS count you may put in a teaser. Confirm any count before it lands. Ship work that still depends on one program manager is not “a 49.2-person plant.” Food work that still depends on one slot is not a Richmond premium. Split the building from the company before the first offer so nobody buries a Tidewater warehouse inside seller discretionary earnings.

Twenty-first place is a map fact. A Virginia Beach address and a Richmond address are two locations. Neither one raises 2.75x. If the file cannot name who quotes Lynchburg work when the owner is gone, stop the tour.

The other door is buy a manufacturing business in Virginia. Book a confidential intro call when the recast and the SBA box can travel. Twenty-first place is a map fact. It is not a Richmond multiple.
