What counts as firm backlog?
Firm backlog has a part, a quantity, a date, a price, and a customer release or contract clause that makes the date real. Everything else is a pipeline. A CIM that sums all three and multiplies is how arguments start in week six of exclusivity.
Aerospace and defense long-term agreements can look firm and still be cancel-for-convenience. Automotive releases can look huge and still disappear with a platform cut. CNC job shops often measure the book in weeks. Machinery OEMs may show months of machines and years of aftermarket. Name the sub-sector before you praise the wall.
The research file’s rule of thumb: documented backlog / LTAs support the multiple; cancel-for-convenience is still discounted. That is not a new official multiple. It is a reason to sit at the high or low end of the cell you already occupy — 2.0x–3.6x SDE for a general job shop under $1M, 6.5x–9.0x EBITDA for a $3–10M AS9100 supplier, and so on.
ERP and job costing should extract past-due backlog separately from future backlog. Past-due is an operations problem — see on-time delivery — and a working-capital problem if WIP is stuck.
How do cancel-for-convenience clauses weaken the book?
They convert a headline dollar into an option the customer holds. Price the notice period and the actual releases inside it. A $12 million “contract” with 30-day cancel rights is not $12 million of value. It is a 30-day option plus whatever switching costs keep the customer from exercising it.
Assignability matters on sale. FAR 42.12 novation is the government-contract cousin. Commercial LTAs often need consent. A book that cannot transfer is not a book the buyer can underwrite. Counsel reads the clause. Jason Taken will flag it. He will not pretend to be counsel.
Pricing formulas that lag steel, resin, or freight turn a firm book into a margin trap. ISM’s August 2026 Prices Index was 71.1 (Source: ISM; also Reuters 2026-09-01). Pass-through language belongs in the backlog review the same week as quantity and date.

When do LTAs support a higher cell?
When a second person can audit term, volume, price, and transfer. When the certificate that gates the work is current. When customer concentration is disclosed rather than hidden inside “program.” When the LTA is not the only customer.
Illustrative only, ebitda-1-3m, medical: $2.4 million adjusted EBITDA, ISO 13485 current, two LTAs covering 34% of sales with formula pricing, no account above 19%. The medical column is 6.0x–8.0x. The book can support the upper half if the LTAs assign. It cannot support a jump into the $10M+ column.
Illustrative only, sde-under-1m, commodity fab: $420,000 SDE, a “blanket” with no dates for 40% of last year’s sales. The fab SDE cell is 2.0x–3.5x. The blanket does not make this a 5x EBITDA story. It may force an earn-out on the named account.
| Book quality | What a buyer can underwrite | Typical valuation move |
|---|---|---|
| Firm scheduled releases | Dates, prices, parts | Supports high end of current cell |
| LTA with formula + term | Assignability, pass-through | Supports cell; watch margin lag |
| Blanket, no dates | Habit, not a book | Neutral to discount; earn-out |
| Forecast / verbal | Owner optimism | Ignore for the high end |
| Past-due backlog | Operations failure | Chip; fix OTD before marketing |
What is book-to-bill telling you?
Book-to-bill under 1.0 for several quarters means the trailing P&L is living on a prior book. Trailing SDE or EBITDA can still look fine while the next four quarters are already smaller. That is why buyers extract orders, not just invoices.
ISM August 2026 New Orders 53.7, Production 58.3, Backlog 51.8, PMI 54.6 (Source: ISM). National indexes above 50 describe expansion climate. They do not repair a plant-level ratio of 0.7. Fed G.17 utilization 76.0% in July 2026 (Source: Fed G.17) similarly describes capacity climate, not your scheduled load.
Inventory should match the book. Raw bought for a forecast that never released is a write-down, not backlog support. Finished goods built ahead of a cancelable release are a bet.
How should earn-outs be written on named accounts?
Measurable, named, and short enough that the buyer cannot allocate the company to death. Gross profit on listed customers beats “EBITDA after management fee.” Do not earn-out a stuffed backlog. Earn-out the relationship risk you already disclosed.
IBBA Pulse Q1 2026 cash-at-close shares sat in the high-70s to high-80s percent by band (visual chart; do not invent a single percent). Notes and earn-outs still appear above SBA capacity and in concentration or quality-gated files. SBA 7(a) remains a $5 million product; a note counts toward the 10% injection only on full standby and ≤50% of that injection. Structure is counsel and the lender. The book quality is why they asked.
Sellers: sell my manufacturing business. Buyers: buy a manufacturing business. Worked examples put a book split on sample files. The valuation pillar keeps the cells. Jason Taken is a business broker, not an appraiser. Educational information only. No value is guaranteed.
How to split a wall of dollars into three columns
Column A: firm scheduled — part, qty, date, price, release or clause. Column B: blankets and forecasts. Column C: past-due. Totals should foot to the ERP. If they do not, the wall is art.
Buyers will ask for the aging of column A by week. A book that is 80% inside two weeks and 20% inside six months is a job shop. A book that is 80% inside six months may be an OEM. Do not use OEM language on a two-week book.
Column C does not get to sit in column A because someone promised to ship it “next week” for the last nine weeks. OTD metrics will expose that.
Consent, novation, and the quiet kill
A beautiful LTA that cannot assign is a diligence bomb. Commercial consent can take longer than the exclusivity period. FAR 42.12 novation is its own clock. ITAR registrants have DDTC notice issues when control changes to a foreign person. Flag the clause in the teaser if it is material. Do not wait for the buyer’s counsel to find it.
Aerospace and government-heavy electronics files live here. The high cells assume the book can transfer. If it cannot, you do not keep the high cell for free.
Book-to-bill as a four-quarter exhibit
Print orders over billings for the last eight quarters. A single soft quarter is noise. Four quarters under 1.0 is a run-rate problem. Trailing EBITDA that still looks fine is the lag. Distressed files often show this pattern a year before anyone uses the word.
ISM’s backlog index being above 50 does not rescue a 0.72 plant ratio. Cite climate. Underwrite the extract.
How to present book-to-bill so trailing earnings cannot hide
Print eight quarters of orders over billings. Foot them to the ERP. Show column A firm dates, column B blankets, and column C past-due. Four quarters under 1.0 with a still-pretty trailing EBITDA is a lag, not a mystery. ISM backlog above 50 does not rescue a 0.72 plant ratio.
Consent and novation belong on the same page as the pretty LTA. A clause that cannot assign is a clock. FAR 42.12 is its own clock. DDTC notice is its own clock. Flag material clauses in the teaser. High certified cells assume the book can transfer. If it cannot, you do not keep the high cell for free.
An eight-quarter book-to-bill page that trailing EBITDA cannot hide behind
Orders over billings, eight quarters, footed to the ERP. Column A firm dates. Column B blankets. Column C past-due. Four quarters under 1.0 with pretty trailing earnings is lag. ISM backlog above 50 does not rescue a 0.72 plant ratio. Consent, novation, and DDTC clocks sit next to pretty LTAs. High certified cells assume the book can transfer. If it cannot, you do not keep the high cell for free. Past-due does not get to sit in column A because someone promised next week for nine weeks.

What a firm release is and what a blanket forecast is not
A purchase order with a date, a quantity, and a price the shop has already booked is backlog a buyer can diligence. A blanket with a forecast the OEM refreshes every Friday is a planning document. Treating the forecast as backlog is how CIMs invent a book-to-bill story. Split the open-order extract into firm dates and blankets before anyone reads a multiple.
Contracts that assign, and contracts that need novation, are different animals. FAR 42.12 still governs novation on many federal files. A “we have a five-year agreement” sentence that cannot be assigned is not five years of earnings. It is a counsel project. Price the project or price the risk that the volume leaves.
Concentration and backlog interact. A whale with a fat blanket and a thin firm book is still a whale. A diversified pie with firm releases through two quarters can support the high end of the current cell. Neither fact creates a new official multiple. Both facts belong next to the customer-concentration page.
Do not annualize a one-time tooling program as if it were production. Do not treat a last-time-buy as run-rate. Do not treat a verbal “they always release” as a contract. If the ERP cannot split firm from blanket, the diligence finding is the system, and the valuation finding is that the backlog number in the teaser is unproven.
