What is distressed versus tired?

Tired is thin margins, aged iron, and a still-operating book. The asset-floor test may already win. Distressed is a going concern that may not go: the whale left, the bank called, the permit stopped the line, or book-to-bill died two quarters ago while the CIM still shows a record year.

BizBuySell’s 2.75x manufacturing SDE median (2021–2025 set; Source: Iconic recap) describes sold going concerns. Applying it to 2019 SDE on a 2026 shutdown clock is not a method. It is nostalgia.

ISM August 2026 PMI 54.6 and Prices 71.1 (Source: ISM) describe a national climate that can still contain a plant-level disaster. Fed G.17 utilization 76.0% (July 2026; Source: Fed G.17) similarly does not rescue a shop whose whale was 48% of sales. Customer concentration is often how distress arrives.

Why does peak-year SDE fail?

Because buyers cannot take those dollars to the bank. Trailing twelve months already lag. Peak year lags more. If the last six months annualize to $90,000 of SDE after write-downs, that is the earnings conversation — and it may lose to OLV anyway.

A sde-under-1m general CNC cell of 2.0x–3.6x on $90,000 is $180,000–$324,000 of earnings value. A written OLV on the cells can be larger. The honest method is the asset method. Do not “split the difference” with a 5x fantasy.

Larger files fail the same way. A $3–10M automotive supplier that lost a platform does not keep the 5.0x–6.5x EBITDA cell on last year’s $4 million if this year’s run-rate is $1.1 million and falling. Size band follows current earnings, not a plaque.

How do you start at OLV and work up?

Commission OLV if time allows. Use FLV if the clock is an auction. FMV in continued use assumes a going concern. Do not pay for that standard if the concern is not going.

Add written-down inventory and collectible AR. Subtract AP, accrued payroll, environmental corrections, and lien priority. What remains is the floor. A buyer may add a modest premium for a crew that will stay and a certificate that can still transfer. That premium is negotiated. It is not a published turn.

Phase I (ASTM E1527-21 / EPA AAI) still belongs on the property (Source: eCFR; Acquisition Stars). Distress does not waive RECs. It makes them more expensive because the seller has less cash to escrow.

What inventory and environmental chips appear first?

Obsolete raw bought for the lost program. WIP that will never ship. Finished goods the customer already refused. Those are not assets. They are disposal costs. Environmental RECs on a plant the buyer must occupy are deal-killers more often in distress because there is no earnings cushion.

Lien priority decides who is actually selling the iron. A broker opinion that ignores the UCC search is a brochure. Jason Taken will say when the file needs counsel and appraisers more than a teaser. He is not a bankruptcy lawyer.

Who buys a distressed plant?

Operators who want specific cells. Liquidators. Occasionally a strategic who wants the remaining crew, the tool book, or a certificate path that is still in date. The buyer set is thinner than IBBA’s 83% of over-$5 million going-concern deals drawing three-plus offers (Source: IBBA). Do not run a theater of twenty teasers to people who buy only healthy EBITDA.

Buy a manufacturing business is still the buy-side door when the file can be underwritten. Sell my manufacturing business is the seller door when a marketed going-concern process still makes sense. Many distressed files should skip the CIM and go to an orderly equipment process plus a short list of operators.

Tariffs and reshoring can create the distress or the salvage path — see tariffs and reshoring. They do not create a new official multiple. Underwrite pass-through and the last six months.

How to write a distress teaser that is still honest

State that the file is distressed. State the last six months annualized after write-downs. State whether production is continuing. State liens you know about. State whether a certificate is still in date. Do not use “opportunity” as the first noun. Operators who buy distress can read.

If production has stopped, say so. FMV in continued use is then the wrong iron standard. OLV or FLV, depending on the clock.

Who should not receive the teaser

Buyers who only buy healthy $3–10M EBITDA certified platforms. Searchers whose credit box needs 20%+ margins. Anyone who asked for a CIM with growth slides. Sending them a distress file wastes two weeks and leaks the story. Thin the list. Buy a manufacturing business still works as a door for operators who said they will look at special situations. Do not pretend the universe is the same as a going-concern process.

When a marketed going-concern process should restart

If a whale is replaced, the book-to-bill recovers for two quarters, and the iron still runs, you may have a tired file rather than a distressed one. Re-cut the earnings base. Re-test the floor. Do not keep using the distress script on a plant that has already healed — and do not keep using the peak-year script on a plant that has not.

Counsel should be in the room before you restart marketing if creditors are already in the file. Jason Taken will not run a teaser around a forbearance he has not been told about.

How to keep a distress process from leaking into the wrong inbox

State that the file is distressed. State last six months annualized after write-downs. State whether production continues. State known liens. State certificate status. Do not open with opportunity. Do not send the teaser to buyers who only buy healthy certified platforms or to searchers whose box needs fat margins. Thin the list. If creditors are already in the file, counsel is in the room before any restart of a going-concern process. A plant that healed for two quarters may be tired rather than distressed. Re-cut the base. Do not keep the peak-year script, and do not keep the distress script after the book has actually returned.

Educational information only. Not an appraisal and not legal, tax, or insolvency advice. Confirm with counsel, a CPA, and qualified appraisers. No value is guaranteed.

A thin-list rule that keeps healthy-platform buyers out of a distress inbox

State distress. State last six months annualized after write-downs. State whether production continues. State known liens. State certificate status. Do not open with opportunity. Do not mail people who only buy healthy certified platforms or whose credit box needs fat margins. Operators who said they will look at special situations can stay. If creditors are already present, counsel is present before any teaser. If the book heals for two quarters, re-cut the base. Do not keep the peak-year script. Do not keep the distress script after the book has actually returned. FMV in continued use is the wrong iron standard on a shutdown clock.

A closer read on thin list

State distress, last six months annualized after write-downs, whether production continues, known liens, and certificate status. Do not open with opportunity. Do not mail healthy-platform-only buyers or searchers whose box needs fat margins. Operators who said they will look at special situations can stay. If creditors are already present, counsel is present before any teaser. FMV in continued use is the wrong iron standard on a shutdown clock. If the book heals for two quarters, re-cut the base. Do not keep the peak-year script. Do not keep the distress script after the book has actually returned.

Why a six-month annualized book beats a three-year average here

A healthy shop can defend a three-year average when the years look like the same business. A distressed shop cannot. If the last two quarters show the whale gone, the certificate suspended, or the floor on a four-day week, the relevant earnings base is the last six months annualized after inventory write-downs and after you stop treating unpaid vendor holds as working capital. Averaging in the fat year is how sellers talk themselves into a going-concern multiple that no credit committee will fund.

State the distress in the first paragraph of the teaser. Opportunity language belongs in a different mailbox. Mail operators who already said they will look at special situations. Do not mail searchers whose box needs twenty-five percent margins and a Stanford-style platform. The Stanford 2026 search-fund median of about $16 million at roughly 6.2 times EBITDA describes a different population. Borrowing that cell for a tired job shop is a category error.

Orderly liquidation value of the iron is the opening bid when production may stop. Fair market value in continued use assumes a buyer who will keep the bay running. If the landlord already has a lock notice, that assumption is theater. Forced liquidation is a still-worse standard and belongs only when the clock is a creditor clock. Name the standard in the engagement letter so the machinery report can be used.

Certificates that lapsed during the slide are not a recert slide in the CIM. They are a sales-at-risk footnote. Environmental Phase I under ASTM E1527-21 still belongs early on wet processes, even when cash is short. Skipping it to save a few thousand is how a buyer finds a pit in week six and the file dies.

If the book heals for two clean quarters, throw out the distress script and recut the base. Do not keep the liquidation narrative after the facts have changed. Do not keep the peak-year narrative after they have not.
