Small state, real plants
Census CBP 2023 put Delaware at rank 48 with 660 establishments and a 71.2% under-20 share. The national file counted 284,452 establishments and 68.4% under 20. The 1.82% 500+ cell is large-plant share inside a tiny base, not a reason to treat every New Castle teaser as a campus. Relocation honesty belongs here. Most operators will not move to Wilmington, Dover, Newark, Sussex County, or New Castle County. If you will, say who runs the floor on Monday.
Logistics are Mid-Atlantic corridor — truck to Philly and Baltimore — not island freight. A buyer who ignores customer-consent risk on a supplier shop will re-trade. A buyer who assumes “small state, no plants” will bounce off 31,080 employees. Buy a manufacturing business is the nationwide pillar. This page is the Delaware overlay.
Hawaii also pairs a small CBP count with a listed mini-WARN. Do not copy island barge diligence onto Dover. Do not copy Delaware’s corridor map onto Honolulu.
What buybox fits Delaware manufacturing?
Chemicals, food, or Mid-Atlantic supply — write mini-WARN if you plan a cut. Name the process — chemicals, food, small precision, Mid-Atlantic supply — not “manufacturing.” Name SDE or EBITDA and the number. Name certificates you must have on day one. Name the highest top-customer share you will live with. Name whether you will lease the Wilmington or Sussex plant, buy it, or accept either. Name the capital path. Name whether Philly and Baltimore customers are acceptable.
HedgeStone will not send you every employer establishment in the 660-count file. Sub-sector hubs keep the search from becoming a radius dump. A food plant and a precision shop do not share a diligence packet because they share a state.
Wilmington, Dover, Newark, Sussex County, and New Castle County are map labels. New Castle chemicals are not a Sussex food multiple. Write the commute you can staff; a buyer who will not live on the peninsula should say so before touring.
Does Delaware mini-WARN attach?
If your model needs a headcount cut after close, put WARN on counsel’s calendar the week you say it. Federal WARN tests 100 or more full-time employees and a 60-day window (29 U.S.C. § 2101). On a 47.1-person average Delaware shop the federal test often will not attach. The 2026 briefing table still lists Delaware mini-WARN as Y. Do not invent a headcount. Do not copy New Jersey severance onto New Castle.
| Cell | Delaware posture | Buyer question |
|---|---|---|
| Mini-WARN | Y — listed | Does my reduction plan trip a state clock? |
| Env. transfer | N | Phase I / AAI still required if dirt or wet process |
| Sales tax on M&E | F | What does the Delaware CPA say on this conveyance? |
| Bulk / successor | F | Fact-dependent; do not assume a Succ certificate |
| Broker license | No dedicated rule widely cited | Who is being paid, and is the dirt separately licensed? |
I-9 files and OSHA 300 logs are diligence, not culture. Repeat citations are a priced item on a 660-shop map the same way they are anywhere. A stock purchase is not a holiday from the listed mini-WARN cell. The 1.82% 500+ share is the reminder that a few Delaware plants are large enough that notice calendars are not theoretical.
Financing a Delaware acquisition
SBA 7(a) for manufacturing acquisitions is the product page. The box on this page is short.
Delaware mini-WARN does not enlarge 7(a). Stay inside $5 million with a real 10% injection (SBA). Sussex or New Castle seller paper counts only if it is silent for the 7(a) life, and only for half. A note that pays the Wilmington seller every month is credit, not equity.
504 can take Mid-Atlantic dirt into Philly or Baltimore. Occupancy still matters. Not a $15 million cash-out on a thin check inside a 660-shop base.
| Stack | Fits a 660-shop file | Dies when |
|---|---|---|
| 7(a) | Operating company in the published box | Mini-WARN used to skip the 10% |
| 504 | Occupied New Castle plant | Occupancy as a story |
| ABL | Eligible AR | Chemical WIP the exam kicks |
| Equipment | Owned serialized cells | Undisclosed liens |
| Seller paper | Honest stretch | Current-pay paper called equity |
Delaware’s 660 shops and 1.82% 500-plus share mean a few larger plants sit next to a lot of small ones. Write which you can run.
Diligence next to a 1.82% large-plant share
A Wilmington walk-through still waits on tax returns. How it works is unchanged by a 660-shop map. What changes is the mix: a 47.1-person average, a 1.82% 500+ share, and a listed mini-WARN. Chemicals, food, small precision, and Mid-Atlantic supply into Philly or Baltimore do not share a packet because they share a flag.
| Corridor check | What fails first | Delaware fact |
|---|---|---|
| Customer consent | Re-trade after the letter | Philly and Baltimore supply |
| Headcount cut | Counsel calendar | Mini-WARN Y |
| Job-cost versus tax | Owner-estimator shops still dominate | 71.2% under-20 |
| Serials and liens | OLV versus asking EV | Rank 48 |
| Dirt or wet process | Phase I / AAI | Env. transfer N |
| Iron conveyance | CPA sentence | Sales tax on M&E F |
| Large-plant rumor | Headcount in week one | 1.82% 500+; 31,080 employees |
Buying dirt or a wet process still requires All Appropriate Inquiries (Source: EPA / 40 C.F.R. Part 312). Phase I and Phase II ESA covers the ASTM E1527-21 work. Chemical and food wastewater are not “small-state clean.” The transfer-act cell is N. New Castle County is not a reason to skip the study.
Lock the peg in the LOI. Chemical WIP is not grocery inventory. A 660-shop corridor does not turn precision lots into retail. QoE should rebuild job-cost against the return. If the rebuild kills earnings, the price moves or you leave.
Form 8594 / § 1060 still allocates. Buyers want depreciable machinery. Sellers want intangibles. Sales tax on M&E is F. A Delaware CPA owns occasional-sale treatment. Do not import another state’s exemption row onto a Sussex closing.
Stock or assets is counsel’s call. A chemical stock deal can keep permits and can keep unknown liabilities. An asset deal often needs new certificates. The listed mini-WARN cell survives both. Federal WARN still tests 100 full-time employees. On a 47.1-person average the federal test often will not attach. The 1.82% 500+ share is the reminder that a few plants are large enough that notice calendars are not theoretical. If a Wilmington teaser implies one of those, ask for the headcount in week one.
See the plant after the binder. No branded fleece in a Newark bay. Rank 48 does not hide a cold call. A 71.2% under-20 share means the owner is usually the person at the door.
Who else bids on a 660-shop corridor map
Buyer types do not share a multiple language. A strategic who wants a Mid-Atlantic chemical or food add-on will not pay that print for an owner-run precision shop. A searcher who borrowed a services median will miss a thin supplier margin. Anyone who needs the 7(a) box will walk when enterprise value plus fees plus the peg will not fit.
Valuation stays on national size bands. BizBuySell’s 2.75x SDE median is Main Street (Source: BizBuySell). It is not a Wilmington premium and not a corridor premium. IBBA Pulse Q1 2026: 83% of deals over $5 million drew three or more offers (Source: IBBA). Most files inside 660 shops never see that room. Do not stretch past the published box because the drive from Philly was short.
Certificates and customer approvals are access. A lapsed food card or a missing chemical listing is Monday’s hole, not week-six cleanup.
Jason Taken will write the buybox, cut “any Delaware manufacturer,” and source quietly. We will not invent listings. We will not hide the listed mini-WARN cell because the teaser photographed a clean New Castle bay.
How should a Delaware buyer time notice and the peg?
Name raw, WIP, finished, consigned, and customer-owned tools. Unbilled first-article hours on a precision file are not finished goods. If the model needs a cut, put notice on counsel’s calendar the week you say it. Physical count at close. Cycle-count theater is how rust in a Dover cage becomes price.
After the wire, run the plant. Keep the estimator. Lock the Philly and Baltimore accounts that actually consent. Count again. Say whether you will live in Wilmington, Dover, Newark, Sussex County, or New Castle County. Most operators will not.
The research file has no Delaware manufacturing wage table. National BLS OEWS May 2025 medians — machinist $58,750, welder $53,750 (Source: BLS) — are backdrop. Burdened payroll is the underwrite. Chemicals hide people in process. Food hides them in QA. Precision hides them in estimating. Ask for the names the customer actually calls.
A Sussex top account is not an ISM trade. August 2026 PMI 54.6 and July 2026 Fed G.17 utilization 76.0% sit in a memo. Stanford medians assume a margin most 47.1-person shops do not print. Build the QoE and mini-WARN file against the BizBuySell 2025 manufacturing median close of 223 days (Source: BizBuySell). Use it as a calendar, not a guarantee.
